On July 13, 2018, the Commission instituted and simultaneously settled cease-and-desist proceedings (the “Order”) against Genesis Associates Limited Partnership (the “Respondent”). In the Order, the Commission found that, between 2007 and 2016, the Respondent violated federal securities laws by repeatedly failing to provide, on behalf of Uniprop Manufactured Housing Communities Income Fund II (“Uniprop”), an investment fund managed by the Respondent, required information to investors concerning three tender offers for Uniprop. The Commission ordered, and the Respondent has paid, a $50,000.00 civil money penalty to the Commission. The Commission ordered that the penalty will be held pending a decision whether the Commission, in its discretion, will seek to distribute the funds, pursuant to Section 308(a) of the Sarbanes-Oxley Act of 2002, as amended, or transfer the funds to the U.S. Treasury. See the Commission’s Order:  Release No. 34-83627.
