Approval of resolutions proposed by the Board of Directors

Patrick Pouyanné reappointed as Chairman and CEO

Paris, June 1st, 2018 – The Annual Shareholders’ Meeting of Total S.A. was held on June 1, 2018, under the chairmanship of Patrick Pouyanné. The Shareholders adopted all resolutions recommended by the Board of Directors, including:

 

    Approval of the 2017 financial statements and the payment of a dividend of €2.48 per share, a 1.2% increase compared to the previous year;

 

    The option for shareholders to receive the final 2017 dividend of 0.62€/share and any 2018 interim dividends in cash or in new shares of the Company;

 

    Renewal of the terms as Directors of Mrs. Anne-Marie Idrac, Mr. Patrick Pouyanné and Mr. Patrick Artus, for a three-year period;

 

    Approval of the elements of compensation due or granted to the Chairman and Chief Executive Officer for year 2017;

 

    Approval of the principles and criteria for the determination of the compensation granted to the Chairman and Chief Executive Officer for year 2018.

 

    Various delegations of authority and financial authorizations granted to the Board of Directors

Patrick Pouyanné, Chairman and CEO, highlighted the strength of the Group’s financial results, which demonstrates the quality of the strategic and industrial choices made since 2015. He also reviewed the implementation of the Group’s strategy, the environmental and social responsibility policy, and the shareholder return policy.

The Board of Directors met after the Shareholders’ Meeting and unanimously decided to reappoint Mr. Patrick Pouyanné as Chairman and Chief Executive Officer for the duration of his term as Director.

Total announces the distribution of the final 2017 dividend

following the Shareholders’ Meeting of June 1, 2018

that fixed the 2017 dividend at 2.48 € per share

Paris, June 1, 2018 – The Annual Shareholders’ Meeting, held on June 1, 2018 under the chairmanship of Patrick Pouyanné, declared a dividend for 2017 of €2.48 per share, an increase of 1.2% compared to the 2016 dividend. Taking into account the three interim dividends of €0.62 per share paid on October 12, 2017, January 11, 2018, and April 9, 2018, the final 2017 dividend to be paid is €0.62 per share.

In addition, the Annual Shareholders’ Meeting decided that shareholders will be given the option to receive payment of the 2017 final dividend in cash or in new shares of the Company, each choice being exclusive of the other.

In line with the shareholder return policy announced on February 8, 2018, in order to avoid any dilution linked to the issuance of new shares, the Group will buy back during the quarter the newly issued shares with the intention to cancel them.

The share price of new shares to be issued as payment of the final dividend is set at €52.03. This price is equal to the average opening price on the Euronext Paris for the 20 trading days preceding the Annual Shareholders’ Meeting, reduced by the amount of the final dividend, without any discount, and rounded up to the nearest cent. Shares issued as payment of the final dividend will carry immediate dividend rights, and an application will be made to admit the shares for trading on the Euronext Paris.

The ex-dividend date for the final dividend is set for June 11, 2018. Shareholders may select to receive the final dividend payment in new shares during the period from June 11, 2018, to June 20, 2018, both dates inclusive, by instructing their financial brokers.

For Total’s American Depositary Shares (ADS), the ex-dividend date for the final 2017 dividend is set for June 7, 2018. ADS holders may select to receive the final dividend payment in new shares during the period from June 11, 2018, to June 15, 2018, both dates inclusive, by instructing their financial brokers.

Shareholders who do not elect to receive the final dividend payment in new shares within the specified timeframe will receive the final dividend due to them in cash. The date for the payment in cash is planned for June 28, 2018.


For shareholders who elect to receive the final dividend in shares, the date for the delivery of the shares is planned for June 28, 2018. For holders of Total’s American Depositary Receipts, the delivery of the ADSs is planned for July 6, 2018.

If the amount of the final dividend for which the option is exercised does not correspond to a whole number of shares, the shareholders may opt to receive either the number of shares immediately above, having paid a cash adjustment on the day they exercise their option, or the number of shares immediately below, plus a balancing cash adjustment.

Algeria – extension of the TFT gas field license

Paris, June 11, 2018 – Sonatrach, Total, Repsol and Alnaft (the National Agency for the Valorisation of Hydrocarbon Resources), have signed a new concession contract for a period of 25 years to extend the exploitation of the Tin Fouyé Tabankort (TFT) gas and condensate field. This new contract1, which will become effective upon the approval by the relevant Algerian authorities, will give Total a 26.4% interest alongside Sonatrach (51%) and Repsol (22.6%). The companies have also signed a gas marketing agreement.

The partners will carry out the drilling and development investments required to develop additional reserves estimated at more than 250 million barrels of oil equivalent. These investments will allow to maintain the production of the field, which is currently over 80,000 barrels of oil equivalent per day for 6 years.

Today’s agreements mark a new milestone in the implementation of the comprehensive partnership agreement signed between Sonatrach and Total in April 2017, and strengthen the strategic cooperation between the two companies. As a historical partner of the TFT field, Total will continue to provide the best of its technological expertise to keep developing the reserves of this gas field. This project is in line with the Group’s strategy to grow its gas production in competitive conditions,” commented Patrick Pouyanné, Chairman and CEO of Total.

Total in Algeria

Total’s exploration and production activities in Algeria date back to 1952. In 2017, Total produced 15,000 barrels of oil equivalent per day (boe/d) in Algeria, all of it from the TFT gas and condensate field. The Group currently holds a 35% in interest in TFT.

In March 2018, Total started up production from the Timimoun gas field in southwestern Algeria. The Group has a 37.75% interest in the field, which has a production capacity of 5 million cubic meters of gas per day (around 30,000 boe/d).

Through the Maersk Oil acquisition, which closed on March 8, 2018, Total now holds a 12.25% interest in the El Merk, Hassi Berkine and Ourhoud oil fields, which have a combined production capacity of 400,000 boe/d.

In November 2017, Total also announced the acquisition of Engie’s upstream liquefied natural gas (LNG) assets. Once closed, this transaction will add 4.6 million tons per year to the Group’s global LNG portfolio thanks to supply agreements with Sonatrach.

In May 2018, Total has signed an agreement with Sonatrach to launch the engineering studies for a petrochemical project in Arzew, western Algeria.

In Algeria, the Group is also active in the marketing of lubricants and bitumen.

Total and Pavilion Energy Take a Further Step

in Developing Liquefied Natural Gas (LNG)

As a Marine Fuel in Singapore

Paris / Singapore, June 26th, 2018 – Total and Pavilion Energy, through their subsidiaries Total Marine Fuels Global Solutions and Pavilion Gas, have signed Heads of Agreement (HoA) to jointly develop a Liquefied Natural Gas (LNG) bunker supply chain in the port of Singapore. The agreement covers the shared long-term time charter of a new generation LNG bunker vessel (LNGBV) to be commissioned by Pavilion Gas by 2020. It also includes an LNG supply arrangement between the two companies enabling Total to deliver LNG bunker to its customers.

The HoA, signed on the sidelines of the World Gas Conference 2018, follows a Memorandum of Understanding (MoU) concluded by both companies in April 2017 on LNG bunkering cooperation in Singapore. The HoA is a significant step forward and contributes to the development of Singapore as an LNG bunkering hub.

The move toward LNG as a bunker fuel is a suitable solution following the decision of the International Maritime Organization (IMO) to set limits on sulphur content in marine fuels from 2020. LNG bunker not only produces zero sulphur oxides, but it also represents an available and competitive solution, which contributes to IMO’s long-term strategy on the reduction of greenhouse gas emissions from ships announced in April 2018.

Total Marine Fuels Global Solutions is pursuing its ambition to develop the LNG bunker market. The first milestones of its strategy were set in Europe, with the signature of LNG bunker supply contracts for Brittany Ferries and CMA CGM, as well as the long-term chartered bunker vessel with Mitsui O.S.K. Lines that will be positioned in Northern Europe.


Pavilion Gas is committed to the development of Singapore as an LNG hub. In October 2016, Pavilion Gas was appointed as one of two importers to supply LNG to Singapore by the Energy Market Authority of Singapore. In January 2016, Pavilion Gas was awarded the LNG Bunker Supplier Licence to supply LNG bunker to vessels in the Port of Singapore.

Results of the option to receive the final 2017 dividend in shares

Paris, June 26, 2018 – The Annual Shareholders’ Meeting held on June 1st, 2018 approved the payment of an annual dividend for fiscal year 2017 of €2.48 per share and offered the shareholders the choice to receive the final 2017 dividend of €0.62 per share in cash or in new shares of the Company.

The period for exercising the option ran from June 11 to June 20, 2018. At the end of the option period, 19% of rights were exercised in favour of receiving the payment for the final 2017 dividend in shares.

5,798,335 new shares will be issued, representing 0.22% of the Company’s share capital on the basis of the share capital as of May 31, 2018. The share price for the new shares to be issued as payment of the final 2017 dividend was set at €52.03 on June 1st, 2018. The price is equal to the average opening price on Euronext Paris for the twenty trading days preceding June 1st, 2018, the date of the Annual Shareholders’ Meeting, reduced by the amount of the final dividend, without any discount.

The settlement and delivery of the new shares as well as their admission to trading on Euronext Paris will occur on June 28, 2018. The shares will carry immediate dividend rights and will be fully assimilated with existing shares already listed.

In line with the shareholder return policy announced on February 8, 2018, in order to avoid any dilution linked to the issuance of new shares, the Group will buy back during the quarter the newly issued shares with the intention to cancel them.

The remaining cash dividend to be paid to shareholders who did not elect to receive the final 2017 dividend in shares amounts to 1,328 million euros and the date for the payment in cash is set for June 28, 2018.

Citeo, Total, Saint-Gobain and Syndifrais Join Forces to

Create a Polystyrene Recycling Channel in France by 2020

Paris, June 27, 2018 As part of the voluntary commitments for the French government’s Circular Economy Roadmap and in line with French and European Union objectives in the area of plastic recycling, Citeo, Total, Saint-Gobain and the French Union of Fresh Dairy Product Manufacturers (Syndifrais) are joining forces to help lay the groundwork for an industrial-scale polystyrene1 recycling channel in France and to validate its technical and cost feasibility within 18 months. The announcement was made at the World Materials Forum, which is being held in Nancy, France from June 27 to 29.

All of the players in the polystyrene consumer packaging value chain are actively seeking a recycling solution that will enable the development of a circular economy for these products. This involves not only collecting the packaging and finding the right technical solutions for recycling it, but also identifying uses for the recycled polystyrene, all while ensuring each step is affordable. It is estimated that 110,000 metric tons of polystyrene packaging is put on the market each year in France.

Developing a Collection System

France’s fresh dairy product manufacturers have undertaken to organize, via Citeo, the separation, sorting and preparation of several hundred tons of post-consumer polystyrene from France’s extended household waste sorting program. Syndifrais, alongside Citeo, will therefore contribute to the emergence of a recycling channel for polystyrene packaging.

Syndifrais will also use the project’s technical findings to improve the eco-design of packaging so it will be easier to recycle.

Innovative Technology for Recycling Polystyrene

Total will use the sorted and prepared polystyrene in its plastic production units in Carling, France and Feluy, Belgium. Polystyrene waste from other sources, such as construction, will also be used. The end product will be expected to meet the same specifications as virgin polystyrene1.

Total tested its polystyrene recycling technology last year in preliminary industrial trials. The objective now will be to validate all the aspects of large-scale production. A target has been set of 4,000 tons of output containing at least 20% recycled polystyrene for 2019. Total will also make its dedicated research and development resources available for the project.

 

1  Polystyrene is primarily used in food packaging, refrigerators and insulation.


Uses for the Recycled Polystyrene

Saint-Gobain is involved in initiatives related to the circular economy. Its subsidiary Placoplatre collects discarded insulation made of expanded polystyrene (EPS) at construction sites, which it reuses in its production. To go to the next level, Placoplatre is also aiming to promote the use of raw materials containing recycled content. The company has been working with Total since 2017 to share its knowledge of sources of EPS construction waste that could potentially be recycled and to evaluate the performance of recycled polystyrene for the insulation market. Its familiarity with this market will help to validate the necessary technical and commercial specifications and find new commercial markets for recycled EPS products.

Other users and outlets are also under consideration and will join the project at the appropriate time.
