Item 7.01 Regulation FD Disclosure.
On October 5, 2005, the Company announced that its Board of Directors has declared a third quarter cash dividend of $0.04 per share of its common stock to be paid on November 28, 2005 to its stockholders of record at the close of business on November 7, 2005. The press release is attached as Exhibit 99.1 hereto. This information, including Exhibit 99.1, shall be deemed to be “furnished” in accordance with SEC release numbers 33-8216 and 34-47583.
