Item 2.02. Results of Operations and Financial Condition.
On April 24, 2007, Benjamin Franklin Bancorp, Inc. (the “Company”) issued a press release reporting its financial results for its fiscal quarter ended March 31, 2007. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.

On April 23, 2007, Benjamin Franklin Bancorp, Inc. declared a quarterly dividend of $.06 per share of common stock. The dividend will be paid on May 23, 2007 to shareholders of record as of the close of business May 9, 2007.
