EXPLANATORY NOTE

This Registration Statement on Form S-8 (this “Registration Statement”) is being filed by Heidrick & Struggles International, Inc. (the “Registrant”) pursuant to General Instruction E of Form S-8 under the Securities Act to register an additional 1,060,000 shares of common stock, par value $0.01 per share (the “Common Stock”) for issuance pursuant to the Fourth Amended and Restated Heidrick & Struggles 2012 GlobalShare Program (the “Program”). The contents of the Registrant’s Registration Statements on Form S-8 filed with the Securities and Exchange Commission (the “Commission”) on May  25, 2012 (File No. 333-181712), June  5, 2018 (File No. 333-225436) and June  22, 2020 (File No. 333-239337) relating to the Program are incorporated by reference into this Registration Statement, including all attachments and exhibits thereto, except to the extent supplemented, amended or superseded by the information set forth herein.
