Subject: File No. S7-25-97 Date: 11/24/97 1:56 PM Dear Chairman, I am writing to ask you to reject the proposed rules in File No. S7-25-97 that would automatically disqualify shareholder resolutions that address less than 3% or $10 million of a company's business, and that would automatically qualify resolutions sponsored by those who own more than 3% of a company's shares of stock. As a shareholder in several companies, I find this to be an egregious limitation of my ownership rights. And, as a citizen of the United States, I find it to be an affront to the ideals this country was founded on when our corporate "citizens" become more insulated from feedback from the public, at the same time as they become more influential in the public sphere.
