Date: 12/22/97 9:04 PM I object strongly to any effort to limit the ability of shareholders to offer proposals to be voted on at meetings of all shareholders. True, there may currently occur some proposals that seem frivolous to the chief corporate officers. Nevertheless, the balance of power is so heavily with the corporation officers, that it seems wrong to overbalance it further by effectively stifling the voice of the shareholder. I don't enjoy giving up my time to read lengthy arguments pro and con in the proxy solicitations of any companies I hold shares in, but it is only fair to the makers of proposals to give each one an intelligent consideration. Often the issue is politically or socially sensitive, and deserves every shareholder's careful thought. DON'T CUT OFF THE DEBATE! Sincerely, Mary C. Townsager
