Subject: S7-25-97 Date: 11/17/97 3:46 PM Jonathan Katz, Secretary Securities and Exchange Commission Mr. Katz: The SEC's new proposed rules must not go forward (S7-25-97). These rules essentially destroy the rights of American shareholders. I am a young, small investor, who wishes to maintain the ability to make my voice heard by the companies in which I invest. Stop these rules. Reverse Cracker Barrel but allow the existing rules to stand or develop rules that will protect shareholders' rights. Sincerely, Jim Stoicheff 5317 8th Ave NE Seattle, Washington 98105
