Subject: Date: 11/21/97 6:18 PM Attn: Jonathan Katz; File No. S7-25-97 Dear Mr Katz: I just wanted to register my objection to the proposed SEC rule changes which would make it more difficult for shareholders of a company to petition to force a resolution to be placed on a company ballot. It seems that in this era when there is concern about corporations not acting in the larger public interest, rules that make the process (by which shareholders can force a vote on an issue) less democratic are a move in exactly the wrong direction. Sincerely, Joel D. Shore 242 Oxford St., #1 Rochester, NY 14607
