Date: 1/5/98 2:27 PM Subject: s7-25-97 Mr. Jonathan Katz Secretary, SEC 450 5th St, NW Washington, DC 20549 Dear Mr. Katz, I am writing to comment on the proposed rule governing shareholder resolutions. The vital role of shareholders must be recognized and valued considering the important role they play in promoting corporate governance. I ask that shareholders' rights be respected in the new rules, particularly by: keeping the voting levels for resubmitting shareholder resolutions at 3, 6, 10%; dropping the personal grievance proposal; repealing the Cracker Barrel in name and in reality; dropping the proposal to have all resolutions relate to an issue worth $10 million in sales. Shareholder resolutions are not acting in the best interest of those filing the resolutions, they are intended to make this a better place for all of us. Happy New Year Patricia Rogers, OP Shareholder Sinsinawa Dominicans
