Chairman Leavitt:  Dear Sir: We areseriously concerned about the proposed 
attempt of the Securities and Exchange Commission to regulate the right of 
the individual stockholders to speak up andbe heard by the corporations in 
which they hold shares.  These regulations would drastically undermine the 
rights of smaller shareholders.  Please take this complaint under your 
consideration.  Note File No. S7-25-97.
