Subject: Date: 11/19/97 10:20 AM Gentlemen and Ladies, I urge you to open rather than to close the avenues through which stakeholders other than stockholders (or in addition to stockholders) can influence the actions of corporations. Corporations operate only with permission of society. Stockholder resolutions have been a useful way for points of view which otherwise would be buried from view to become public and have a chance to influence decision making. STockholder resolutions are sometimes the only way for the interests of stakeholders in addition to stockholders to be taken into account. The proposed new rules governing shareholder resolutions are a step in the wrong direction. If corporations are to enjoy the rights and privileges of corporate status, let them be accountable.
