Dear Chairman Leavitt,
     
I strongly oppose the proposed SEC rules (No.S7-25-97) that would limit 
shareholders' ability to introduce resolutions.  This is an undemocratic, 
direct challenge to the organizational rationale of the corporation, one 
which will seriously undermine its already suspect legitmacy as a just 
social unit.  
     
Do not shut small investors out of the process.  Corporations need their 
money and their input more than they think.  Do NOT let these rules pass.
