Subject: File No. S7-25-97 Date: 11/23/97 11:47 AM As a small scale investor I am disturbed by the present trend to further constrain my ability to voice my opinion regarding the way my property is managed and run. The only way left for a small scale investor is go ing to be to divest a company without being able to raise important is sues first. I am, therefore, opposed to any further infringement on the right of shareholders to place shareholder resolutions on the ballot. Furthermore, I believe to transfer the decisionmaking process of whether a resolution is worthy of consideration from the SEC to the company is a further abdication of oversight on the part of the SEC. If indeed corporations are chartered "for the public good", it is counterproductive to remove more and more of the public from the way corporations are run and controlled.
