Subject: File No.S7-25-97 Date: 11/22/97 12:38 AM Mr. Leavitt, Chairperson Securities and Exchange Commission I've owned stock for 19 years. I am concerned that your proposal to change shareholder and annual meeting rules for corporations. Corporations have responsibilities to their stockholders that they are likely to ignore unless the stockholders can remind them. If I lose the power to protect my investment, I may consider taking my money out of the US stock market to a safer place. Please explain these rules and the reason for them. Have the current rules led to decisions that created some harm to the general public? Peace, Charles Jordan 214 Summer Circle Boones Mill, VA 24065 540-721-3232
