Dear Mr. Katz:
     
I write to urge you to to keep the present rules for allowing common-stock 
shareholders to place resolutions on a company ballot. The proposed new 
rules would in effect bar all but mutual and pension funds from placing 
such resolutions.
     
I own a few stocks in a handful of companies. I have never tried to place 
a resolution, but I always read the proxies sent to me. Shareholders' 
resolutions inform me of issues not apparent in the companies' annual 
reports. Your new rule would cut off a valuable source of information.
