I have often wondered why companies are allowed to change auditors when it appears that something other than an unqualified opinion may be issued. There are other reasons companies have elected to change auditors, for instance, disagreements with auditors on which accounting adjustments should be passed on and not booked, accounting methods to use, materiality, etc. What needs to be disclosed to the investing public is also an issue that the SEC has failed to address. When there are disagreements between accountants and corporate executives, who ever hears about it? Investors are never made aware of the fact that accountants have recommended certain accounting treatments and financial statement adjustments that the client simply will not agree to. Management letter points that are fundamental to improving existing operations and disclosing internal control weaknesses or deficiencies are also kept private. Until you allow auditors to publicly disclose this information without the threat of losing a client, your rules and regulations will not change what goes on behind the closed doors of corporate offices who mandate their current auditor present their financial position in the best possible way and still be considered GAAP.
