From: wjehmer@att.net Sent: Thursday, April 01, 2004 10:51 PM To: rule-comments@sec.gov Subject: Board of Directors election (s7-19-03) I am writing to request that you promulgate a rule that allows for the nomination of non-board nominated directors. It is inherently unfair for owners of the business to not be permitted to nominate a candidate for the Board of Directors. In addition it is not fair for owners of the business to not be able to vote against a proposed director. Currently all we can do is withold our vote. Directors and company executives are not responsive to shareholders. They approve outrageous bonuses and raises even when the company does poorly. They have interlocking directorships which prevent truly independent views of how the company is doing and they continue to use every gimmick that pushes the envelope in order to withdraw health benefits and penalize both employees and retirees in order to line their own pockets. The shareholders need some means to make an impression on these non-responsive directors and executives. Permitting us to nominate our own candidates and vote against company sponsored directors will go along way to getting the attention of these individuals. Thank you. Walter J.
