Subject: SEC Rule S7-19-03

I am writing to express my support for the SEC to adopt Rule S7-19-03.  
Although not perfect in every sense, I believe the rule will enhance 
corporate governance and improve relationships between corporate directors 
and the company shareholders.  Too often, directors have ignored shareholder 
input and proposals, with no real consequences.  With the implementation 
of the proposed rule, shareholders and directors would be encouraged to 
work together.  Permitting shareholders access to the proxy to nominate 
directors, under certain conditions, levels the playing field and will 
encourage constructive dialogue, which has been lacking in far too many 
cases.  I congratulate you in advance for tackling this issue, and on 
your foresight in enacting such dramatic reforms.
