To Whom It May Concern,
 
I am an individual with 401(k) and other investments for savings towards my 
retirement.  I am also an employee of the Council of Institutional Investors, 
so am aware that you have requested comment on reviewing current proxy rules 
and regulations.  I cannot go to work each day, read a newspaper or watch a 
broadcast without realizing that the SEC could have a greater impact on my 
future by not only reviewing the current rules and regulations, but by making 
very much needed changes.  I see that many corporations are eager to use 
investor's monies for their needs AND THEIR EXTRAVAGANCES.  I feel they only 
pretend to want to help investors beneft from their contributions.  I truly 
hope you will do your best to help all of us that want to invest in American 
business and growth.
