I am frustrated and disgusted by the waves of revelations about corporate frauds, and know there are more that we have not yet heard of, and may never hear of. One important measure the SEC could take is to strengthen the rules regarding the nomination and election of outside directors. The directors are the only line of defense most shareholders have. Millions of people like me lack the power individually to make a difference; we rely on directors to represent us. I support the SEC’s efforts to review the proxy rules, particularly any effort to increase shareholders’ ability to select directors.
