SEC NEWS DIGEST Issue 2005-234 December 7, 2005 COMMISSION ANNOUNCEMENTS NANCY MORRIS TO BECOME SECRETARY OF U.S. SECURITIES AND EXCHANGE COMMISSION U.S. Securities and Exchange Commission Chairman Christopher Cox announced today that Nancy Morris would become Secretary of the Commission after long-time Secretary Jonathan Katz retires in January. "The Secretary is at the heart of Commission operations," Chairman Cox said. "The Office of the Secretary is officially responsible for coordinating the work of five commissioners, but the judgment and advice rendered by Jack Katz in his 23 years of service to seven chairmen have established a far higher standard. Nancy's experience, inside and outside the Commission, will help us maintain that standard." SEC Secretary Jonathan Katz added, "Nancy has broad experience both at the Commission and in the securities industry. Wherever she has worked she has been highly successful and recognized both for her legal abilities and her ability to work effectively with others. I have known Nancy for more than twenty years. She is a person with great ability and excellent judgment. Chairman Cox has chosen someone who will be an asset to the Commission. I feel honored to have someone of Nancy's caliber succeed me." Mr. Katz's retirement plans were announced in March. He will serve until Jan. 3, 2006. "One of Jack's lasting legacies will be the SEC's well-deserved stature as one of the premier federal agencies," said Nancy Morris. "With more than half of American households invested in the markets, the Commission's importance can only grow. I am excited about taking on this new role, and I look forward to the challenges that lie ahead." Morris is currently an Attorney-Fellow in the SEC's Division of Investment Management. She has served in that capacity since May 2004, and is responsible for developing rules, interpretations, policy, and research to support Commission action. Morris is in her second tour of duty at the SEC. From 1985 until 1992, she served as an attorney in the Office of General Counsel (1985-1987), Counsel to Commissioner Joseph Grundfest (1987-1988), and Deputy Chief Counsel for the Division of Investment Management (1988- 1992). Her responsibilities included legislation, policy, and regulations related to the Investment Company Act and the Investment Advisers Act; coordination of the Investment Management Division's international program; and legal analysis of the Administrative Procedures Act and Freedom of Information Act, key laws governing the Commission. In the private sector, Morris served more than a decade as Vice President and Associate Legal Counsel to T. Rowe Price Associates, and prior to that as an attorney for Fidelity Investments. At T. Rowe Price, she was responsible for domestic separate account and international legal and global compliance operations. At Fidelity, she formulated compliance and disclosure policies for mutual funds. Morris was an associate for Washington, D.C.'s Sutherland, Asbill & Brennan, from 1983 until she joined the SEC in 1985. Morris holds a J.D. from the University of Idaho College of Law, where she was Editor-in-Chief of the Idaho Law Review, and a B.A. (cum laude) from Hartwick College. (Press Rel. 2005-174) ENFORCEMENT PROCEEDINGS APOLLO PUBLICATION CORPORATION STOP ORDER A "stop order," suspending the effectiveness of the registration statement of Apollo Publication Corporation (Apollo), has been issued after a hearing before an administrative law judge. The registration statement would have allowed Apollo, an Ontario, Canada, corporation, to sell its stock in the United States. The stop order was issued because the registration statement did not contain essential information. For example, it completely lacked required financial information. Additionally, its list of officers and directors was inherently incredible; Paul Martin, George W. Bush, and numerous other current and former leaders of Canada, the United States, and other countries were listed as officers and directors. The stop order makes it illegal for anyone to sell Apollo stock in the United States using, directly or indirectly, the mails or any other means of interstate transportation or communication. (Initial Decision No. 302; File No. 3-12035) INVESTMENT ADVISER SENTENCED TO 24 MONTHS INCARCERATION The Commission announced today that on December 5 the U.S. District Court for the District of Massachusetts imposed a sentence of twenty- four months incarceration on Barry J. Goodman for orchestrating an $800,000 offering fraud. In September 2005, Goodman plead guilty to an eleven count indictment charging him with three counts of investment adviser fraud, three counts of securities fraud, and five counts of wire fraud that was being prosecuted by the United States Attorney's Office in Boston, Massachusetts. In addition to the term of incarceration, Goodman was ordered to pay restitution of $800,000 and sentenced to two years supervised release. At the September 2005 plea hearing, the prosecutor told the court that between February and August 2000, Goodman obtained and then misappropriated $700,000 from two investors through two fraudulent investment schemes offered through his investment advisory business, New England Capital Advisory Group, LLC. Goodman defrauded a third investor out of $100,000, which conduct was not charged in the indictment but did form part of the basis of the restitution order. On September 29, 2004, the District Court for the District of Massachusetts entered a final judgment against Goodman in the Commission's civil injunctive action finding that, in connection with the same investment scheme alleged in the indictment, he violated the antifraud provisions of the securities laws and imposing a $220,000 civil penalty. The court had previously permanently enjoined Goodman from violating those provisions. [U.S. v. Barry J. No. 01 CV 10163-JLT] (LR-19486) SECURITIES AND EXCHANGE COMMISSION SETTLES WITH OFFICERS IN FINANCIAL FRAUD CASE The Commission announced that an order of Final Judgment was entered against Defendant Randal J. Sage (Sage), the former Chief Operations Officer of Analytical Surveys, Inc. (ASI), in SEC v. Corder, et al., Civil Action No. 1:03-CV-1436 (S.D. Ind.). Sage, a resident of Carmel, Indiana, consented to the entry of the Final Judgment without admitting or denying the allegations made against him in the complaint filed by the Commission. The complaint, filed in October 2003, alleged that from at least October 1998 through at least December 1999, Defendants Sage, Sidney V. Corder (Corder), the former Chairman, President and Chief Executive Officer of ASI, and Brian J. Yates (Yates), the former Controller of ASI, engaged in a scheme to defraud investors by fraudulently inflating ASI's revenue and earnings in press releases and periodic reports filed with the Commission. The complaint alleges that Defendants caused ASI to recognize excessive revenue on long-term contracts through the use of several improper accounting methods that did not comply with Generally Accepted Accounting Principles (GAAP). On December 2, the Honorable John D. Tinder entered a final judgment: (1) permanently enjoining Sage from violating Sections 10(b) and 13(b)(5) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 10b-5, 13b2-1, and 13b2-2 thereunder and from aiding and abetting violations of Section 13(a) of the Exchange Act and Rules 12b-20, 13a-1, and 13a-13 thereunder; (2) prohibiting him from acting as an officer or director of any issuer that has a class of securities registered pursuant to Section 12 of the Exchange Act or that is required to file reports pursuant to Section 15(d) of the Exchange Act; and (3) ordering disgorgement of $376,277 plus prejudgment interest of $135,495, for a total of $511,772, but waiving payment of all but $185,000 of the disgorgement and prejudgment interest, which will be paid pursuant to a three-year payment plan, and not imposing a civil monetary penalty, based on Sage's sworn representations in his statement of financial condition. Previously, on Aug. 9, 2005, and Jan. 3, 2005, Judge Tinder entered final judgments against Corder, a resident of Zionsville, Indiana, and Yates, a resident of Colorado Springs, Colorado, to which they consented without admitting or denying the allegations in the Commission's complaint. These final judgments permanently enjoin Corder and Yates from violating Sections 10(b) and 13(b)(5) of the Exchange Act and Rules 10b-5, 13b2-1, and 13b2-2 thereunder and, as control persons, Section 13(a) of the Exchange Act and Rules 12b-20, 13a-1, and 13a-13 thereunder. The judgment against Corder also prohibits him from acting as an officer or director of any issuer that has a class of securities registered pursuant to Section 12 of the Exchange Act or that is required to file reports pursuant to Section 15(d) of the Exchange Act and orders disgorgement of $554,108, plus prejudgment interest of $206,352, for a total of $760,460, but waives payment of all but $260,000 of the disgorgement and prejudgment interest, which will be paid pursuant to a two-year payment plan, and does not impose a civil monetary penalty, based on Corder's sworn representations in his statement of financial condition. The final judgment entered against Yates also prohibits him from acting as an officer or director of any issuer that has a class of securities registered pursuant to Section 12 of the Exchange Act or that is required to file reports pursuant to Section 15(d) of the Exchange Act for a period of five years and orders disgorgement of $202,704 plus prejudgment interest of $69,871, for a total of $272,575, but waives payment of all but $40,000 of the disgorgement and prejudgment interest, which will be paid pursuant to a three-year payment plan, and does not impose a civil monetary penalty, based on Yates' sworn representations in his statement of financial condition. BLEIDT SENTENCED TO OVER 11 YEARS The Commission announced that on December. 5 Bradford C. Bleidt was sentenced to 11 years and three months in prison and ordered to pay restitution of $31,734,192.75 based upon his guilty plea to criminal charges brought by the United States Attorney's Office for the District of Massachusetts. On July 26, 2005, Bleidt pleaded guilty to 115 counts of mail fraud and one count of money laundering in connection with a scheme in which he defrauded approximately 125 investors of more than $27 million. Prior to sentencing Bleidt, Chief U. S. District Judge William G. Young heard victim impact statements. In sentencing Bleidt, the Court accepted the recommendation contained in his plea agreement and imposed an additional requirement that a transcript of victim statements be kept in Bleidt's cell and at his residence during the period of his eventual three year supervised release. On Nov. 12, 2004, the Commission sought and obtained an asset freeze and temporary restraining order against Bleidt and his investment advisory firm, Allocation Plus Asset Management Co., Inc. (Allocation Plus), based upon a related complaint alleging that Bleidt had admitted to stealing tens of millions from clients over a period of 20 years in a taped confession delivered to the Commission's Boston office on November 11. On Dec. 2, 2004, U. S. District Judge Nancy Gertner entered preliminary injunctions against Bleidt and Allocation Plus extending an asset freeze. On November 18, 2004, the Court appointed Boston attorney David A. Vicinanzo as receiver to preserve the assets of the defendants, including a radio station and other entities owned or controlled by Bleidt.
