These amendments require companies, other than registered investment companies, to include in their annual reports a report of management and an accompanying auditor’s report on the company’s internal control over financial reporting. The amendments also require a company’s management to evaluate as of the end of each fiscal period any change in the company’s internal control over financial reporting that occurred during the period that has materially affected, or is reasonably likely to materially affect, the company’s internal control over financial reporting. If approved, a company that is not an accelerated filer would have to comply with the internal control over financial reporting requirements for its first fiscal year ending on or after July 15, 2007. 2. The Commission will consider whether to propose amendments to the “accelerated filer” definition in Rule 12b-2 of the Securities Exchange Act of 1934 to: a. create a new category of accelerated filer that would include reporting companies with a public float of $700 million or more; and b. ease some of the current restrictions on the exit of companies from accelerated filer status. The proposed amendments also would amend the final phase-in of the Form 10-Kand Form 10-Q accelerated filing deadlines that is scheduled to take effect next year. Accelerated filers currently are scheduled to become subject to a 60-day filing deadline for their Form 10-K annual reports filed for fiscal years ending on or after December 15, 2005, and a 35-day deadline for the three subsequently filed quarterly reports on Form 10-Q. (Press Rel. 2005- 131) ENFORCEMENT PROCEEDINGS SEC ISSUES CEASE-AND-DESIST ORDER, FINDING FORMER SALESPERSON OF LEGATO’S CUSTOMER WAS A CAUSE OF LEGATO’S FRAUD On September 13, the Commission issued an Order Instituting Cease-and- Desist Proceedings, Making Findings, and Imposing a Cease-and-Desist Order Pursuant to Section 21C of the Securities Exchange Act of 1934 against Vincent Steckler. The Order finds that Steckler was a cause of fraudulent reporting of financial results for one quarter in 1999 by Legato Systems, Inc., based on a large transaction between Legato and Steckler’s employer at the time, which was a reseller customer of Legato. In particular, Steckler participated in his employer’s placing a $7 million order with Legato in which his employer was given the right to cancel the order pursuant to a separate, undisclosed “side” agreement, causing Legato to materially overstate its financial results for the quarter. Based on the above, the Order finds that Steckler was a cause of Legato’s fraud and reporting violations and of others’ falsification of Legato’s records, and orders Steckler to cease and desist from committing or causing any violations and any future violations of Sections 10(b) and 13(b)(5) of the Exchange Act, and Rules 10b-5 and 13b2-1 thereunder, and from causing any violations of Sections 13(a) and 13(b)(2)(A) of the Exchange Act, and Rules 12b-20 and 13a-13 thereunder. Steckler consented to the issuance of the Order without admitting or denying any of the findings in the Order. (Rels. 34-52411; AAER-2311; File No. 3-12037) IN THE MATTER OF OPPENHEIMERFUNDS, INC. AND OPPENHEIMERFUNDS DISTRIBUTOR, INC. On September 14, the Commission filed a settled administrative and cease- and-desist order against OppenheimerFunds, Inc. (OFI) and OppenheimerFunds Distributor, Inc. (OFDI) (collectively Oppenheimer), the investment adviser and principal underwriter and distributor affiliated with the Oppenheimer Funds Complex (Funds), finding that Oppenheimer, without proper disclosure, used brokerage commissions – which are fund assets -- on trades executed for some of the Funds to reduce OFDI’s revenue sharing obligations with certain broker-dealers. The Commission’s Order included the following findings, which Oppenheimer neither admitted nor denied. * Between Jan. 1, 2000 and June 2003, and in the case of approximately 25 broker-dealers, OFDI, instead of exclusively using cash from its own resources, used approximately $15.8 million worth of brokerage commissions to reduce cash payments under revenue sharing arrangements. OFDI’s payments for revenue sharing in some cases resulted in placement on certain broker- dealers’ “preferred lists” of mutual funds, increased access to brokers’ registered representatives, placement on the brokers’ websites, and participation in broker conferences, among other things. * OFI failed to disclose the practice of using brokerage commissions to reduce cash payments under revenue sharing arrangements. By reducing some revenue sharing payments with the Funds’ brokerage commissions, OFI permitted its subsidiary, OFDI, to avoid an expense that OFDI otherwise would have incurred. OFI had an obligation to fully and fairly disclose this practice to the Fund Boards, so the Fund Boards could determine if it was in the best interest of Fund shareholders. * OFI violated Section 206(2) of the Investment Advisers Act, Sections 15(c) and 34(b) of the Investment Company Act, and Section 17(d) of the Investment Company Act, and Rule 17d-1 thereunder. OFDI aided and abetted and caused OFI’s violations of Section 206(2) of the Advisers Act, and Section 17(d) of the Investment Company Act, and Rule 17d-1 thereunder. * In May 2004, OFI voluntarily paid to the Funds approximately $15.8 million, which represented the gross amount of brokerage commissions that had been used to reduce revenue sharing cash payments. In recognition of this prior payment, as well as Oppenheimer’s voluntary cessation of the practice of directed brokerage, and its cooperation with the Commission staff, the Commission did not order Oppenheimer to pay disgorgement of approximately $12.45 million – OFDI’s net benefit, prejudgment interest of approximately $1.4 million, or a civil penalty. The Commission censured OFI and OFDI; ordered OFI and OFDI to cease and desist from committing or causing any violations and any future violations of the provisions listed above; and ordered OFI and OFDI to comply with certain remedial undertakings. (Rels. 34-52420; IA-2427; IC-27065; File No. 3-12038) COURT ENTERS PRELIMINARY INJUNCTIONS AGAINST DAVID PAJCIN AND FOREIGN DEFENDANTS INVOLVED IN SUSPICIOUS REEBOK TRADING On September 13, the Honorable Kimba M. Wood entered preliminary injunctions against defendants Sonja Anticevic, David Pajcin, Zoran Sormaz, Perica Lopandic, Ilija Borac and Certain Unknown Persons trading in an account at an Austrian broker, Direktanlage.at AG (the Direktanlage Traders). Among other things, the Court order requires the foreign defendants to repatriate the proceeds of Reebok International Ltd. securities transactions. By virtue of this order, there are now preliminary injunctions in place against all of the defendants in this action. On Aug. 18, 2005, defendants Henry Siegel, Monika Vujovic and Elvis Santana consented to the entry of preliminary injunctions against them which, among, other relief, provided for certain asset freezes. Also on Aug. 18, 2005, a separate preliminary injunction was entered against Anticevic. On Aug. 18, 2005, the Commission filed an amended complaint, charging the nine defendants with insider trading for directing and/or conducting additional suspicious trading in the securities of Reebok both domestically and abroad just prior to Reebok’s Aug. 3, 2005, announcement that it had agreed to be acquired by adidas-Salomon AG. The Commission’s amended complaint alleges the following: On Aug. 1 and 2, 2005, through four domestic accounts, Anticevic, Siegel, Vujovic, and Santana purchased a total of 4,097 Reebok “out of the money” call options. Collectively, these accounts comprised nearly 80% of the buy volume in Reebok call options on those days. All positions in each account were liquidated after the acquisition announcement on Aug. 3, 2005. In total, the domestic trading netted profits exceeding $4 million. On those same days, through foreign accounts maintained at the same broker, Anticevic, Sormaz, Lopandic and Borac purchased the equivalent of 145,240 shares of Reebok common stock. Each of those accounts sold all of its Reebok shares on Aug. 3, 2005. On Aug. 2, 2005, an account maintained at an Austrian broker, Direktanlage, purchased 7,545 shares of Reebok common stock, which were also sold on Aug. 3, 2005. Collectively, the proceeds from the foreign trading in Reebok shares were more than $2 million. The Commission's complaint alleges that Pajcin, who is Anticevic’s nephew, placed or directed some of the Reebok trades, and tipped other defendants who placed Reebok trades. In addition to the Reebok trading, overlapping trades were placed at the same time in both the domestic and foreign accounts in the securities of other companies. As a result of the defendants’ conduct, the Commission alleges that the defendants engaged in illegal insider trading in violation of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5. Among other things, the Complaint seeks permanent injunctive relief, the disgorgement of all illegal profits, and the imposition of civil monetary penalties. [SEC v. Sonja Anticevic, et al. 05 Civ. 6991, KMW] (LR-19374) FORMER DIRECTOR OF ADVERTISING AT ADVANCED MARKETING SERVICES, INC. SETTLES SEC’S CHARGES OF SCHEMES TO INFLATE ADVERTISING EARNINGS The Commission announced today that, on September 8 the United States District Court for the Southern District of California entered final judgment as to defendant Marcy Wilson Roke in the federal civil enforcement action filed by the Commission. Roke was the former director of advertising at Advanced Marketing Services (AMS), a San Diego-based wholesaler of general interest books that provides a variety of other services, including promotional and advertising services. The final judgment (1) permanently enjoins Roke from violating and/or aiding and abetting violation of the antifraud, record keeping and falsifying books and records provisions, specifically, Section 17(a) of the Securities Act of 1933 and Sections 10(b), 13(b)(2)(A), and 13(b)(5) of the Securities Exchange Act of 1934 and Rules 10b-5 and 13b2-1 thereunder; and (2) requires Roke to pay a $25,000 civil penalty and $56,458.20 in disgorgement and prejudgment interest. Roke consented to the entry of the final judgment without admitting or denying the allegations in the Commission's complaint. On September 29, 2004, the Commission filed a complaint against Roke alleging that she was involved in two schemes at AMS which caused AMS to fraudulently overstate its earnings. First, through Roke’s involvement, AMS improperly recognized revenue on a greater number of print and mail advertising vehicles than AMS had in fact produced and distributed for its publisher clients. Second, Roke participated in a scheme to increase AMS’s income by directing AMS personnel to not inform retailers of credits due to them for certain advertising and promotional services that the retailers provided. Instead of contacting the retailers and reconciling amounts, AMS improperly reversed the liability and thereby decreased expenses and increased its income. Roke profited from her participation in the fraudulent schemes from her receipt of annual bonuses and sales of AMS stock. The complaint alleges that the fraudulent schemes caused AMS to overstate its pre-tax earnings by about 9% in fiscal year 2001, 10% in fiscal year 2002, and 19% in fiscal year 2003. In September 2004, the United States Attorney’s Office for the Southern District of California announced that Roke had pled guilty to a two- count Information charging her with conspiracy and wire fraud in connection with her participation in a scheme to defraud AMS’s customers. Roke entered her guilty plea in San Diego before the Honorable Nita L. Stormes, United States Magistrate Judge. The Commission’s investigation is continuing. [SEC v. Cal.] (LR-19375) COMMISSION CHARGES MASSACHUSETTS BIOTECHNOLOGY COMPANY AND EXECUTIVES WITH SECURITIES FRAUD On September 14, the Commission filed a civil fraud action against Biopure Corporation of Cambridge, Mass., and three top executives for misleading public statements about the company’s efforts to obtain FDA approval for its primary product, while at the same time Biopure was raising millions of dollars from investors. The action, filed in federal district court in Massachusetts, charges Biopure, its former CEO Thomas Moore of Boston, former Senior Vice President of Regulatory Affairs and Operations Howard Richman of Houston, Texas, and current General Counsel Jane Kober of Bellport, N.Y., with violating or aiding and abetting violations of the antifraud and reporting provisions of the federal securities laws in connection with materially misleading statements between April and December, 2003. The Commission’s complaint alleges that, beginning in April 2003, Biopure received negative information from the FDA regarding its efforts to obtain FDA approval of its synthetic blood product Hemopure but failed to disclose the information, or falsely described it as positive. Specifically, the complaint alleges that in April 2003, the FDA placed a clinical hold barring Biopure from conducting clinical trials of Hemopure in trauma settings such as emergency rooms, because of safety concerns about Hemopure. As alleged, during the next eight months, the company concealed the imposition of the clinical hold while making public statements about its plans to obtain approval for trauma uses of Hemopure. In addition, according to the complaint, in July 2003 the FDA informed Biopure that it had not approved Biopure’s application for use of Hemopure in orthopedic surgery, and instead conveyed serious concerns about whether the materials Biopure had submitted in support of its application were reliable and questioned the safety of Hemopure. Biopure, however, issued public statements beginning on Aug. 1, 2003, describing the FDA’s communication as good news, causing its stock price to increase by over 20%. The Complaint alleges that Biopure continued to make misleading statements until December 2003. During this period, Biopure raised over $35 million from investors. The complaint further alleges that as the true status of Biopure’s efforts to obtain FDA approval gradually became public, through a series of incomplete and misleading disclosures between late October and the end of December 2003, the company’s stock price plummeted almost 66% from its August 1 price. According to the complaint, Moore, the former CEO, personally made and approved misleading statements; Richman, the former officer responsible for FDA relations, made and provided information for misleading statements; and Kober, who continues to serve as Biopure’s General Counsel, drafted and approved misleading statements. The Commission’s complaint charges Biopure and the three individual defendants with violating Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder and with directly or indirectly violating Section 13(a) of the Exchange Act and Rules 12b-20, 13a-1, 13a-11 and 13a-13 thereunder, and charges Moore with violating Rule 13a-14 thereunder.
