2 NEWS DIGEST, August 18, 2005 SEC NEWS DIGEST Issue 2005-159 August 18, 2005 ENFORCEMENT PROCEEDINGS COMMISSION DECLARES DECISION AS TO ROY GOULD AND SPENCER EDWARDS, INC. FINAL The decision of an administrative law judge with respect to Roy E. Gould and Spencer Edwards, Inc. has become final. The law judge found that Gould, while under contract as a consultant for Starnet, a Delaware corporation, coordinated a scheme to distribute to the public unregistered stock of Starnet in violation of Sections 5(a) and 5(c) of the Securities Act of 1933. Gould also violated Section 15(a) of the Securities Exchange Act of 1934 by engaging in business as an unregistered broker. The law judge also found that Spencer failed to supervise employees who wilfully violated registration provisions of the Securities Act of 1933. The law judge ordered that Gould cease and desist from committing or causing any violations or future violations of Securities Act Sections 5(a) and 5(c) and Exchange Act Section 15(a) and barred him from associating with any broker or dealer. He ordered Gould to disgorge and pay prejudgment interest in an amount totaling $1,000,000. The law judge censured Spencer Edwards and ordered the firm to disgorge and pay prejudgment interest in an amount totaling $25,000. The law judge did not impose civil penalties and reduced the amount of disgorgement imposed on each of these respondents based on their demonstrated inability to pay. (Rels. 33-8603; 34-52292; File No. 3- 11626) FINAL JUDGMENT OF PERMANENT INJUNCTION AND OTHER RELIEF ENTERED AGAINST DEFENDANT JOHN MADEY The Securities and Exchange Commission announced that on June 28, 2005, the United States District Court for the Southern District of Florida entered a Final Judgment of Permanent Injunction and Other Relief against Defendant John Madey. The Final Judgment, entered with Madey’s consent, enjoins him from violations of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder; and Sections 206(1) and 206(2) of the Investment Advisers Act. Additionally, the Final Judgment provides for disgorgement and the imposition of a civil penalty in amounts to be determined by the Court upon the SEC’s motion. The SEC’s complaint alleges Madey and two other defendants, Sheldon and Peter Krieger, as principals of a hedge fund called KFSI Equity Fund, L.P. (KFSI Fund), misappropriated approximately $3.7 million of the $7.5 million the KFSI Fund raised. The defendants raised money from approximately 45 investors by claiming the KFSI Fund would generate profits by trading in securities. The SEC’s complaint also alleges in early 2000, the defendants began diverting money in the KFSI Fund to pay for the operations of Krieger Financial Services, Inc., a broker-dealer the defendants controlled. The SEC’s complaint claims the defendants concealed their misappropriation of funds and trading losses in the KFSI Fund by issuing false KFSI Fund account statements. [SEC v. Fla.] (LR- 19338) PRELIMINARY INJUNCTION ORDERED AGAINST JEFFREY GIBSON AND INVESTMENT PROPERTY MANAGEMENT The Securities and Exchange Commission announced that on August 10, the Honorable Robert L. Vining, United States District Judge for the Northern District of Georgia, entered an order of preliminary injunction and other relief as to defendants Jeffrey L. Gibson and Investment Property Management, LLP (IPM). The order restrained and enjoined Gibson and IPM from future violations of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The order further restrained and enjoined Gibson from future violations or aiding and abetting violations of Section 206 of the Investment Advisers Act. Gibson and IPM consented to the entry of this order without admitting or denying the allegations set forth in the Commission’s complaint, filed on August 5. The complaint alleged that, from at least December 2002 through the present, Gibson misappropriated for his personal use approximately $450,000 from investors in American Car Wash Fund, LP (ACW), a limited partnership. IPM served as ACW’s general manager. Between December 2002 and April 2003, Gibson, through IPM, sold approximately 43 limited partnership interests in ACW, raising approximately $875,000. Approximately 38 of the limited partners were also clients of his advisory business. Almost as soon as he began selling interests, Gibson started writing checks, payable to cash, on ACW’s bank accounts and misappropriating the funds from those checks for his personal use. In order to conceal the misappropriation of funds, Gibson and IPM regularly sent letters to ACW investors describing annualized rates of return, dividends and purchases of various properties. None of those letters disclosed the ongoing misuse of proceeds by Gibson and IPM. [SEC v. Jeffrey L.
