SEC NEWS DIGEST Issue 2003-141 July 24, 2003 RULE AND RELATED MATTERS ADOPTION OF UPDATED EDGAR FILER MANUAL The Commission is adopting revisions to the EDGAR Filer Manual to reflect updates to the EDGAR system made primarily to improve the functionality of the SEC's Online Forms website. The website is currently used for preparing and submitting ownership reports, Forms 3, 4, 5 and their amendments, Forms 3/A, 4/A and 5/A, required under Section 16(a) of the Securities Exchange Act of 1934, generally as required by Section 403 of the Sarbanes-Oxley Act of 2002. Some of the improved functionality includes the ability to list holdings of securities separately from securities transactions; facilitating the reporting of gift, phantom stock plan and similar transactions; automatic entry of the filer's address by the system based on the filer's CIK number and the ability to change the address for the filing; and XML schema and stylesheet updates to support these changes. In addition, the new release will include support for extended EDGAR filing and dissemination to 6 a.m., as a trial to assess its usefulness to filers; same day acceptance and dissemination of Form 3, 4 and 5 filings and Securities Act of 1933, Rule 462(b) filings, MEF form types, received on business days on or before 10:00 p.m., eastern standard time; Form 8-K Items 10, 11, 12, and 13; new form types N-CSRS, N-PX and N-Q; and rescinded form types BW-2 and BW-3. The revisions to the Filer Manual reflect these changes within Volumes I, II and III, entitled "EDGAR Release 8.6 EDGARLink Filer Manual", "EDGAR Release 8.6 Filer Manual N-SAR Supplement", and "EDGAR Release 8.6 OnlineForms Filer Manual" respectively. The updated manual will be incorporated by reference into the Code of Federal Regulations and will be available on July 28, 2003. (Rel.. 33-8255) ENFORCEMENT PROCEEDINGS INITIAL DECISION ISSUED AGAINST MAYER DALLAL An Administrative Law Judge has issued an Initial Decision imposing sanctions against Mayer Dallal for violating the antifraud provisions of the federal securities laws in Administrative Proceeding No. 3-10765, J.W. Barclay & Co., Inc. The Initial Decision finds that Dallal, a resident of Great Neck, N.Y., engaged in unauthorized trading, unsuitable trading, and churning in the accounts of three customers between June 1997 and October 1998. At the time of the misconduct, Dallal was associated with J.W. Barclay & Co., Inc., a registered broker and dealer. The Initial Decision concludes that Dallal violated Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Exchange Act Rule 10b-5. The Initial Decision imposes a cease-and-desist order, bars Dallal from associating with any broker or dealer, orders Dallal to disgorge $93,119 in ill-gotten gains plus $47,592.75 in prejudgment interest, and assesses a civil penalty of $30,000. (Initial Decision No. 233; File No. 3-10765) FEDERAL COURT ISSUES PRELIMINARY INJUNCTION ORDER AGAINST MICHAEL LAUER, LANCER MANAGEMENT GROUP, LLC, AND LANCER MANAGEMENT GROUP II, LLC The Commission announced that on July 17 a federal judge in South Florida entered a preliminary injunction order, by consent, against the Connecticut-based advisers of a purported billion-dollar hedge fund. The preliminary injunction will continue to restrain the defendants from violating the antifraud provisions of the federal securities laws. Also by consent, the Honorable William J. Zloch, Chief Judge, United States District Court for the Southern District of Florida, ordered the defendants' assets to remain frozen until further notice. The preliminary injunction order continues the relief originally obtained on July 10 in response to the SEC's emergency civil injunctive action that sought a temporary restraining order, an order freezing assets, disgorgement and civil penalties and other relief against advisers Lancer Management Group, LLC (Lancer) and Lancer Management Group II, LLC (Lancer II) and their principal, Michael Lauer, based on their alleged violations of the federal securities laws. See LR-18226. The SEC continues to seek, among other things, permanent injunctions, disgorgement of ill-gotten profits, civil money penalties and an accounting. The SEC's complaint alleges that from at least March 2000 to the present, Lauer, Lancer and Lancer II, engaged in a scheme to over- inflate the performances and net asset values of relief defendants Lancer Offshore, Inc. (Offshore), Lancer Partners, LP (Partners), OmniFund, Ltd. (OmniFund), three hedge funds controlled by Lauer (collectively the Funds) which recently claimed to have assets worth over $1 billion dollars. Specifically, the complaint alleges that the defendants systematically manipulated the month end closing prices of certain securities held by the Funds to overstate the value of the Funds' holdings in virtually worthless companies. The SEC's complaint states that the defendants then provided unfounded and unrealistic valuation opinions to auditors to obtain audited financial statements for Offshore. The complaint also alleges that the defendants made numerous materially false and misleading statements and omissions in the Funds' offering and marketing materials. Finally, the complaint alleges that the fraudulent manipulative trading practices and pumped-up valuations employed by Lauer, Lancer and Lancer II were designed to attract new investors to invest in the Funds and to induce current investors to forgo redemptions and to continue investing in the Funds which resulted in increased management fees paid to the defendants. The preliminary injunction enjoins Lauer, Lancer and Lancer II from violations of Sections 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder and Sections 206(1) and (2) of the Investment Advisers Act. The complaint also alleges that Lauer acted as the "control person" for Lancer and Lancer II under Section 20(a) of the Exchange Act for their violations of Section 17(a) of the Securities Act and Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. The defendants consented to the preliminary injunction and continued asset freeze without admitting or denying the SEC's allegations. [SEC v. Fla., filed July 8, 2003] (LR-18247) SCHIELD MANAGEMENT COMPANY AND MARSHALL L. SHIELD CHARGED IN EMERGENCY INJUNCTIVE ACTION On July 23, the Commission filed an action in the United States District Court for the District of Colorado against Schield Management Company and its president, Marshall L. Schield. Schield Management, a Littleton, Colo., investment adviser registered with the Commission, has approximately 12,000 clients and $589,000,000 under management. Simultaneously with the filing of the action and without admitting or denying the allegations in the Commission's complaint, Schield Management and Marshall Schield consented to the entry of an order prohibiting future violations of Section 204 of the Investment Advisers Act and Rule 204-2 and an order to provide an accounting. The order, which was also entered on July 23, will remain in effect until one of the parties petitions the court for a hearing in the action. The Commission's complaint alleges that, at the direction of Marshall Schield, Schield Management destroyed and altered documents it was required to produce during the course of a Commission compliance examination. The examination at issue began in May 2003. According to the complaint, as part of the examination Commission examiners asked Schield Management to produce certain e-mails for their inspection. After the request was made, Marshall Schield directed two of the firm's employees to destroy e-mails responsive to the request. The complaint also alleges that Commission examiners asked Schield Management to produce the firm's log of trading errors. Schield Management responded by producing several different, inconsistent versions of the log, none of which is complete or accurate. The complaint further alleges that Commission examiners requested records maintained by Schield Management to document each instance in which the firm used a client's personal identification number, or PIN, to make a securities trade. These PINs had been issued to the clients by mutual fund complexes holding the clients' assets. After Commission examiners made the request encompassing the PINs, securities traders at Schield Management were directed to remove PINs from their records. The complaint alleges that, based on the conduct described above, Schield Management violated Section 204 of the Investment Advisers Act and Rule 204-2 thereunder. These provisions require investment advisers to make and keep certain books and records. Section 204 also requires investment advisers to make their books and records available for inspection by Commission compliance examiners. The complaint further alleges that Marshall Schield aided and abetted Schield Management's violations of these provisions. An order has been issued on an application filed by PBGH Funds, et al. under Section 17(b) of the Investment Company Act granting an exemption from Section 17(a) of the Act. The order permits a limited liability company to transfer substantially all of its assets to a new series of a registered open-end management investment company in exchange for shares of the series. An order has been issued authorizing Allegheny Energy, Inc., a registered holding company, and its subsidiary, Allegheny Energy Supply Company, LLC, also a registered company, to engage in certain financing transactions at a time when neither company meets the capitalization conditions of the system's current financing order. Allegheny Energy, Inc. will issue and sell $325 million in convertible trust preferred securities and Allegheny Energy Supply Co., LLC is authorized to borrow up to the maximum loan commitment of $2.2 billion under its credit facilities.
