SEC NEWS DIGEST Issue 2003-134 July 15, 2003 COMMISSION ANNOUNCEMENTS SEC PUBLISHES STAFF REPORT ON PROXY PROCESS REVIEW The Securities and Exchange Commission today published a report prepared by its Division of Corporation Finance concerning the Division's review of the Commission's rules and regulations regarding the nomination and election of directors. The staff report notes the need to improve the existing proxy process and recommends action in two areas: improved disclosure and improved shareholder access to the director nomination process. The report recommends the following actions: * Require more robust disclosure of the nominating committee processes of public companies, including the consideration of candidates recommended by shareholders. * Require specific disclosure of the processes by which shareholders may communicate with the directors of the companies in which they invest. * Require that major, long-term shareholders (or groups of long-term shareholders) be provided access to company proxy materials to nominate directors, where there are objective criteria that indicate that shareholders may not have had adequate access to an effective proxy process. Examples of events that would trigger this access could include situations where the results of the proxy process are not acted on by companies or where there is substantial shareholder dissatisfaction with the operation of the proxy process. SEC Chairman William H. Donaldson said, "An effective proxy process has never been more important to restoring investor confidence. We have worked and continue to work with the markets to put in place listing standards and rules that increase both the role of independent directors and the voice of shareholders. The next step is to assure that the proxy process reinforces these important advances. The staff is to be commended for its work in gathering the views of the public and preparing timely and responsible recommendations. I have asked them to prepare rule proposals that would effect each of the recommendations in the report. I hope that the Commission will be able to consider such proposals as early as August with regard to the disclosure recommendations and as early as September with regard to the proxy access recommendation. (Press Rel. 2003-83) ENFORCEMENT PROCEEDINGS IN THE MATTER OF STANSBURY HOLDINGS CORPORATION An Administrative Law Judge has revoked the registration of the common stock of Stansbury Holdings Corporation in Administrative Proceeding No. 3-11108, In the Matter of Stansbury Holdings Corporation. The Initial Decision concludes that Stansbury violated Section 13(a) of the Securities Exchange Act of 1934 and Rules 13a-1 and 13a-13 thereunder by failing to file its annual report for the fiscal year ending June 30, 2002, and its quarterly reports for the periods ending Sept. 30, 2002, and Dec. 31, 2002, and by failing to file within the time permitted its annual report for the fiscal year ending June 30, 2001. The Initial Decision also concludes that Stansbury violated Section 13(a) of the Exchange Act and Rules 12b-20, 13a-1, and 13a-13 thereunder by failing to disclose material facts in certain annual and quarterly reports. (Initial Decision No 232; File No. 3-11108) COMMISSION AMENDS ITS ORDER OF FINAL DISTRIBUTION OF THE DISGORGEMENT FUND IN THE AMERICORP SECURITIES PROCEEDING On July 14, the Commission issued an Amended Order of Final Distribution distributing the remainder of the Disgorgement Fund in the Americorp Securities Proceeding. Because several claimants were inadvertently left off of the June 24, 2003, Order of Final Distribution, the Amended Order was necessary to ensure that all valid claimants shared in the distribution of the Distribution Fund. On Sept. 12, 2002, the Commission issued an order amending the Distribution Plan governing the distribution of the disgorgement paid by respondent Drew Edgar Schaefer in the administrative proceeding against Schaefer and Americorp Securities, Inc. The September 12 Order also ordered a partial distribution of the disgorgement fund to claimants who had submitted or resubmitted claim forms since the relocation of the Commission's Northeast Regional Office following the events of Sept. 11, 2001. Finally, the Commission set a deadline of Feb. 24, 2003, for all other claimants to submit claim forms in order to participate in the distribution. For more information about the Amended Distribution Plan, see the Commission litigation release posted at http://www.sec.gov/litigation/admin/33-8129.htm The Disgorgement Fund in the amount of $200,000 was created as a result of the settlement of an administrative proceeding against Americorp Securities, Inc. and Drew Edgar Schaefer, to compensate retail customers of Americorp who purchased shares of common stock of PHC, Inc. on March 3, 1994. On Nov. 1, 2000, the Commission approved a Distribution Plan in this matter. In accordance with the Distribution Plan, in November 2000, the Administrator of the Disgorgement Fund sent all potential claimants a Proof of Claim Form informing them that they were entitled to receive a certain amount of money from the Disgorgement Fund. Claimants were asked to complete and return the Proof of Claim Form to the Administrator at the Securities and Exchange Commission's Northeast Regional Office at 7 World Trade Center, New York, NY. As a result of the destruction of the Commission's Northeast Regional Office on Sept. 11, 2001, the Proof of Claim forms that were returned were lost, along with other important information relating to the distribution. In light of the delay caused by the events of September 11, the Commission amended the Distribution Plan to permit a partial distribution so that those claimants from whom the Commission staff had already received new Proof of Claim forms would receive a distribution without further delay. In addition, under the amended plan, a notice of the opportunity to submit or resubmit a claim against the Disgorgement Fund was posted on the Commission's website and claimants were given an additional six months to submit a Proof of Claim form. As of Feb. 24, 2003, claims for only $81,465 of the $200,000 Disgorgement Fund had been submitted to the Fund Administrator. Consequently, pursuant to the Amended Plan, the Commission has issued this Order of Final Distribution distributing the remainder of the Disgorgement Fund to all claimants who submitted a valid proof of claim form. (Rel. 33-8250; File No. 3-9367) SEC SETTLES MARKET MANIPULATION CHARGES AGAINST KEVIN KIRKPATRICK The Commission announced today that on July 9 the Honorable Tena Campbell, United States District Judge for the District of Utah, Central Division, entered a Judgment of Permanent Injunction as to Kevin Kirkpatrick of Salt Lake City, Utah. The Commission's complaint, filed Sept. 30, 2002, alleged that Kirkpatrick, then a trader at a brokerage firm in Salt Lake City, engaged in a scheme with other defendants from July through November 2000 to manipulate the public trading market for stock issued by Freedom Surf, Inc. The complaint alleged that Kirkpatrick, Allen Wolfson and other defendants participated in a scheme to artificially run up the price of Freedom Surf stock. Kirkpatrick and others advanced the bid quotation in Freedom Surf stock without relation to genuine market demand or worth of the company. Further, Kirkpatrick and other defendants made arranged purchases and sales among brokerage accounts that Wolfson controlled. The complaint also alleged that Kirkpatrick made unregistered sales of securities. The Judgment against Kirkpatrick enjoins him from future violations of Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5 promulgated thereunder. The Judgment also orders that the Court will retain jurisdiction to decide the appropriate amount, if any, of disgorgement, prejudgment interest and penalties against Kirkpatrick.
