Well, Director of the Office of Public Affairs, intends to leave the Commission next week to pursue opportunities in the private sector. Chairman William H. Donaldson said, “Matt has been an invaluable member of our team during an historic and challenging time in the Commission’s history. His strategic counsel and communications skills have been integral in furthering our mission at the Commission.” In addition to serving as the agency’s principal spokesperson, Well was responsible for developing and executing internal and external communications programs, and providing strategic counsel to the Chairman and division heads. Well is a veteran communications and public affairs strategist who previously served as the Director of Public Affairs and Field Operations for the American Tort Reform Association where he developed and executed national and state communications strategies. Prior to that, Well served as the Director of Issue Advocacy for the Republican Leadership Council and on the presidential campaign of Bob Dole. Well holds an MBA from Johns Hopkins University and a bachelor’s degree in political science from the University of Kansas. (Press Rel. 2005- 95) PETER DERBY, MANAGING EXECUTIVE FOR OPERATIONS AND MANAGEMENT, ANNOUNCES INTENTION TO LEAVE THE SEC On June 30, Peter Derby, Managing Executive for Operations and Management, announced that he intends to leave the Commission at the end of July to explore options in both the private and public sectors. Chairman William H. Donaldson said, “Peter has played a critical role as a trusted member of our senior management team during a critical period at the Commission. He was instrumental in increasing the operational efficiency and effectiveness at the Commission and served with distinction and integrity. Peter will leave a strong and lasting legacy at the Commission.” Derby said, “It has been an honor and a privilege to serve under the leadership of Chairman Donaldson. The opportunity to work at the ‘crown jewel’ of federal government at such an historic time has been an experience I will always treasure.” Derby became the Managing Executive for Operations and Management in April of 2003. In this position Derby assisted the Chairman with the increase in the SEC's operational effectiveness and responsiveness while considering administrative, operational and management issues during a period of rapid growth at the Commission. In addition to increasing the Commission’s operational effectiveness, Derby oversaw a number of key initiatives during his tenure including: · the creation of the Risk Management Program and the Office of Risk Assessment to create a more anticipatory and proactive posture; · engaging in a comprehensive review of the agency and the preparation of the SEC’s 2004-2009 Strategic Plan creating Dashboard accountability reports; · producing the first-ever audited financial statements of the Commission completed for fiscal 2004; · integration of technology into the work process leading to several successful programs such as the document management initiatives, tagging of data and the creation of the virtual workforce program; and · leading the development of a “concept of implementation” for aligning facilities, technology and organizational systems with the agencies strategic themes. Prior to coming to becoming Managing Executive for Operations and Management, Derby served as an elected member of the Board of Trustees of the Village of Irvington-on-Hudson, N.Y. Derby spent a decade in Russia, where he participated in the founding of DialogBank, the first private Russian bank to receive an international banking license. He was named CFO in 1990, served as President and CEO from 1991 to 1997 and as Chairman from 1997 to 1998. Additionally, Derby founded the first Russian investment firm, Troika Dialog and served as President and CEO from 1991 to1996 and as Chairman from 1996 to 1997. Prior to his tenure in Russia, Derby was a Corporate Finance Officer at National Westminster Bank from 1985 to 1990, and an Auditor at Chase Manhattan Bank from 1983 to 1985, both in New York City. Hall, Managing Executive for Policy and a member of Chairman Donaldson’s senior management team, will leave the Commission to join the law firm of Davis Polk & Wardwell in New York. He has helped to manage a series of complicated rulemakings, and his contribution to the SEC, and to my office, has been substantial." Hall assists the Chairman in directing the Commission’s policy-making and enforcement activities. Hall joined the Commission as Senior Policy Fellow in the Office of General Counsel in October 2003. Prior to joining the Commission, Hall was a partner with Davis Polk & Wardwell. Hall also worked for Reuters America Inc. as corporate counsel and clerked for the Hon. Phyllis A. Kravitch, U.S. Court of Appeals for the Eleventh Circuit. Hall received his J.D. from Columbia Law School in New York, where he was an editor of the Law Review, a James Kent Scholar and a Harlan Fiske Stone Scholar. Hall received his B.A. from the University of North Carolina at Chapel Hill, where he graduated with highest honors and was a member of Phi Beta Kappa. (Rel. 34-51960) ENFORCEMENT PROCEEDINGS COMMISSION DISMISSES PETITION OF LARRY SAYLOR AS NOT REVIEWABLE UNDER THE EXCHANGE ACT The Commission dismissed the application of Larry A. Saylor for review of NASD's denial of Saylor's motion to vacate a 1972 NASD order barring Saylor from associating with NASD member firms as a principal. The Commission determined that NASD's denial of the motion was not reviewable because it did not fall within one of the four types of self-regulatory organization actions that the Commission is authorized to review under Section 19(d) of the Securities Exchange Act of 1934. (Rel. 34-51949; File No. 3-11733) COMMISSION FINDS THAT FORMER CFO AND CONTROLLER OF AKORN, INC. VIOLATED EXCHANGE ACT ANTIFRAUD AND INTERNAL CONTROLS PROVISIONS AND CAUSED COMPANY'S VIOLATIONS OF BOOKS AND RECORDS AND REPORTING PROVISIONS IN CONNECTION WITH FINANCIAL STATEMENTS INCLUDED IN COMPANY'S 2000 FORM 10-K The Commission found that Rita J. McConville, as CFO of Akorn, Inc. (Company), had significant responsibility for the Company's financial statements included in the Company's Form 10-K for the year ended December 31, 2000, which financial statements materially inflated the Company's accounts receivable, net sales, and assets. The Commission also found that McConville caused the Company to maintain inaccurate books and records and that she falsely assured the Company's auditors that the financial statements in the Form 10-K complied with GAAP. As a result of this conduct, the Commission found that McConville violated Sections 10(b) and 13(b)(5) of the Exchange Act and Rules 10b-5, 13b2-1 and 13b2-2 thereunder, and caused the Company to violate Sections 13(a) and 13(b)(2) of the Exchange Act and Rules 12b-20 and 13a-1 thereunder. The Commission imposed an order that McConville cease and desist from committing or causing, as applicable, any violation of these provisions. The Commission found that the financial statements McConville prepared materially misstated the Company's financial position by overstating the Company's accounts receivable, which represented 57% of the Company's assets at the time, by failing to note a loss contingency. The Commission further found that the failure to note the loss contingency, given indications at the time that the Company would fail to collect a material amount of the receivable from its five largest wholesale customers, rendered the statement in the Company's 2000 Form 10-K that the financial statements were prepared in accordance with GAAP materially false and misleading. The Commission further found that McConville knew that the Company's internal controls and books and records were in disarray at the time of the filing of the 2000 Form 10-K and that the Company's records did not accurately show what invoices had been paid or what amounts were still owing on particular invoices and therefore did not fairly reflect the Company's accounts receivable at the time. The Commission also found that McConville signed management representation letters to the Company's outside auditors that vouched for the conformity of the financial statements with GAAP, the adequacy of the Company's allowance for accounts receivable, and the lack of need for further disclosures. Based on the evidence discussed above, the Commission found that these representations were materially false and misleading. (Rel. 34-51950; AAE Rel. 2271; File No. 3-11330) ADMINISTRATIVE PROCEEDING INSTITUTED AGAINST ST. GEORGE METALS, INC. FOR FAILING TO MAKE REQUIRED PERIODIC FILINGS AND TRADING SUSPENSION ORDERED On July 1, the Commission instituted a public administrative proceeding pursuant to Section 12(j) of the Securities Exchange Act of 1934 against St. George Metals, Inc. (Pink Sheets Symbol: SGGM) to determine whether the registration of its securities should be revoked or suspended for failing to comply with Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder, which require the filing of periodic reports with the Commission. The Division of Enforcement alleges in the Order Instituting Administrative Proceeding that St. George Metals had common stock registered pursuant to Section 12(g) of the Exchange Act. The Division of Enforcement further alleges that St. George Metals has failed to file periodic reports since November 2002. A hearing will be scheduled before an administrative law judge to determine whether the allegations of the Division of Enforcement contained in the Order Instituting Administrative Proceeding are true, to provide St. George Metals an opportunity to dispute the allegations, and to determine whether it is necessary and appropriate for the protection of investors to suspend or revoke the registration of St. George Metals’ securities. Pursuant to the Commission's Rules of Practice, an initial decision shall be issued by the administrative law judge within 120 days from service of the Order Instituting Administrative Proceeding upon St. George Metals. EXECUTIVE DAVID HURLEY; HURLEY SETTLES, AGREEING TO AN INJUNCTION, PERMANENT OFFICER-AND-DIRECTOR BAR, AND PENALTY On June 30, the Commission filed a civil action against David M. Hurley (Hurley), former chief operating officer of aaiPharma, Inc. (aaiPharma), a publicly-traded pharmaceutical company headquartered in Wilmington, North Carolina, for fraudulent transactions designed to inflate the company’s reported sales revenue in 2003. Hurley has agreed to settle this matter by agreeing to entry of a judgment enjoining him from violations of the antifraud, recordkeeping, internal controls, and other provisions of the federal securities laws (Sections 10(b) and 13(b)(5) of the Securities Exchange Act of 1934 and Rules 10b-5 and 13b2-1 thereunder and aiding and abetting violations of Exchange Act Sections 13(a), 13(b)(2)(A), and 13(b)(2)(B) and Rules 12b-20, 13a-11, and 13a-13 thereunder). He also consented to a permanent bar prohibiting him from acting as an officer or director of a public company and to paying a civil penalty in an amount to be determined by the Court at a later date. Hurley’s consent, subject to Court approval, is without admitting or denying the allegations in the Commission’s complaint. In its complaint, the Commission alleges that prior to aaiPharma’s 2003 fiscal third quarter end, Hurley arranged three fraudulent sales transactions with customers to create the illusion that aaiPharma had met or exceeded its sales goals for the quarter. Although the sales Hurley arranged were either consignment sales or other types of non- final sales, aaiPharma falsely recorded the sales as final. These fraudulent sales, totaling approximately $20.6 million, were reflected in aaiPharma’s financial statements included in filings made with the Commission and publicly disseminated in November 2003 and February 2004. The complaint further alleges that in the fourth quarter of 2003, Hurley arranged another fraudulent sales transaction with an aaiPharma customer. Although the transaction gave the customer the right to return the product, aaiPharma falsely recorded it as a final sale. As a result, aaiPharma reflected fraudulent sales of approximately $8 million in a Form 8-K filed with the Commission in February 2004 that announced the company’s financial results for its fiscal fourth quarter and fiscal year ended 2003. [SEC v. David M. Hurley, Civil Action No. 1:05CV01306 (JR) (D.D.C.)] (LR-19290; AAE Rel. 2270) CIVIL ACTION FILED AGAINST TERRY’S TIPS, INC. AND TERRY ALLEN ALLEGING FRAUDULENT CONDUCT RELATED TO ITS “AUTOTRADING” PROGRAMS The Commission filed a complaint in the U.S. Dstrict Court for the District of Vermont, on June 30, 2005, seeking a permanent injunction against Terry’s Tips, Inc., a Vermont corportation and Terry F. Allen for violations of the antifraud provisions of the Securities Exchange Ac of 1934 and the Investment Advisers Act related to their operation of “autotrading” programs. The complaint alleges that Terry’s Tips and Allen have had more than 1200 clients who have invested through its autotrading programs. The complaint also alleges that Terry’s Tips and Allen published performance projections in which they stated subscribers could expect annualized returns of 100% by following Allen’s trading strategies, while at the same time portfolios following these strategies were actually experiencing substantial losses. The complaint seeks permanent injunctive relief, disgorgement of illegal profits with prejudgment interest and civil monetary penalties based on alleged violations of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder and violations of Sections 206(1) and 206(2) of the Investment Advisers Act of 1940.
