The Commission will consider whether to adopt final rules that would modify and advance significantly the registration, communications, and offering processes under the Securities Act of 1933. The rules would eliminate unnecessary and outmoded restrictions on offerings. In addition, the rules would provide more timely investment information to investors without mandating inappropriate delays in the offering process. The rules also continue our long-term efforts toward integrating disclosure and processes under the Securities Act and the Securities Exchange Act of 1934. The rules accomplish these goals by addressing communications related to registered securities offerings, delivery of information to investors, and procedural restrictions in the offering and capital formation process. The Commission will consider whether to adopt final rules amending Form S-8, Form 8-K, and Form 20-F, as well as defining the term “shell company” and amending the definition of the term “succession.” The rules would address: (1) the use of Form S-8 by shell companies; and (2) the information required to be disclosed in a report on Form 8-K or Form 20-F filed when a company becomes a shell company or ceases to be a shell company. The rules are designed to assure that investors in shell companies that acquire operations or assets have access on a timely basis to the same kind of information as is available to investors in public companies with continuing operations. The Commission will consider the matters remanded to the Commission by the U.S. Court of Appeals for the District of Columbia Circuit on June 21, 2005, in its decision in Chamber of Commerce v. ENFORCEMENT PROCEEDINGS MORGAN COOPER STOCK REGISTRATION REVOKED The registration of the stock of Morgan Cooper, Inc. (MCII), has been revoked. The revocation was ordered in an administrative proceeding before an administrative law judge. MCII has not had any business activity in several years, and it has not filed any annual or quarterly reports with the Commission since 2000. Thus, it violated a crucial provision of the federal securities laws that requires public corporations to publicly disclose current, accurate financial information so that investors may make informed decisions. Accordingly, the law judge revoked the registration of MCII’s stock to serve the public interest and for the protection of investors. (Initial Decision No. 288; File No. 3-11805) DISTRICT COURT DISMISSES CLAIMS AGAINST PROJECT DACONO LLC On March 31, 2005, the Honorable Robert E. Blackburn of the U.S. District Court for the District of Colorado entered an order of dismissal as to Project Dacono LLC without prejudice, pursuant to the stipulated motion of the Commission and Project Dacono. The Commission’s action against defendants Glen W. Hilker and Larry M. Baker, and against relief defendants TriCord LLC and Brookshire Development Co. LLC, is continuing. Default judgments have been entered against defendant HB Investors LLC, and relief defendants HSB Development Co. LLC and Westco Investment & Finance, Inc. The Commission alleged that, from at least September 2000 through March 2003, defendants Hilker and Baker, through defendant HB Investors LLC, collectively raised over $4.7 million on behalf of defendant Project Dacono LLC for the purchase and development of real estate located in Dacono, Colorado. In raising these funds, the defendants made numerous false statements to investors, primarily concerning the use of investor proceeds. The Commission alleged that the defendants violated the antifraud provisions of the federal securities laws set forth in Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The Commission’s action seeks permanent injunctions prohibiting future violations of these provisions, disgorgement of the defendants’ ill-gotten gains plus prejudgment interest, and civil penalties against each defendant. An order has been issued on an application filed by The Korea Fund Inc. under Sections 6(c) and 17(b) of the Investment Company Act for an exemption from Section 17(a) of the Act to permit in-kind repurchases of shares of the Fund held by certain affiliated persons of the Fund. IC-26911 – June 20) SELF-REGULATORY ORGANIZATIONS IMMEDIATE EFFECTIVENESS OF PROPOSED RULE CHANGES The Options Clearing Corporation filed a proposed rule change and amendment number 1 (SR-OCC-2005-07) under Section 19(b)(1) of the Exchange Act, which proposed rule change became effective upon filing, to update OCC’s By-Laws and Rules pertaining to the settlement of exercised cross-rate foreign currency options.
