SEC NEWS DIGEST Issue 2005-105 June 2, 2005 ENFORCEMENT PROCEEDINGS COMMISSION REVOKES REGISTRATION OF SECURITIES OF UPGRADE INTERNATIONAL CORPORATION FOR FAILURE TO MAKE REQUIRED PERIODIC FILINGS On June 2, the Commission instituted a settled proceeding pursuant to Section 12(j) of the Securities Exchange Act of 1934 (Exchange Act) revoking the registration of each class of registered securities of Upgrade International Corp. (Upgrade International) for failure to make required periodic filings with the Commission. Without admitting or denying the findings of the order, except as to jurisdiction, which it admitted, Upgrade International consented to the entry of an order finding that it had failed to comply with Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder and revoking the registration of each class of Upgrade International’s registered securities pursuant to Section 12(j) of the Exchange Act. (Rel. 34-51772; File No. 3-11937) IN THE MATTER OF THOMAS STEINBACH, ASHLEY SOSNER, TIM RICE, HOWARD KERBEL, BARRY BERMAN, VINCENT BARONE, AND BRUCE BIDDICK On June 2, the Commission entered an Order Instituting Public Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934 (Order) against Thomas Steinbach, Ashley Sosner, Tim Rice, Howard Kerbel, Barry Berman, Vincent Barone, and Bruce Biddick (collectively, the Respondents). The Order alleges that each of the Respondents have been criminally convicted of violating the federal securities laws. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide the Respondents an opportunity to dispute these allegations, and to determine whether, pursuant to Section 15(b) of the Exchange Act, it is appropriate and in the public interest to bar Respondents from participating in any offering of penny stock, including: acting as a promoter, finder, consultant, agent or other person who engages in activities with a broker, dealer or issuer for purposes of the issuance or trading in any penny stock; or inducing or attempting to induce the purchase or sale of any penny stock; and to determine what, if any, additional remedial action is necessary and appropriate in the public interest against Sosner and Biddick, pursuant to Section 15(b) of the Exchange Act. The order requires the Administrative Law Judge to issue an initial decision no later than 210 days from the date of service of this Order, pursuant to Rule 360(a)(2) of the Commission’s Rules of Practice. (Rel. 34-51773; File No. 3-11938) PUBLIC ADMINISTRATIVE PROCEEDINGS INSTITUTED AGAINST AND SIMULTANEOUSLY SETTLED WITH DAVID RICH, CRIS SAGNELLI, RAY HUTCHINSON, DANIEL BENDER, FRANK DICKEY, AND GEORGE DOUMANIS On June 2, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934, Making Findings and Imposing Remedial Sanctions (Order) against David Rich, Cris Sagnelli, Ray Hutchinson, Daniel Bender, Frank Dickey, and George Doumanis. The Order finds, among other things, that the respondents each participated in an offering of a penny stock, that Respondent Doumanis was also associated with a broker-dealer, and that each respondent pled guilty to one count of conspiracy to commit wire fraud, mail fraud and securities fraud in violation of Title 18 United States Code, Section 371. Based on the above, the Order bars Rich, Sagnelli, Hutchinson, Bender, Dickey, and Doumanis from participating in any offering of a penny stock, including: acting as a promoter, finder, consultant, agent or other person who engages in activities with a broker, dealer or issuer for purposes of the issuance or trading in any penny stock; or inducing or attempting to induce the purchase or sale of any penny stock. The order also bars Doumanis from association with any broker or dealer. Rich, Sagnelli, Hutchinson, Bender, Dickey, and Doumanis consented to the issuance of the Order without admitting or denying any of the findings contained therein with the exception of their respective criminal pleas. (Rel. 34-51774; File No. 3-11939) COMMISSION FILES AMENDED COMPLAINT ALLEGING FRAUD AGAINST JOSEPH A. FERONA JR. AND CASTLE ROCK TRADING COMPANY On May 31, 2005, the Commission filed its First Amended Complaint in the United States District Court for the District of Colorado adding new fraud claims against Joseph Ferona and Castle Rock Trading Company under Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and Sections 206(1) and (2) of the Investment Advisers Act of 1940. The First Amended Complaint seeks permanent injunctions against future violations of these provisions, adds a claim for disgorgement against Joseph Ferona and Castle Rock Trading Company, and names Cheryl L. Ferona as a relief defendant and seeks disgorgement from her. The Commission also filed a motion to extend the asset freeze beyond its June 3, 2005, expiration date and for an order requiring Joseph Ferona to surrender his passports. In the First Amended Complaint, the Commission alleges that Ferona has been operating a Ponzi scheme, using new investor money to pay purported returns to old investors. The amended complaint also alleges that Ferona lost over $1.05 million in trading various investments from October 2003 to March 2005 and that Ferona used approximately $500,000 of investor funds for cash withdrawals and to make personal purchases, including a $120,000 down payment on a house he bought in 2005. The Commission’s original complaint, filed April 5, 2005, alleged, among other things, that Global Prosperity Fund was unlawfully operating as an unregistered investment company and that Ferona and Castle Rock Trading Company were unlawfully operating as unregistered investment advisers. The complaint also alleged that Ferona, Castle Rock Trading, and the Global Prosperity Fund did not comply with their statutory duty to allow a compliance examination. Ferona was preliminarily enjoined by consent on April 6, 2005. On May 4, 2005, the Court granted the Commission’s motion for an asset freeze.
