SEC NEWS DIGEST Issue 2005-58 March 28, 2005 COMMISSION ANNOUNCEMENTS NORTHEAST REGIONAL OFFICE ANNOUNCES MOVE TO WORLD FINANCIAL CENTER; STATE OF THE ART FACILITIES WILL SUPPORT OFFICE MISSION AND ACCOMMODATE INCREASED STAFF The Commission today announced that its Northeast Regional Office has leased brand new space in New York's World Financial Center. The move will accommodate recent staff growth and enable the Northeast Regional Office to continue to maintain its significant presence in the city's financial district. Mark K. Schonfeld, Director of the Northeast Regional Office, said, "This is a tremendous step for the future of this office. The World Financial Center is a symbolic location for the SEC's presence in the financial capital of the world. This will also enable the dedicated people in the SEC's New York office to continue their successful achievements on the front lines of enforcing the nation's securities laws." The Office's previous location, at Seven World Trade Center, was destroyed in the Sept. 11, 2001, terrorist attacks. The Commission quickly leased new space in Lower Manhattan's historic Woolworth Building and resumed full operations within weeks after the attacks. Since September 2001, the staff of the Office has grown by more than 20%. The World Financial Center location includes more office and meeting space, which will allow the Office staff to better fulfill their examination, investigation, and litigation responsibilities. The World Financial Center is a group of four office towers connected by public spaces and located in Manhattan's Battery Park City on the Hudson River, not far from the Office's original location. The move is expected to be completed by this spring. (Press Rel. 2005-42) ORDER OF SUSPENSION OF TRADING ENTERED AGAINST URBAN TRANSFER SYSTEMS, INC., TEMPO FINANCIAL, INC., STB CHIP CORPORATION AND LONISSON COMMUNICATIONS CORPORATION The Commission announced the temporary suspension, pursuant to Section 12(k) of the Securities Exchange Act of 1934, of over-the-counter trading in the securities of Urban Transfer Systems, Inc. (Urban Transfer), Tempo Financial, Inc. (Tempo), STB Chip Corporation (STB Chip) and Lonisson Communications Corporation (Lonisson), companies with offices in Pacific Palisades, California, at 9:30 a.m. EST on March 28, 2005, and terminating at 11:59 p.m. EDT on April 8, 2005. The Commission temporarily suspended trading in the securities of Urban Transfer, Tempo, STB Chip and Lonisson because of concerns that all four companies may have unjustifiably relied on Rule 504 of Regulation D of the Securities Act of 1933 in conducting unlawful distributions of their securities that failed to comply with the resale restrictions of Regulation D. Questions also have been raised regarding potentially manipulative transactions in the common stock of Urban Transfer, Tempo, STB Chip and Lonisson by certain individuals associated with the companies. Further, the Commission questions the accuracy of statements made in publicly available Information Statements: (1) by STB Chip concerning the beneficial ownership of its securities by one of its directors and the disciplinary history of its counsel; and (2) by Urban Transfer and Lonisson concerning the disciplinary history of its counsel. (Rel. 34-51437) ENFORCEMENT PROCEEDINGS COMMISSION DECLARES DECISION AS TO DANIEL CHARBONEAU FINAL The decision of an administrative law judge barring Daniel E. Charboneau from association with any broker or dealer has become final. The law judge found that Charboneau was permanently enjoined from violations of the antifraud provisions of the federal securities laws, based on his wrongdoing while participating in an offering of stock of FoneCash, Inc., a penny stock. The law judge also found that Charboneau is currently serving a twenty-four-month prison sentence for attempting to bribe an undercover FBI agent posing as a representative of a mutual fund, to purchase FoneCash share for the fund. Further, while chief executive officer of FoneCash, Charboneau signed various registration statements, amendments and reports on Forms 10-K and 10-Q which contained material misrepresentations and omissions that were known to him. (Rel. 34-51436; File No. 3-11765) COMMISSION BARS VICTOR NANCE FROM ASSOCIATION WITH AN INVESTMENT ADVISER On March 25, the Commission, pursuant to Section 203(f) of the Investment Advisers Act of 1940, barred Victor G. Nance from associating with any investment adviser. Nance's bar, to which he consented, is based on his conviction for money laundering in the U.S. District Court for the Southern District of Mississippi, in the case of United States v. Victor G. Nance, CR. No. 3:03cr89LS-002. At the time of the relevant conduct, Nance was associated with two investment advisers registered with the Commission. The money laundering count of the criminal indictment to which Nance pled guilty alleged, among other things, that Nance knowingly engaged and attempted to engage in monetary transactions by, through, or with a financial institution, affecting interstate commerce and in criminally derived property. The proceeds to participate in the money laundering transactions were derived from a scheme and artifice to defraud involving a conspiracy to induce victims to invest in a fraudulent trading program and were obtained by means of materially false and fraudulent pretenses, representations and promises. RICHARD SVOBODA AND MICHAEL ROBLES On March 22, the Commission filed its First Amended Complaint (Amended Complaint) against defendants Richard A Svoboda (Svoboda) and Michael A. Robles (Robles), in the U.S. District Court for the Southern District of New York. The Amended Complaint in this insider trading case alleges that defendant Svoboda, formerly an employee of NationsBank, N.A. (NationsBank), traded in the securities of nine companies on the basis of material nonpublic information that he stole from NationsBank and its customers. The Amended Complaint also alleges that Svoboda schemed with and tipped his long-time friend, defendant Robles, who traded in the securities of twenty companies on the basis of material nonpublic information stolen from NationsBank and its customers. According to the Amended Complaint, Svoboda's and Robles' combined ill-gotten gains (not including interest) from their illegal insider trading were approximately $1.25 million. The Amended Complaint alleges that the defendants' insider trading violated Section 17(a) of the Securities Act of 1933, Sections 10(b) and 14(e) of the Securities Exchange Act of 1934, and Exchange Act Rules 10b-5 and 14e-3, and seeks injunctive relief, disgorgement, and civil money penalties. The Commission filed its original complaint on Nov. 7, 2000, the same day Svoboda and Robles were indicted in a related criminal case in the U.S. District Court for the Southern District of New York. In the criminal case, Svoboda pleaded guilty to conspiracy, securities fraud, and tender offer fraud, and was sentenced to be incarcerated for 12 months and one day, and to pay a $200,000 fine. After a merits trial, a federal jury convicted Robles of conspiracy, securities fraud, and tender offer fraud. He was sentenced to be incarcerated for 41 months, and to pay a $300,000 fine. The Second Circuit Court of Appeals affirmed Robles' conviction on Oct. 24, 2003. See United States of America v. Richard A. Svoboda and Michael A.
