ENFORCEMENT PROCEEDINGS IN THE MATTER OF LEWIS HODGE AND BRETT DOHNER On March 23, the issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934, Making Findings and Imposing Remedial Sanctions (Order) against Lewis Henry Hodge (Hodge) and Brett John Dohner (Dohner). The Order finds that on April 16, 2004, Hodge pled guilty to one count of conspiracy to commit securities and wire fraud. The Order also finds that on June 23, 2004, Dohner pled guilty to one count of conspiracy to commit securities fraud and wire fraud and one count charging securities fraud. As set forth in the indictments, while at Geek Securities, Inc. (Geek), Hodge, Dohner and others entered into a conspiracy whereby they enticed persons and entities (the borrowers) to enter into stock loan deals and other similar financing agreements requiring the borrowers to pledge as collateral stock in publicly traded companies. In many cases, the loans were not funded, or only partially funded. Although the borrowers were told that the stock would be held and not sold, the stock was later sold and the proceeds converted by Hodge, Dohner and others for their personal gain. Based on the above, the Order bars Hodge and Dohner from association with any broker or dealer. Hodge and Dohner consented to the issuance of the Order without admitting or denying any of the findings in the administrative proceeding. (Rel. 34-51422; File No. 3-11871) SEC FILES SETTLED REGULATION FD CHARGES AGAINST FLOWSERVE CORPORATION, ITS CEO, AND DIRECTOR OF INVESTOR RELATIONS FLOWSERVE AGREES TO PAY $350,000 PENALTY CEO AGREES TO PAY $50,000 PENALTY On March 24, the Commission filed two settled enforcement proceedings charging Flowserve Corporation, a manufacturer of precision-engineered flow control equipment headquartered in Irving, Texas, with violating Regulation FD and Section 13(a) of the Securities Exchange Act of 1934. First, the Commission filed a lawsuit in the United States District Court for the District of Columbia charging Flowserve with violating, and C. Scott Greer, Flowserve’s Chairman, President and Chief Executive Officer, with aiding and abetting Flowserve’s violations of, Regulation FD and Section 13(a). Second, the Commission issued an administrative order finding that Flowserve violated the same provisions, and that Greer and the Company’s Director of Investor Relations, Michael Conley, were each a cause of Flowserve’s violations. Without admitting or denying the Commission’s charges, Flowserve and Greer consented to the entry of a final judgment in the federal lawsuit that requires the company to pay a $350,000 civil penalty and Greer to pay a $50,000 civil penalty. Flowserve, Greer and Conley also agreed to the issuance of the Commission’s administrative order. In both its federal court complaint and its administrative order, the Commission charged that, Flowserve, a calendar-year reporting corporation, began 2002 forecasting annual earnings per share in the range of $1.90 to $2.30. In July of that year, the Company revised that estimate to $1.70 to $1.90 per share. On September 27th, the Company lowered its earnings estimate to $1.45 to $1.55 per share, which the Company reaffirmed in its Form 10-Q filed on Oct. 22, 2002. The $1.45 to $1.55 range represented more than a 30% decline in earnings per share estimates since the beginning of the year. On Nov. 19, 2002, forty-two days before the end of Flowserve’s fiscal year, Greer, along with Conley, met privately in Irving, Texas with analysts from four investment and brokerage firms. At that meeting, the attendees discussed various aspects of Flowserve’s business, including recent acquisitions, debt covenants, and free cash flow. At one point, one of the analysts asked about the Company’s earnings guidance for the year. Neither Conley nor Greer gave the response required by the Company’s policy that earnings guidance was effective at the date given and would not be updated until the company publicly announced updated guidance. Conley did not caution Greer before Greer answered the analyst’s questions. In fact, Conley remained altogether silent. Instead, in response to the question, Greer reaffirmed the previous guidance, which had been issued on Oct. 22, 2002, and provided additional material nonpublic information. Having heard the exchange between Greer and the analyst, again Conley was silent and did nothing to explain Greer’s statements. Conley also failed to reiterate the Company policy as to earnings guidance. On Nov. 20, 2002, an analyst who attended the meeting issued a report to the investment firm’s subscribers stating that Flowserve reaffirmed its earnings guidance. The report was electronically distributed to subscribers of Thomson’s First Call. The next day, on November 21, Flowserve’s closing stock price was approximately 6% higher than the closing price the day before. In addition, the trading volume of Flowserve’s stock increased by 75%, from 379,500 shares traded on November 20th to 658,300 shares traded on November 21st. After the market closed on November 21, Flowserve furnished a Form 8-K admitting that it had “reaffirmed its full year 2002 estimated earnings per share.” In addition to the underlying conduct, the Commission considered the Respondents’ lack of cooperation afforded the Commission staff. Specifically, both Greer and Conley denied that a reaffirmation occurred at the meeting, which is inconsistent with the Form 8-K furnished by Flowserve. [SEC v. Flowserve Corporation and C. Scott Greer, Case No. 1:05CV00612, USDC, D.D.C] (LR-19154; Press Rel. 2005-41); (Rel. 34- 51427; File No. 3-11872) SEC FILES FRAUD CHARGES AGAINST RONALD BAUER IN $1.5 MILLION INTERNATIONAL MARKET MANIPULATION SCHEME On March 2, the Commission filed a civil enforcement action in the U.S. District Court for the Northern District of Texas (Dallas Division) against 30-year-old Ronald J. Bauer, 30, a Canadian citizen and Vancouver resident. In its complaint, the Commission alleged that Bauer masterminded a $1.5 million international market manipulation “pump-and- dump” scheme. According to the Commission’s complaint, from November 2002 through January 2003, Bauer pumped the stock of The Bauer Partnership Inc. (Bauer Partnership) by issuing false and misleading press releases, while secretly dumping tens of millions of Bauer Partnership shares into the inflated market that he had created. Bauer received ill-gotten gains of approximately $1.5 million from the scheme and used the proceeds to fund an extravagant lifestyle. The Commission alleges in its complaint that Bauer violated Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933; Sections 10(b), 13(d) and 16(a) of the Securities Exchange Act of 1934, and Rules 10b-5, 13d-1 and 16a-3 thereunder; and aided and abetted the Bauer Partnership’s violations of Section 13(a) of the Exchange Act and Rules 13a-11, 13a-13 and 12b-20 thereunder. The complaint seeks a permanent injunction, officer-and-director and penny-stock bars, disgorgement with pre-judgment interest and a civil money penalty. [SEC v. Ronald J. Bauer, Civil Action No. 3:05-CV-0426-H, USDC NDTX, Dallas Division] (LR- 19153) SEC v. MAVEN CAPITAL CORPORATION, ET AL. On March 15, the Honorable Kent J. Dawson, U.S. District Judge for the District of Nevada, entered an Order To Show Cause why defendant Rodd Buckle (Buckle) should not be held in civil contempt for his violation of the Court’s Feb. 13, 2001, order requiring him to pay disgorgement and civil penalties. The Commission’s application alleged that on Feb. 13, 2001, the Court entered an Order on Civil Penalties as to Buckle. The order provided, among other things, that Buckle pay previously ordered disgorgement of $2,037,815 and a civil penalty of $110,000 within 30 days of the order. The Commission alleged that Buckle made no payment whatsoever through March 2004. On a prior application by the Commission, the Court found Buckle in contempt on March 5, 2004. He has since paid only $276.10. [SEC v.
