FOR DELINQUENT FILINGS On March 17, the Commission instituted public administrative proceedings to determine whether to revoke or suspend the registration of each class of the securities of Infotopia, Inc. (IFTA) for failure to make required periodic filings with the Commission. In this matter, the Division of Enforcement alleges that IFTA is delinquent in its required periodic filings with the Commission. The Division of Enforcement also alleges that IFTA had an average daily trading volume of 94,835 shares for the six months ended Aug. 24, 2004. In these proceedings, instituted pursuant to Section 12(j) of the Securities Exchange Act of 1934, a hearing will be scheduled before an Administrative Law Judge. At that hearing, the judge will hear evidence from the Division of Enforcement and the respondent to determine whether the allegations of the Division of Enforcement contained in the Order, which the Division alleges constitute violations of Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder, are true. Pascale, CPA, in connection with his audits of the financial statements of his publicly traded client Composite Holdings, Inc. for the fiscal years ended June 30, 1999, through Dec. 31, 2001, caused the company's violations of the reporting requirements of Section 15(d) of the Exchange Act and Exchange Act Rules 15d-1 and 15d-13. The Commission also found that Pascale's audits involved improper professional conduct under Commission Rule of Practice 102(e)(1)(ii). The Commission imposed an order that Pascale cease and desist from causing any violation of the reporting provisions of Section 15(d) and Rules 15d-1 and 15d-13. The Commission found that the financial statements Pascale audited failed to value the company's chief asset, a patent for a building material, properly under GAAP and GAAS. The Commission found that the valuation of the patent was improper both because Pascale accepted thinly supported management representations about projected revenues deriving from the patent and also because Pascale improperly determined the value of company stock that was exchanged in the merger that resulted in the company's acquisition of the patent. The Commission further found that Pascale's audit failed, as required under GAAP, to recognize an impairment to the value of the key patent. The Commission also found that Pascale improperly recognized a deferred tax asset in connection with the company's acquisition of the patent and that Pascale improperly elected not to reduce the amount of the deferred tax asset by a valuation allowance. The Commission found that these audit failures resulted in the company's filing financial statements with the Commission that misrepresented the financial condition and results of operations of the company by materially overstating its assets and equity and understating its losses. (Rel. 33-8555; 34-51393; AAER- 2214; File No. 3-11194) SEC INSTITUTES SETTLED PROCEEDING AGAINST YOLANDA VELAZQUEZ On March 18, the Commission instituted settled public administrative proceedings against the chief executive officer of International Media Solutions, an Orlando, Fla., stock promotion company whom the Commission had previously sued and obtained injunctions against in United States District Court. Without admitting or denying the SEC’s findings, Yolanda Velazquez consented to entry of an order barring her from association with any broker or dealer. The order found that Velazquez, while IMS was soliciting registered brokers to purchase the stock of at least two Over- the-Counter Bulletin Board companies, failed to fully disclose the nature and amount of IMS’s compensation from the issuers and made material misrepresentations and omissions about the issuers. The United States District Court for the Southern District of Florida previously had issued permanent injunctions by consent against IMS and Velazquez: (1) enjoining them from violating Sections 5(a) and (c) and 17(a) and (b) of the Securities Act of 1933, and Sections 10(b) and 15(a) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder; (2) barring Velazquez from participating in the offering of penny stocks; and (3) ordering IMS and Velazquez to pay disgorgement, prejudgment interest and civil penalties.(Rel. 34-51396; File No. 3-11861) SEC SUES SOUTHERN CALIFORNIA MEDICAL SERVICES PROVIDER FOR FRAUD On March 17, the Commission filed a complaint against BodyScan Corporation, a company whose shares are quoted on the Pink Sheets under the symbol “BDYS”, and Anthony Sciuto, age 59, of San Clemente, Calif., BodyScan’s president and CEO, charging them with making a series of materially false and misleading statements about their operation of “imaging centers” in violation of the antifraud provisions of the federal securities laws. BodyScan, a Nevada corporation located in Irvine, Calif., purports to operate diagnostic or “imaging” centers that utilize electron- beam scanners to detect disease or other abnormalities of the internal organs at an early stage. The Commission’s complaint alleges that, from November 2003 to the present, the defendants made and disseminated false statements concerning the number of imaging centers operated by BodyScan, the company’s prospects for growth, and its anticipated earnings. According to the complaint, BodyScan issued a series of press releases between November 2003 and February 2004 wherein it stated that it operated up to eight imaging centers throughout the United States. BodyScan reinforced and expanded upon that representation by providing contact information for 11 imaging centers on its website until August 2004. Sciuto made additional misrepresentations in a May 2004 interview with an online investor newsletter, in which he stated that BodyScan was “negotiating” to acquire 12 additional imaging centers, was “on track” to have 20 imaging centers operating within one year, and that company sales would be “around the $20 million mark” for year-end 2004. The statements concerning the number of imaging centers operated by BodyScan were false and Sciuto’s projections concerning the growth of the number of imaging centers and year-end company sales were made without a good faith basis. In reality, the number of BodyScan imaging centers had been dwindling since early 2003, due to the company’s failure to remain current on its premises and equipment- leasing obligations. As of January 2004, BodyScan operated only three imaging centers, only two of which had functioning machinery. By March 2004, BodyScan was unable to service patients at any of its imaging centers. The Commission has charged BodyScan and Sciuto with violating Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The Commission seeks a final judgment permanently enjoining the defendants from future violations of the antifraud provisions, civil penalties, and an order that bars Sciuto from serving as an officer or director of any company. The Commission acknowledges the cooperation and assistance of the Australian Securities & Investments Commission in this matter. [SEC v. Cal.] (LR-19141) FEDERAL JUDGE FINDS DEFENDANT RANDALL TREADWELL IN CIVIL CONTEMPT OF COURT The Commission announced that on Feb. 23, 2005, U.S. District Judge Thomas J. Whelan in San Diego issued an order finding defendant Randall Treadwell to be in civil contempt. The court found that Treadwell violated prior orders of the court by failing to provide an accounting and other financial information to the Commission, failing to cooperate with the court-appointed receiver over Learn Waterhouse, Inc., withdrawing money from a bank account that was subject to the court’s orders that froze all of the defendants’ assets, offering and selling new securities under the guise of a legal defense fund, and continuing to make false representations regarding Learn Waterhouse and the securities that it had sold. The court’s contempt order found that Treadwell violated the court’s temporary restraining order of Oct. 12, 2004, and order of preliminary injunction of Nov. 1, 2004. The court’s contempt order provides that Treadwell must pay $15,319 to the receiver to cover Treadwell’s withdrawals from a bank account in violation of the court’s asset freeze order. The court’s order further provides that Treadwell’s obligation to provide an accounting and other financial information to the Commission and his cooperation with the receiver is conditioned upon rulings to be made by Magistrate Judge Leo S. Papas on two pending motions filed on behalf of Treadwell. If Treadwell’s motions are denied, Treadwell must comply with the court’s prior orders within two business days. At that time, if Treadwell fails to comply, Treadwell faces the prospect of incarceration and a fine of $1,000 per day pending his full compliance with the court’s orders. On Oct. 12, 2004, the Commission filed a complaint against Treadwell, Learn Waterhouse, Rick D. Sluder, Larry C. Saturday, and Arnulfo M. Acosta alleging that they had raised more than $24 million from 1700 investors in a nationwide Ponzi scheme. Treadwell and the other defendants had told investors that their bank trading program generated returns ranging from 5% to 50% per month and that the investments were purportedly secured by a “pre-funded, cash-back instrument” that had been issued by a top U.S. bank. In fact, the complaint alleges, investor funds were being used to pay the returns and more than $2.5 million had been misappropriated by the defendants to support themselves and their other businesses. On Nov. 1, 2004, Thomas Lennon was appointed as the permanent receiver over Learn Waterhouse, and given authority over all of its assets. The court also ordered the defendants to repatriate all assets from abroad, and issued a preliminary injunction prohibiting all of the defendants from future violations of the antifraud and registration provisions of the Securities Act of 1933 and the Securities Exchange Act of 1934. In addition to the relief already obtained, the Commission seeks permanent injunctions, disgorgement and civil penalties from all of the defendants. [SEC v. Learn Waterhouse, Inc.; Randall T. Cal.] (LR-19142) COMPLAINT FILED AGAINST SHANNON BALDINO FOR VIOLATING A COMMISSION ORDER On March 17, the Commission filed a complaint in United States District Court in Las Vegas, Nev., to enforce an order issued by the Commission against Shannon L. Baldino of Henderson, Nev., in an administrative proceeding in which Baldino and Silverado Stock Transfer, Inc., the registered transfer agent she owned and operated, were respondents. Specifically, on May 11, 2004, the Commission issued a settled administrative order that, among other things, required Baldino to cease and desist from violations of statutes and rules under the Securities Exchange Act of 1934 applicable to registered transfer agents that require transfer agents to keep certain records, to file annual reports with the Commission, to respond to written inquiries and requests for account information received from issuer clients, and to maintain reasonable safeguards for funds and securities for each issue of securities for which they perform stock transfer functions. Among other things, the order required Baldino to pay a $25,000 civil penalty. See In the Matter of Silverado Stock Transfer, Inc. and Shannon L. Baldino, File No. 3-11484. Baldino has failed to pay any of the $25,000 civil penalty. The Commission is seeking a federal court order compelling Baldino to pay the $25,000 penalty as previously ordered by the Commission. GENE GILMAN, STEVEN GILMAN AND AFFILIATED COMPANIES WITH FRAUD IN THE OPERATION OF BROKER DEALERS AND AN INVESTMENT ADVISER The Commission announced that on March 17, it filed a complaint in the United States District Court for the District of Massachusetts against T. Gene Gilman (G. Gilman), Steven A. Gilman (S. Gilman), and companies they operated alleging that they conducted an offering fraud and misappropriated approximately $14 million of investor proceeds. The complaint alleges that between December 1998 and October 2003, G. Gilman and his son, S. Gilman, solicited approximately $20 million from 40 people who invested funds with Arbor Securities, Ltd., an unregistered broker dealer and investment adviser located in Needham, Mass. According to the complaint, the Gilmans funneled investor proceeds to their personal use through Financial Links, Inc., a registered broker- dealer controlled by G. Gilman but headquartered in Raleigh, N.C. The complaint alleges that G. Gilman represented he would establish individual brokerage accounts for customers at Arbor Securities, an alleged offshore brokerage firm operated from his office in Needham, Mass., and would use clients’ funds to trade in the stocks of publicly traded U.S. companies. Instead of establishing the individual accounts and investing customer funds as represented, G. Gilman and S. Gilman commingled and transferred the funds into several foreign and domestic bank and brokerage accounts in the names of Arbor Securities, including accounts at Financial Links. From those accounts, S. Gilman transferred customer funds to himself, to G. Gilman, and to private companies controlled by G. Gilman, including TradeTek, Ltd. and Commonwealth Financial Holdings, Inc. The complaint alleges that to conceal these transfers S. Gilman, at the request of G. Gilman, generated and sent to customers fictitious brokerage account statements which, among other things, misrepresented cash balances and falsely stated that transactions in the accounts took place when, in reality, they did not. The Commission’s complaint names TradeTek and Commonwealth as relief defendants and alleges that they were unjustly enriched when they obtained customer funds to which those companies had no legitimate claim. The complaint alleges that G. Gilman, S. Gilman, Arbor Securities and Financial Links violated antifraud provisions Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The Commission’s complaint alleges that Arbor Securities, aided and abetted by the Gilmans, also violated the broker-dealer registration provision Section 15(a) of the Exchange Act and the antifraud provisions of Sections 206(1) and 206(2) of the Investment Advisers Act. Finally, the complaint alleges that Financial Links, aided and abetted by the Gilmans, also violated the broker-dealer fraud prohibition Section 15(c) of the Exchange Act. The Commission seeks permanent injunctions, accountings, disgorgement, prejudgment interest and civil penalties against G. Gilman, S. Gilman, Arbor Securities and Financial Links, and further seeks disgorgement and prejudgment interest from the relief defendants, TradeTek and Commonwealth. Mass., March 17, 2005] (LR-19144) SEC OBTAINS TRO TO HALT FRAUDULENT ATM OFFERING On March 17, the Securities and Exchange Commission filed an emergency action in United States District Court in Austin, Texas, to halt a fraudulent investment scheme and freeze assets for the benefit of investors. The Commission charged ATM Alliance Corp. (ATM Alliance), ATM Management Services Corp (ATM Management), and Michael Gilot, who allegedly controls both ATM companies, with securities fraud in connection with an unregistered interstate securities offering involving automated teller machines (“ATMs”). The Commission also named Veritas Unlimited, LLC, as a Relief Defendant claiming that Veritas received at least $640,000 of investors’ funds. The complaint alleges that at least $1 million has been raised from several hundred investors nationwide. At the request of the Commission, U.S. District Judge Lee Yeakel entered a temporary restraining order halting the offering, freezing the defendants’ and relief defendant’s assets, and prohibiting the destruction and removal of records. According to the complaint, the defendants are soliciting investors through an aggressive marketing campaign in which investors are offered a purported turnkey ATM investment in which they can expect annual returns of between 30 and 100 percent. In addition, investors are allegedly told that ATM Alliance has secured highly sought after locations, such as Las Vegas casinos and Citgo convenience stores in which to place ATM machines. The Commission contends that these and other claims are false and misleading in that ATM Alliance has not placed ATMs in the locations promised to investors and investors are not receiving their promised returns; many have received nothing at all. The complaint further alleges that the defendants are using fictitious contracts to convince investors that ATM Alliance had secured rights to place ATMs at a major Las Vegas casino. The Commission’s complaint charges the defendants with violating Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933, and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder.
