SEC NEWS DIGEST Issue 2003-48 March 13, 2003 ENFORCEMENT PROCEEDINGS ADMINISTRATIVE PROCEEDINGS INSTITUTED AGAINST PATTINSON HAYTON On March 12, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b)(6) of the Securities Exchange Act of 1934 (Exchange Act) against Pattinson Hayton, based on the entry of a default judgment against him on Dec. 18, 2002 permanently enjoining him from violating, or aiding, abetting or causing violations of, Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933 (Securities Act) and Sections 10(b), 13(a), 13(b)(2), 13(d), and 16(a) of the Exchange Act and Rules 10b-5, 12b-20, 12b-25, 13a-1, 13a-11, 13a-13, 13d-1, 16a-2, and 16a-3 thereunder (SEC v. Tradamax Group, Inc., Hayton, et al., Civil Action No. SA CV 01-589 GLT, C.D. Cal.). The Commission's complaint alleged, among other things, that Hayton secretly controlled Tradamax Group, Inc. Hayton disseminated false information to the public regarding the company's product (a purported online coffee bean trading system), Hayton's control of the company, the identity of the company's chief executive officer, the company's financial projections, and other material matters. The false statements and omissions were made in press releases, on Internet websites, in unsolicited e-mail messages, and in other promotional materials provided directly to investors, and in reports filed with the Commission. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide Hayton an opportunity to dispute these allegations, and to determine whether a penny stock bar against him is appropriate and in the public interest. (Rel. 34-47490; AAE Rel. 1740; File No. 3-11063) CRIMINAL ACTION AGAINST ROBERT SCHLOTTERBECK In January 2003, a federal grand jury in the U.S. District Court for the Northern District of Texas (Dallas Division) returned an indictment against Robert W. Schlotterbeck of Comanche, Texas, charging Schlotterbeck with two counts of Securities Fraud. The indictment was unsealed on March 7, 2003, and, simultaneously, Schlotterbeck was taken into custody. The indictment charges that Schlotterbeck, the managing partner of C- Tech, LLP, committed fraud in connection with the offer and sale of securities in two oil and gas drilling projects in Beeville, TX: the Schlotterbeck-Adams # 1 (the Theil-Wilcox Development Prospect) and the Pouliot Heirs No. 2 (the Highland Development Project). The indictment is based on the same conduct alleged in a civil action brought against C- Tech and Schlotterbeck by the Commission's Fort Worth Office in December 2001 (SEC v. C-Tech, L.L.P., et al., USDC/ND/TX, Dallas Division, Civil Action No. 3-01CV2542-P; LR-17251, Dec. 3, 2001). The indictment states that Schlotterbeck hired a sales force to solicit investment in the oil and gas projects offered by C-Tech. The indictment further alleges that Schlotterbeck obtained investor funds through misrepresentations and omissions concerning, among other things, the risks involved in the oil and gas investments and the use of C-Tech investor funds. Schlotterbeck represented that investor funds would used to drill and develop the C-Tech-sponsored wells. In fact, a significant portion of investor funds were misappropriated and diverted to Schlotterbeck's personal use. In addition, funds invested in the Pouliot Heirs No. 2 project were diverted to the Schlotterbeck-Adams No. 1 project to make up for the short fall created by Schlotterbeck's misappropriation of funds. If proven guilty of the charges brought in the indictment, Schlotterbeck faces a maximum statutory sentence of 10 years imprisonment, a $500,000 fine and mandatory restitution. Schlotterbeck, Criminal Action No. 3:03CR00001, N.D. Texas, Dallas Division] (LR-18032) FORMER BOARD CHAIRMAN OF MICROTOUCH SYSTEMS INC. CHARGED WITH INSIDER TRADING; AGREES TO PAY OVER $580,000 IN DISGORGEMENT, INTEREST AND PENALTIES The Commission filed a complaint today alleging that James D. Logan, 49, of Candia, N.H., engaged in illegal insider trading while serving as chairman of the Board of MicroTouch Systems Inc., formerly a Methuen, Mass., based technology company. According to the complaint, in May, June and September 2000, Logan directed a trust for the benefit of his minor children to acquire MicroTouch stock knowing that MicroTouch was engaged in negotiations with Tyco International Ltd. and Minnesota Mining and Manufacturing Company (3M) that could lead to the sale of the company. These negotiations culminated in the acquisition of MicroTouch by 3M in a tender offer transaction in January 2001. Simultaneous with the filing of the Commission's complaint, and without admitting or denying the allegations, Logan consented to a court order enjoining him from future violations of the securities laws and ordering him to disgorge $177,375 in wrongful trading profits and $24,411.27 in interest, to pay a civil penalty of two times the wrongful profits, or $354,750, and to pay an additional $25,000 civil penalty for failing to file SEC Forms 4 with the Commission. The complaint alleges that from November 1999 through November 2000, MicroTouch was engaged in confidential efforts to sell the company. It further alleges that Logan was informed about those efforts at MicroTouch board of directors meetings and through communicating with MicroTouch's management. In May, June and September 2000, Logan allegedly directed the Logan Children's Trust, a trust for the benefit of Logan's three minor children, to purchase 14,000 shares of MicroTouch stock in 10 transactions. Logan also failed to file the required SEC Forms 4 with the Commission that would have disclosed these purchases to the public. On Nov. 13, 2000, MicroTouch announced that it had entered into a definitive agreement pursuant to which 3M would acquire MicroTouch in a tender offer for MicroTouch's outstanding stock at $21.00 per share. The Trust tendered its shares to 3M for a profit of $177,375. Logan is charged with violating provisions of the federal securities laws prohibiting fraud, insider trading in the context of a tender offer and requiring insiders to report certain securities transactions. In order to settle the charges, Logan agreed to pay a total of $581,536.27 in disgorgement, civil penalties and interest. Logan also agreed to the entry of a permanent injunction prohibiting him from future violations of Sections 10(b), 14(e) and 16(a) of the Securities Exchange Act of 1934 and Rules 10b-5, 14e-3 and 16a-3 thereunder.
