Donaldson What: The SEC Speaks in 2003 Where: Washington Hilton & Towers, Washington, DC Contact: Loula Barkas, PLI, (212) 824-5700 ENFORCEMENT PROCEEDINGS ADMINISTRATIVE PROCEEDINGS INSTITUTED AGAINST EDUARDO VILLAR On February 25, the Commission instituted public administrative proceedings against Eduardo Villar of Alachua, Florida, pursuant to Section 15(b) of the Securities Exchange Act of 1934. The Order Instituting Public Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934 alleges that on Dec. 28, 2000, the Commission filed a complaint in the United States District Court for the Southern District of Florida, SEC v. Web Hosting Headquarters Partnership, et al., Civil Action No. 00-4975-CIVHIGHSMITH/TURNOFF, S.D. Fla., against Villar and others. The complaint charged Villar and others with violating the securities registration, broker-dealer registration, and antifraud provisions of the federal securities laws, in connection with the unregistered offering of securities in the form of partnership units issued by Web Hosting Headquarters Partnership. The Order further alleges that on Nov. 14, 2002, by Villar's consent, and without admitting or denying the allegations contained in the Commission's complaint, the United States District Court for the Southern District of Florida entered a Judgment of Permanent Injunction and Other Relief, enjoining Villar from any future violations of Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933, Sections 10(b) and 15(a)(1) of the Exchange Act, and Rule 10b-5, thereunder. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide Villar an opportunity to dispute these allegations, and to determine what, if any, remedial sanctions are appropriate in the public interest. (Rel. 34-11044; File No. 3-11044) ORDER ISSUED AGAINST IGOR FLEYSHMAKHER, A/K/A ISAAC MARKS On February 25, an Administrative Law Judge issued an Order Entering Default, Making Findings, and Imposing Remedial Sanctions in Administrative Proceeding No. 3-11016, Igor Fleyshmakher, a/k/a Isaac Flash a/k/a Isaac Marks. The Order Instituting Proceedings alleged that Fleyshmakher pled guilty in an underlying criminal proceeding to one count of attempted enterprise corruption. The default order finds that Fleyshmakher admitted to taking bribes and passing along a portion of the bribes to other brokers who sold stock to the public. Fleyshmakher was barred from association with any broker or dealer pursuant to Section 15(b) of the Securities Exchange Act of 1934. (Rel. 34-47398; File No. 3-11016) SEC INSTITUTES SETTLES ADMINISTRATIVE PROCEEDINGS AGAINST KYLE KENNEDY FOR HIS ROLE IN INVESTMENT RECOVERY NETWORK, INC.'S OFFERING FRAUD On February 25, the Commission instituted and simultaneously settled administrative and cease-and-desist proceedings against Kyle G. Kennedy. The proceedings charge Kennedy with aiding and abetting and causing a violation of the section that prohibits broker-dealers from permitting an individual barred by the Commission from association with any broker or dealer to become and remain associated with same. Kennedy consented to the entry of a cease-and-desist order and a three-month suspension without admitting or denying the Commission's allegations. The Commission's Order finds that Kennedy was a registered representative associated with Old Dominion Securities, Inc., a broker- dealer registered with the Commission, from June 2000 to November 2001. The Order further finds that Robert A. Magnan, an individual barred by the Commission on April 5, 1995, from association with any broker or dealer, hired Old Dominion in June 2000 to sell stock in a private placement offering conducted by Investment Recovery Network, Inc., a Tampa, Florida, company controlled by Magnan. The Order further finds that from June 2000 to December 2000, Kennedy operated Old Dominion's Tampa office from Investment Recovery's headquarters and met with Magnan daily to discuss the Investment Recovery offering. Further, Magnan paid all of Old Dominion's expenses related to the Investment Recovery offering, including rent and secretarial services, and referred potential investors to Kennedy. According to the Commission's Order, Magnan also conducted a one- to three-hour sales presentation to potential investors, effectively making the sale of Investment Recovery stock to these investors. The Order finds that Old Dominion, aided and abetted and caused by Kennedy, unlawfully permitted Magnan to become associated with the firm in violation of the Commission's Order barring Magnan from association with a broker-dealer. Based upon this conduct, the Commission ordered Kennedy to cease and desist from causing any violation and any future violations of Section 15(b)(6)(B)(ii) of the Securities Exchange Act of 1934. In addition, Kennedy was suspended from association with any broker or dealer for a period of three months and ordered to pay disgorgement of $57,412.00, but payment of such amount was waived, and the Commission did not impose a penalty against Kennedy based upon the sworn representations in his Statement of Financial Condition dated Oct. 4, 2002, and other documents submitted to the Commission. (Rel. 34- 47403; File No. 3-11045) SEC CHARGES ROBERT MAGNAN AND HIS COMPANY, INVESTMENT RECOVERY NETWORK, INC., WITH FRAUD On February 25, the Commission filed a complaint alleging securities fraud against Robert A. Magnan, a recidivist securities law violator and convicted felon barred by the Commission in 1995 from association with any broker or dealer. The complaint also named as defendants Investment Recovery Network, Inc., a Florida corporation Magnan controlled, Old Dominion Securities, Inc., a Florida-based broker-dealer and John DelPrince, Old Dominion's founder and principal. The Commission's complaint, filed in federal district court in Tampa, alleges that beginning in 1999, Magnan and Investment Recovery fraudulently raised more than $3 million in several unregistered offerings of Investment Recovery stock. In connection with the offering of Investment Recovery stock, Magnan and Investment Recovery failed to disclose Magnan's regulatory and criminal background, disseminated written offering materials that contained financial projections that lacked a reasonable basis, made baseless predictions about the future price of Investment Recovery's stock, and led investors to believe that Investment Recovery would sell its shares to the public through an IPO within a specified period of time at a certain price. Many of these misrepresentations were strikingly similar to the fraudulent conduct detailed in the Commission's 1995 Order that barred Magnan from associating with any broker or dealer. The complaint also alleges that from June 2000 to at least December 2000, Magnan retained Old Dominion and two of its associated persons, including DelPrince, to sell stock in Investment Recovery's offerings. Magnan's relationship with Old Dominion violated the terms of the Commission's 1995 Order because he essentially controlled the operations of Old Dominion's office in Tampa, Florida. The Commission's complaint seeks a permanent injunction against Magnan and Investment Recovery based on their violations of Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933, and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and Magnan's additional violation of Section 15(b)(6)(B)(i) of the Exchange Act, which prohibits an individual barred by the Commission to become associated with a broker or dealer. The complaint also seeks to enjoin Old Dominion from further violations of Section 15(b)(6)(B)(ii) of the Exchange Act and DelPrince from further aiding and abetting violations of Section 15(b)(6)(B)(ii) of the Exchange Act. The complaint seeks civil money penalties, disgorgement, and an accounting from the defendants, and a penny stock bar against Magnan. [SEC v. Robert A. Magnan, Investment Recovery Network, Inc., Old Dominion Securities, Inc., and John DelPrince, Case No. 03-CV-321-T-27MSS, M.D. Fla., filed Feb. 25, 2003] (LR-17997) COMMISSION SETTLES INSIDER TRADING CASE AGAINST TIMOTHY HOME, FORMER CEO AND CHAIRMAN OF NORTH ANDOVER-BASED WATTS INDUSTRIES The Commission announced that on Feb. 21, 2003, the Honorable William G. Young, of the United States District for the District of Massachusetts, entered a final judgment against former Watts Industries executive Timothy P. Home in an insider trading matter. Home, the former CEO and chairman of Watts Industries of North Andover, Massachusetts, agreed to pay a civil penalty of $317,971, disgorge his trading profits of $317,971, and pay prejudgment interest of $94,442. He consented to the judgment, without admitting or denying the allegations in the Commission's lawsuit. The judgment permanently enjoins Home from violating Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, which prohibit fraud including insider trading. The Commission alleged in its complaint, filed on Aug. 15, 2002, that Home received a call in May 1999 from an investment banker inquiring whether Watts Industries would be interested in acquiring Central Sprinkler Corporation, indicating that an auction process was underway and Watts would need to move quickly if interested. Further, the Commission alleged that Home told the investment bank that Watts might be interested in acquiring Central Sprinkler. The complaint alleged, however, that Home did not inform the Watts board of this acquisition opportunity and instead began buying stock of Central Sprinkler in his personal brokerage account, spending over $500,000 to accumulate 30,000 shares over the next three business days. According to the complaint, Home never informed anyone at Watts of his trading, which violated a Watts written policy prohibiting trading in any company's securities on the basis of nonpublic information. Shortly thereafter, when Tyco International, Ltd. publicly announced its acquisition of Central Sprinkler, Home sold his stock for a profit of $317,971. [SEC v. Timothy P. Horne, United States District Court for the District of Massachusetts, C.A. No. 02-11634-WGY] (LR-17998) COURT ENTERS $130 MILLION JUDGMENT AGAINST VAVASSEUR CORPORATION IN INTERNATIONAL PONZI SCHEME The Commission announced that on Friday, Feb. 21, 2003, the Honorable Judge James H. Michael, Senior U.S. District Court Judge for the Western District of Virginia, Charlottesville Division, entered a default judgment in the amount of approximately $130 million against Vavasseur Corporation, the principal entity defendant in a massive international Ponzi scheme orchestrated by Terry Dowdell. Dowdell has previously pled guilty to criminal charges of securities fraud, wire fraud and money laundering stemming from this scheme, and is awaiting sentencing. The judgment requires Vavasseur to pay disgorgement of $121,235,000, plus $8,611,214.42 in prejudgment interest. The court also imposed a $600,000 civil penalty, issued a permanent injunction prohibiting future violations of the federal securities laws and, in a separate order, appointed Roy M. Terry Jr. and the law firm of DurretteBradshaw PLC as Receiver over the corporation's assets. Additionally, the Court ordered Vavasseur to repatriate millions of dollars of investor funds located in bank accounts in Ireland, Belgium, Guernsey and Mexico. The judgment against Vavasseur comes a little more one year after the SEC filed a lawsuit against Dowdell, Vavasseur and others. In its lawsuit, the SEC alleged that Dowdell had orchestrated a massive international Ponzi scheme in which he, utilizing various marketers, raised more than $70 million from investors in the U.S. and abroad for a fictitious trading program purportedly involving the purchase and sale of foreign bank instruments and purportedly being operated by Vavasseur, a Bahamian corporation that is also named as a defendant in this action. Dowdell previously admitted the fraud, and consented to the disgorgement of all of his assets. On June 4, 2002, the Court entered an order permanently enjoining Dowdell from future violations of the antifraud provisions of Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The judgment provides that the amount of disgorgement and civil penalties that Dowdell will have to pay will be determined later. On July 12, 2002, the Court appointed Roy M. Terry, Esq. and the law firm of DurretteBradshaw, PLC to serve as Receiver over Dowdell's assets and to develop a plan of distribution for the return of funds to injured investors. Virginia] (LR-17999) SEC CHARGES TWO FORMER KMART EXECUTIVES WITH $42 MILLION ACCOUNTING FRAUD The Commission today filed a civil action against two former officers of Kmart, Enio A. Montini, Jr. and Joseph A. Hofmeister. Montini and Hofmeister were also indicted today by the United States Attorney's Office for the Eastern District of Michigan on related criminal charges, SEC v. Enio A. Montini, Jr. and Joseph A. Hofmeister, Civil Action No. 03-70808, Borman, J.; Capel, M.J., E.D. Michigan, filed Feb. 26, 2003. The SEC's civil complaint, filed in the United States District Court for the Eastern District of Michigan, alleges that * Enio A. Montini, Jr. was Senior Vice President and General Merchandise Manager of Kmart's Drug Store Division. Joseph A. Hofmeister was Divisional Vice President of Merchandising within the Drug Store Division. * Montini and Hofmeister negotiated a multi-year contract with one of Kmart's vendors, American Greetings Corporation, pursuant to which American Greetings paid Kmart an "allowance" of $42,350,000 on June 20, 2001. Generally accepted accounting principles, as well as the company's own accounting policies and practices, required that the $42 million be recognized over the term of the agreement. * Montini and Hofmeister lied to Kmart accounting personnel and concealed a side letter relating to the $42 million payment from American Greetings in order to improperly recognize the entire amount in the quarter ended Aug. 1, 2001. Those deceptions caused Kmart to understate losses by $0.06 per share. The SEC charges Montini and Hofmeister with violations of the antifraud provisions of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, the reporting and bookkeeping provisions of Rules 13b2-1 and 13b2-2 of the Exchange Act, and the reporting, bookkeeping, and internal control provisions of Sections 13(a), 13(b)(2)(A) and 13(b)(2)(B) of the Exchange Act and Rules 13a-13 and 12b-20 thereunder. The SEC seeks as relief permanent injunctions, disgorgement of ill- gotten gains (including a $750,000 forgivable cash loan Montini received from the company) with prejudgment interest, civil money penalties, and officer and director bars.
