COMMISSION ANNOUNCEMENTS

Fee Rate Advisory #3 for Fiscal Year 2013

The Securities and Exchange Commission (Commission) today announced that starting on May 25, 2013, the fee rates applicable to most securities transactions will decrease from $22.40 per million dollars to $17.40 per million dollars.  The assessment on security futures transactions will remain unchanged at $0.0042 for each round turn transaction.

The Commission determined these new rates in accordance with Section 31 of the Securities Exchange Act of 1934 and consulted with both the Congressional Budget Office and the Office of Management and Budget regarding the annual adjustments.  These adjustments do not directly affect the amount of funding available to the SEC.

Commission Suspends Trading in Securities of Five Companies

The Commission announced the temporary suspension of trading in the securities of the following issuers, commencing at 9:30 a.m. EDT on April 25, 2013 and terminating at 11:59 p.m. EDT on May 8, 2013:

  • Enercorp, Inc. (ENCP)
  • FTS Group, Inc. (FLIP)
  • Games, Inc. (n/k/a InQBate Corporation) (INQB)
  • Hartmarx Corporation (n/k/a XMH Corp. 1) (HTMXQ)
  • Penn Treaty American Corporation (PTYA)

The Commission temporarily suspended trading in the securities of the foregoing companies due to a lack of current and accurate information about the companies because they have not filed certain periodic reports with the Commission.  This order was entered pursuant to Section 12(k) of the Securities Exchange Act of 1934 (Exchange Act).

The Commission cautions brokers, dealers, shareholders and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by these companies.

Brokers and dealers should be alert to the fact that, pursuant to Exchange Act Rule 15c2-11, at the termination of the trading suspensions, no quotation may be entered relating to the securities of the subject companies unless and until the broker or dealer has strictly complied with all of the provisions of the rule.  If any broker or dealer is uncertain as to what is required by the rule, it should refrain from entering quotations relating to the securities of these companies that have been subject to trading suspensions until such time as it has familiarized itself with the rule and is certain that all of its provisions have been met.  Any broker or dealer with questions regarding the rule should contact the staff of the Securities and Exchange Commission in Washington, DC at (202) 551-5720.  If any broker or dealer enters any quotation which is in violation of the rule, the Commission will consider the need for prompt enforcement action.

ENFORCEMENT PROCEEDINGS

Commission Seeks to Halt Scheme Raising Investor Funds under Guise of Jobs Act

The Commission today announced fraud charges against a Spokane Valley, Wash., company and its owner for misleading investors with claims to raise billions of investment capital under the Jumpstart Our Business Startups (JOBS) Act and invest it exclusively in American businesses.

The SEC alleges that Daniel F. Peterson and his company USA Real Estate Fund 1 promised investors that they could reap spectacular returns from an upcoming offering in a “secured” product backed by prominent financial firms.  Peterson repeatedly told investors that the 2012 JOBS Act would enable him to raise billions of dollars by advertising the offering to the general public, and produce big profits for early investors.  He preyed upon investors’ sense of patriotism by promising to invest the proceeds of the offering in exclusively American businesses, and help assist in Washington State’s economic recovery.  The SEC alleges that Peterson used investors’ money for personal expenses, and is continuing to solicit investors and may be preparing to tout the offering through investor seminars and public advertising.

 “We’ve brought this court action to stop Peterson’s fraud in its tracks before it picks up more steam,” said Michael S. Dicke, Associate Director in the SEC’s San Francisco Regional Office.  “The JOBS Act is intended to help small businesses raise capital, not to legalize fraud or give unscrupulous entrepreneurs a right to make false claims to fleece investors.”

According to the SEC’s complaint filed in federal court in Spokane, Peterson sold common stock in USA Real Estate Fund from November 2010 to June 2012 to more than 20 investors in Washington and at least five other states.  In e-mails and in periodic e-newsletters that he used to solicit USA Real Estate Fund investors, Peterson said that he was preparing to raise billions of dollars in a second offering of additional “preferred” securities, which he claimed would be “secured” and have 10-year returns of up to 1,300 percent.  Peterson claimed that two prominent Wall Street financial firms had partnered with him to bring his offering to market, and that the firms had conducted due diligence on USA Real Estate Fund and were structuring sales agreements and pricing.  Peterson promised the early investors they would profit massively once the purported future offering was underway.

Peterson’s claims were false.  He has no guaranteed investment product to offer, the projected returns were either fictitious or based on implausible and unsupported analyses, and he has no affiliation with any financial firm to underwrite his purported future offering, the SEC alleges.

The SEC alleges that Peterson used investor money to pay for his rent, food, entertainment, vacations, and a rented Mercedes Benz SUV.  He also used investor funds on clothing for friends, luggage for his wife, and expenses at a Las Vegas casino.

The SEC’s complaint charges USA Real Estate Fund and Peterson with violating the anti-fraud provisions of the federal securities laws.  The SEC is seeking a court order requiring USA Real Estate Fund and Peterson to return their allegedly ill-gotten gains, with interest, and pay financial penalties.  It also is seeking a preliminary injunction restraining USA Real Estate Fund and Peterson from engaging in conduct that would allow them to continue their scheme and restraining them from further violations of the securities laws.

Commission Orders Hearing on Registration Suspension or Revocation against Sinohub, Inc. for Failure to Make Required Periodic Filings

The Commission announced the issuance of an Order Instituting Administrative Proceedings and Notice of Hearing Pursuant to Section 12(j) of the Exchange Act (Order) against SinoHub, Inc. (Respondent).  The Division of Enforcement alleges that the Respondent is delinquent in its periodic filings with the Commission by failing to comply with Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder, having not filed any periodic reports since it filed a Form 10-Q for the period ended March 31, 2012.

A hearing will be held by an Administrative Law Judge to determine whether the allegations contained in the Order are true, to afford the Respondent an opportunity to establish any defenses to such allegations, and to determine whether it is necessary or appropriate for the protection of investors to suspend for a period not exceeding twelve months, or revoke the registration of each class of securities of the Respondent registered pursuant to Section 12 of the Securities Exchange Act of 1934.  The Order requires the Administrative Law Judge to issue an initial decision no later than 120 days from the date of service of the Order, pursuant to Rule 360(a)(2) of the Commission’s Rules of Practice.  (Rel. 34-69463; File No. 3-15305)

In the Matter of Michael W. Bozora and Timothy R. Redpath

The Commission announced the issuance of two Orders Instituting Administrative Proceedings Pursuant to Section 15(b)(6) of the Securities Exchange Act of 1934 and Section 203(f) of the Investment Advisers Act of 1940, Making Findings, and Imposing Remedial Sanctions (Orders) against Michael W. Bozora (Bozora) and Timothy R. Redpath (Redpath).  The Orders find that on April 16, 2013, final judgments were entered by consent against Bozora and Redpath permanently enjoining Bozora and Redpath from future violations of Sections 17(a)(2) and (3) of the Securities Act of 1933, in the civil action entitled Securities and Exchange Commission v. True North Finance Corp., et al., Civil Action Number 10-cv-3995-DWF-JJK, in the United States District Court for the District of Minnesota.  The Orders find that Bozora and Redpath were part owners of Capital Solutions Management, LP (CSM), an investment adviser that was registered with the State of California from approximately 2002 through 2010 and part owners of Capital Solutions Distributors, LLC (CSD), a broker-dealer that was registered with the Commission from approximately 2004 through 2010, and were the registered representatives associated with CSD and other broker-dealers registered with the Commission.  The Commission’s complaint alleged, among other things, that Bozora and Redpath failed to make adequate disclosure of the default of the sole borrower of the Capital Solutions Monthly Income Fund (Fund), the Fund’s foreclosure on that borrower, and the Fund’s loss of investment income resulting from the borrower’s default.

Based on the above, the Orders bar Bozora and Redpath from association with any broker, dealer, investment adviser, municipal securities dealer, or transfer agent.  The Orders also bar Redpath and Bozora from participating in any penny stock offerings.  Bozora and Redpath consented to the issuance of the Orders without admitting or denying the findings, except that they admitted to the entry of the final judgments.  (Rel. 34-69462; File No.3-15304; Rel. 34-69461; File No. 3-15306)

Commission Orders Hearing on Registration Suspension or Revocation against Six Public Companies for Failure to Make Required Periodic Filings

Today, the Commission instituted public administrative proceedings to determine whether to revoke or suspend for a period not exceeding twelve months the registrations of each class of the securities of six companies for failure to make required periodic filings with the Commission:

  • Actavision Ventures, Inc.
  • American Resources Group, Inc.
  • Audioscience, Inc.
  • Basset Enterprises, Inc.
  • Cybertex Enterprises, Inc. (n/k/a Synvion Corp.)
  • Duct Utility Construction & Technologies, Inc.

In this Order, the Division of Enforcement (Division) alleges that the six issuers are delinquent in their required periodic filings with the Commission.

In this proceeding, instituted pursuant to Exchange Act Section 12(j), a hearing will be scheduled before an Administrative Law Judge.  At the hearing, the Administrative Law Judge will hear evidence from the Division and the Respondents to determine whether the allegations of the Division contained in the Order, which the Division alleges constitute failures to comply with Exchange Act Section 13(a) and Rules 13a-1 and 13a-13 thereunder, are true.  The Administrative Law Judge in the proceeding will then determine whether the registrations pursuant to Exchange Act Section 12 of each class of the securities of these Respondents should be revoked or suspended for a period not exceeding twelve months.  The Commission ordered that the Administrative Law Judge in this proceeding issue an initial decision not later than 120 days from the date of service of the order instituting proceedings.  (Rel. 34-69459; File No. 3-15302)

Commission Declares Decision as to Alero Odell Mack, Jr., Final

The initial decision of an administrative law judge with respect to Alero Odell Mack, Jr., has become final. The law judge barred Mack from association with an investment adviser, broker, dealer, municipal securities dealer, municipal advisor, transfer agent, and nationally recognized statistical rating organization. The initial decision found that on August 7, 2012, Mack was permanently enjoined by a federal district court from violating Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and Sections 206(1), 206(2), and 206(4) of the Advisers Act and Rule 206(4)-8 thereunder. The court ordered Mack to disgorge $1,079,879. SEC v. Mack, No. CV 10-8383 DSF (PJWx)(Underlying Action) (C.D. CA 2012).

Mack, a Los Angeles, California, resident, was an unlicensed investment adviser, who owned, controlled, and managed at least 5 entities for which he acted as an investment adviser. The law judge found that Mack, by fraudulent means and over a period of approximately three years, raised at least $4 million dollars from approximately twenty-five unsophisticated investors living in California and Arizona. Mack attempted to lure investors using written materials containing false and misleading statements regarding an investment in a program that would result in a "100% return in only one day." He further misled investors regarding his background and the operations of his entities and the use of the investors' funds. A large amount of the investors' funds were used for Mack's personal uses and office expenses. The law judge found that Mack's repeated violations of the federal securities laws for his benefit, and at the expense of others, strongly suggest that further deterring his ability to reenter or participate, in any capacity, in the securities industry is in the public interest.  (Rel. 34-69455; File No. 3-15036)

INVESTMENT COMPANY ACT RELEASES

Corporate Capital Trust, Inc., et al.

A notice has been issued giving interested persons until May 20, 2013, to request a hearing on an application filed by Corporate Capital Trust, Inc., et al., for an order to permit a business development company to co-invest with certain affiliated investment funds and accounts in portfolio companies.  (Rel. Munder Series Trust and Munder Capital Management

An order has been issued on an application filed by Munder Series Trust and Munder Capital Management under Section 6(c) of the Investment Company Act of 1940 (Act) for an exemption from Section 15(a) of the Act and Rule 18f-2 under the Act, as well as from certain disclosure requirements.  The order permits the applicants to enter into and materially amend subadvisory agreements without shareholder approval and grants relief from certain disclosure requirements.  (Rel. Designation of Longer Period for Commission Action on Proposed Rule Change
