The Commission temporarily suspended trading in the securities of these seven issuers due to a lack of current and accurate information about the companies because they have not filed periodic reports with the Commission in over two years. This order was entered pursuant to Section 12(k) of the Securities Exchange Act of 1934 (Exchange Act). The Commission cautions brokers, dealers, shareholders and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by these companies. Brokers and dealers should be alert to the fact that, pursuant to Exchange Act Rule 15c2-11, at the termination of the trading suspensions, no quotation may be entered relating to the securities of the subject companies unless and until the broker or dealer has strictly complied with all of the provisions of the rule. If any broker or dealer is uncertain as to what is required by the rule, it should refrain from entering quotations relating to the securities of these companies that have been subject to a trading suspension until such time as it has familiarized itself with the rule and is certain that all of its provisions have been met. CampbellAn Administrative Law Judge has issued an Order Making Findings and Imposing Sanctions by Default (Default Order) in Candice D. Campbell, Admin. Proc. File No. 3-14997. On January 25, 2012, after being found guilty in a criminal proceeding, Candice D. Campbell (Campbell) was sentenced to fifty-one months in prison and ordered to pay restitution of $703,474.10. United States v. Campbell, 2:11-cr-20388 (E.D. Mich.). On August 28, 2012, in a civil case, Campbell was permanently enjoined from violating Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and Sections 206(1) and 206(2) of the Investment Advisers Act of 1940 (Advisers Act). SEC v. C.J.’s Financial and Candice Campbell, 2:10-cv-13083 (E.D. Mich.). Based on the final judgments in the underlying civil and criminal cases, the Default Order permanently bars Campbell, pursuant to Section 203(f) of the Advisers Act, from association with a broker, dealer, investment adviser, municipal securities dealer, municipal advisor, transfer agent, and nationally recognized statistical rating organization. (Rel. IA-3491; File No. 3-14997) In the Matter of Lyman J. BruhnOn October 23, 2012, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 203(f) of the Investment Advisers Act of 1940, Making Findings, and Imposing Remedial Sanctions (Order) against Lyman J. Bruhn (Bruhn). The Order finds that on September 20, 2012, the Commission filed a complaint against Bruhn in SEC v. Bruhn, et al. (Case Number 3:12-cv-01697-ST). On September 24, 2012, a final judgment was entered, enjoining Bruhn from future violations of Section10(b) of the Exchange Act and Rule 10b-5 thereunder, Section 17(a) of the Securities Act, and Sections 206(1), 206(2), and 206(4) of the Investment Advisers Act and Rule 206(4)-8 thereunder. Bruhn, a resident of Vancouver, Washington, served as the sole principal to two unregistered investment advisers to various hedge funds formed by Bruhn. The Commission’s complaint alleges, among other things, that from 2002 to 2010, Bruhn employed a device, scheme, or artifice to defraud investors and/or potential investors in hedge funds he managed, including the Blue Chip Focus Fund. In doing so, Bruhn defrauded his hedge fund clients by misappropriating fund assets and engaging in a Ponzi scheme. Based on the above, the Order bars Bruhn from association with any investment adviser, broker, dealer, municipal securities dealer, municipal advisor, transfer agent, or nationally recognized statistical rating organization. Bruhn consented to the issuance of the Order without admitting or denying the findings in the Order, except he admitted the entry of the injunction. (Rel. IA-3492; File No. 3-15074) In the Matter of Jacques Nichols, Esq.On October 23, 2012, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Rule 102(e) of the Commission’s Rules of Practice, Making Findings, and Imposing Remedial Sanctions (Order) against Jacques Nichols (Nichols). The Order finds that on September 20, 2012, the Commission filed a complaint against Nichols in SEC v. Nichols (Case Number 3:12-cv-01698-HZ). On September 26, 2012, a final judgment was entered, enjoining Nichols from aiding and abetting violations of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and Sections 206(1), 206(2), 206(4) of the Investment Advisers Act of 1940 and Rule 206(4)-8 thereunder. Nichols is a resident of Camas, Washington, and was an Oregon licensed attorney until January 2012. The complaint alleged that Nichols aided and abetted a Ponzi scheme involving various funds managed by Yusaf Jawed and his entities, Grifphon Asset Management, LLC and Grifphon Holdings, LLC. Nichols and others represented that third parties had promised to pay tens of millions of dollars to buy Grifphon fund assets. In actuality, the third parties were sham entities with no ability to pay anything for Grifphon’s alleged assets. Based on the above, the Order suspends Nichols from appearing or practicing before the Commission as an attorney. Nichols consented to the issuance of the Order without admitting or denying the findings in the Order, except he admitted the entry of the injunction. (Rel. 34-68087; File No. 3-15075) Commission Revokes Registration of Securities of Gate to Wire Solutions, Inc. for Failure to Make Required Periodic FilingsOn October 24, 2012, the Commission revoked the registration of each class of registered securities of Gate to Wire Solutions, Inc. (GWIR) for failure to make required periodic filings with the Commission. Without admitting or denying the findings in the Order, except as to jurisdiction, which it admitted, GWIR consented to the entry of an Order Making Findings and Revoking Registration of Securities Pursuant to Section 12(j) of the Securities Exchange Act of 1934 as to Gate to Wire Solutions, Inc. finding that it had failed to comply with Section 13(a) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 13a-1 and 13a-13 thereunder and revoking the registration of each class of GWIR’s securities pursuant to Section 12(j) of the Exchange Act. This order settled the charges brought against GWIR in In the Matter of Drucker, Inc., et al., Administrative Proceeding File No. 3-15027. (Rel. 34-68088; File No. 3-15027) In the Matter of Enwin Resources, Inc.An Administrative Law Judge issued an Order Making Findings and Revoking Registration by Default (Default Order) in Enwin Resources, Inc., Admin. Proc. 3-15028. The Default Order finds that Enwin Resources, Inc. (Enwin), an issuer of securities registered pursuant to Section 12(g) of the Securities Exchange Act of 1934 (Exchange Act), has failed to comply with Section 13(a) of the Exchange Act and Exchange Act Rules 13a-1 and 13a-13 by failing to file required periodic reports with the Securities and Exchange Commission. As a result, the Administrative Law Judge revoked the registration of each class of registered securities of Enwin. (Rel. 34-68090; File No. 3-15028) Commission Orders Hearings on Registration Suspension or Revocation Against Seven Companies for Failure to Make Required Periodic FilingsIn conjunction with these trading suspensions, the Commission today also instituted public administrative proceedings to determine whether to revoke or suspend for a period not exceeding twelve months the registration of each class of the securities of seven companies for failure to make required periodic filings with the Commission:
In this Order, the Division of Enforcement (Division) alleges that the respective Respondents are delinquent in their required periodic filings with the Commission. In these proceedings, instituted pursuant to Exchange Act Section 12(j), a hearing will be scheduled before an Administrative Law Judge. At the hearing, the judge will hear evidence from the Division and the Respondents to determine whether the allegations of the Division contained in the Order, which the Division alleges constitute failures to comply with Exchange Act Section 13(a) and Rules 13a-1 and 13a-13 thereunder, are true. The judge in the proceedings will then determine whether the registrations pursuant to Exchange Act Section 12 of each class of the securities of these Respondents should be revoked or suspended for a period not exceeding twelve months. The Commission ordered that the Administrative Law Judge in the proceedings issue an initial decision not later than 120 days from the date of service of the order instituting proceedings. DeanOn October 24, 2012, the Commission issued an Order Instituting Public Administrative Proceedings and Imposing Temporary Suspension Pursuant to Rule 102(e)(3) of the Commission’s Rules of Practice (Order) against Stormy L. Dean. The Order finds that on May 29, 2012, the U.S. District Court for the District of Nebraska entered a final judgment against Dean, permanently enjoining him from future violations, direct or indirect, of Sections 10(b), 13(a), 13(b)(2)(A), 13(b)(2)(B), 13(b)(5), and 14(a) of the Securities Exchange Act of 1934 and Rules 10b-5, 12b-20, 13a-1, 13a-14, 13b2-1, 13b2-2, 14a-3, and 14a-9 thereunder. Securities and Exchange Commission v. Stormy L. Dean, et al., Civil Action Number 8:10-cv-00102-LSC-FG3. In the final judgment, the court declared that Dean “acted in bad faith toward shareholders of [Info], when committing the acts and omissions that led to this proceeding, and knew his actions were contrary to the interests of [Info] and its shareholders.” The Commission’s complaint in the civil action alleged that Dean signed and certified Info’s false Forms 10-K and proxy statements that materially understated and failed to properly disclose the perquisite compensation of Vinod Gupta, Info’s former chief executive officer and Chairman of the Board of Directors, and failed to properly disclose related party transactions involving Gupta. The complaint alleged that for the years 2003 through 2007, Gupta used Info to pay for his personal expenses associated with private jet flights, a yacht, homes, automobiles, credit card expenses, country club memberships, and life insurance policies. As CFO, Dean approved Info’s payment of Gupta’s personal expenses and signed and certified Info’s false Forms 10-K for 2005 and 2006 which incorporated information from Info’s proxy statements. The complaint also alleged that Dean aided and abetted the filing of Info’s false Form 10-K for 2003 which incorporated information from Info’s proxy statements. The Order states that a court of competent jurisdiction has found Dean to have violated the Federal securities laws and permanently enjoined him from violations of the Federal securities laws within the meaning of Rule 102(e)(3)(i)(A) and (B) of the Commission’s Rules of Practice. In view of these findings, the Order temporarily suspends Dean from appearing or practicing before the Commission. Dean has thirty days after service of the Order to file a petition with the Commission to lift the temporary suspension. If no petition is timely filed, the suspension shall become permanent. If a petition is timely filed, the Commission shall either lift the temporary suspension, or set the matter down for hearing at a time and place to be designated by the Commission, or both.
