Securities and Exchange Commission Suspends Trading in the Securities of Seven Issuers For Failure to Make Required Periodic Filings

The U.S. Securities and Exchange Commission announced the temporary suspension of trading in the securities of the following issuers, commencing at 9:30 a.m. EST on January 19, 2012 and terminating at 11:59 p.m. EST on February 1, 2012.

  • TapSlide, Inc. (TSLI)
  • TTC Technology Corp. (f/k/a SmarTire Systems, Inc.) (TCLIF)
  • TWL Corp. (TWLO)
  • TXP Corp. (TXPO)
  • Valentec Systems, Inc. (f/k/a Acorn Holdings Corp.) (VSYN)
  • Verdant Technology Corp. (VTHC)
  • VPGI Corp. (VPGC)

The Commission temporarily suspended trading in the securities of these seven issuers due to a lack of current and accurate information about the companies because they have not filed periodic reports with the Commission in over two years. This order was entered pursuant to Section 12(k) of the Securities Exchange Act of 1934 (Exchange Act).

The Commission cautions brokers, dealers, shareholders and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by these companies.

Brokers and dealers should be alert to the fact that, pursuant to Exchange Act Rule 15c2-11, at the termination of the trading suspensions, no quotation may be entered relating to the securities of the subject companies unless and until the broker or dealer has strictly complied with all of the provisions of the rule. If any broker or dealer is uncertain as to what is required by the rule, it should refrain from entering quotations relating to the securities of these companies that have been subject to a trading suspension until such time as it has familiarized itself with the rule and is certain that all of its provisions have been met. Any broker or dealer with questions regarding the rule should contact the staff of the Securities and Exchange Commission in Washington, DC at (202) 551-5720. If any broker or dealer enters any quotation which is in violation of the rule, the Commission will consider the need for prompt enforcement action.

Commission Meetings

Closed Meeting on Thursday, January 26, 2012 at 2:00 p.m.

The subject matter of the Closed Meeting scheduled for Thursday, January 26, 2012 will be: institution and settlement of injunctive actions; institution and settlement of administrative proceedings; other matters relating to enforcement proceedings; and an adjudicatory matter.

ENFORCEMENT PROCEEDINGS

Commission Orders Hearings on Registration Suspension or Revocation Against Seven Companies for Failure to Make Required Periodic Filings

In conjunction with these trading suspensions, the Commission today also instituted public administrative proceedings to determine whether to revoke or suspend for a period not exceeding twelve months the registration of each class of the securities of seven companies for failure to make required periodic filings with the Commission:

  • TapSlide, Inc. (TSLI)
  • TTC Technology Corp. (f/k/a SmarTire Systems, Inc.) (TCLIF)
  • TWL Corp. (TWLO)
  • TXP Corp. (TXPO)
  • Valentec Systems, Inc. (f/k/a Acorn Holdings Corp.) (VSYN)
  • Verdant Technology Corp. (VTHC)
  • VPGI Corp. (VPGC)

In this Order, the Division of Enforcement (Division) alleges that the respective Respondents are delinquent in their required periodic filings with the Commission.

In these proceedings, instituted pursuant to Exchange Act Section 12(j), a hearing will be scheduled before an Administrative Law Judge. At the hearing, the judge will hear evidence from the Division and the Respondents to determine whether the allegations of the Division contained in the Order, which the Division alleges constitute failures to comply with Exchange Act Section 13(a) and Rules 13a-1 and 13a-13 thereunder, are true. The judge in the proceedings will then determine whether the registrations pursuant to Exchange Act Section 12 of each class of the securities of these Respondents should be revoked or suspended for a period not exceeding twelve months. The Commission ordered that the Administrative Law Judge in the proceedings issue an initial decision not later than 120 days from the date of service of the order instituting proceedings. Commission Revokes Registration of Securities of Suncast Network, Inc. For Failure to Make Required Periodic Filings

On January 19, 2012, the Commission revoked the registration of each class of registered securities of Suncast Network, Inc. (Suncast Network) for failure to make required periodic filings with the Commission.

Without admitting or denying the findings in the Order, except as to jurisdiction, which it admitted, Stelax Industries consented to the entry of an Order Making Findings and Revoking Registration of Securities Pursuant to Section 12(j) of the Securities Exchange Act of 1934 as to Suncast Network, Inc. finding that it had failed to comply with Section 13(a) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 13a-1 and 13a-13 thereunder and revoking the registration of each class of Suncast Network’s securities pursuant to Section 12(j) of the Exchange Act. This Order settled the proceedings brought against Suncast Network in In the Matter of Regenesis Centers, Inc., et al., Administrative Proceeding File No. 3-14652.

Brokers and dealers should be alert to the fact that Exchange Act Section 12(j) provides, in pertinent part, as follows:

No member of a national securities exchange, broker, or dealer shall make use of the mails or any means or instrumentality of interstate commerce to effect any transaction in, or to induce the purchase or sale of, any security the registration of which has been and is suspended or revoked . . . .

Securities and Exchange Commission Orders Hearing on Registration Suspension or Revocation Against E-Smart Technologies, Inc. For Failure to Make Required Periodic Filings

On January 19, 2012, the Commission instituted public administrative proceedings to determine whether to revoke or suspend for a period not exceeding twelve months the registrations of each class of the securities of e-Smart Technologies, Inc. (“e-Smart”) for failure to make required periodic filings with the Commission:

In this Order, the Division of Enforcement (Division) alleges that e-Smart is delinquent in their required periodic filings with the Commission.

In this proceeding, instituted pursuant to Exchange Act Section 12(j), a hearing will be scheduled before an Administrative Law Judge. At the hearing, the Administrative Law Judge will hear evidence from the Division and the Respondents to determine whether the allegations of the Division contained in the Order, which the Division alleges constitute failures to comply with Exchange Act Section 13(a) and Rules 13a-1 and 13a-13 thereunder, are true. The Administrative Law Judge in the proceeding will then determine whether the registrations pursuant to Exchange Act Section 12 of each class of e-Smart’s securities should be revoked or suspended for a period not exceeding twelve months. The Commission ordered that the Administrative Law Judge in this proceeding issue an initial decision not later than 120 days from the date of service of the order instituting proceedings. In the Matter of Charles P. Copeland

On January 19, 2012, the Commission issued an Order Instituting Administrative Proceedings, Pursuant to Section 203(f) of the Investment Advisers Act of 1940, Making Findings, and Imposing Remedial Sanctions against Charles P. Copeland. The Order finds that on October 19, 2011, a final judgment was entered by consent against Charles P. Copeland (Charles Copeland), permanently enjoining him from future violations of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and Sections 206(1) and 206(2) of the Advisers Act, in the civil action entitled Securities and Exchange Commission v. Charles P. Copeland, Copeland Wealth Management, A Financial Advisory Corporation, and Copeland Wealth Management, A Real Estate Corporation, Civil Action No. 11-08607, in the United States District Court for the Central District of California. The Commission alleged in its complaint that from 2003 through May 31, 2011 in connection with the sale of limited partnership interests by Copeland Wealth Management and unregistered investment adviser Copeland Wealth Management, a Real Estate Corporation, Charles Copeland made material misrepresentations and omissions regarding: (1) the use of investor funds, (2) conflicts of interest, (3) guaranteed returns, (4) the unauthorized trading of put options, and (5) the payment of undisclosed real estate commissions and other related compensation.

Based on the above, the Order bars Charles Copeland from association with any broker, dealer, investment adviser, municipal securities dealer, municipal advisor, transfer agent, or nationally recognized statistical rating organization. Charles Copeland consented to the issuance of the Order without admitting or denying the findings in the Order, except he admitted the entry of the injunction. (Rel. IA-3358; File No. 3-14704)

SELF-REGULATORY ORGANIZATIONS

Immediate Effectiveness of Proposed Rule Changes

A proposed rule change filed by the Chicago Board Options Exchange, Incorporated (SR-CBOE-2012-003) to amend its Fees Schedule has become effective pursuant to Section 19(b)(3)(A) of the Securities Exchange Act of 1934. A proposed rule change filed by EDGX Exchange, Inc. (SR-EDGX-2012-03) to amend EDGX Rule 1.5(q) has become effective pursuant to Section 19(b)(3)(A) of the Securities Exchange Act of 1934. Publication is expected in the Federal Register during the week of January 23. (Rel. 34-66176)

Proposed Rule Changes

The NASDAQ Stock Market LLC filed a proposed rule change (SR-NASDAQ-2012-004) pursuant to Section 19(b)(1) of the Securities Exchange Act of 1934 and Rule 19b-4 thereunder relating to the listing and trading of shares of the Emerging Markets Corporate Bond Fund of the WisdomTree Trust. The Chicago Stock Exchange, Inc. has filed a proposed rule change (SR-CHX-2012-02) pursuant to Rule 19b-4 under the Securities Exchange Act of 1934 to add to and amend its rules regarding the obligations of Institutional Brokers registered with the Exchange. The Commission issued notice of a proposed rule change submitted by NYSE Arca, Inc. (SR-NYSEArca-2012-04) pursuant to Rule 19b-4 under the Securities Exchange Act of 1934 relating to listing and trading of shares of twenty-six series of ProShares Trust II under NYSE Arca Equities Rule 8.200. Approval of Proposed Rule Changes

The Commission approved a proposed rule change submitted by NASDAQ OMX PHLX LLC (SR-Phlx-2011-170) pursuant to Rule 19b-4 under the Securities Exchange Act of 1934 requesting permanent approval of the pilot program permitting NASDAQ OMX PSX to receive certain inbound routes that Nasdaq Execution Services, LLC routes in its capacity as a facility of the NASDAQ Stock Market LLC. The Commission has approved a proposed rule change (SR-DTC-2011-08) filed by The Depository Trust Company (DTC) under Section 19(b)(2) of the Securities Exchange Act of 1934 with respect to a change to enhance risk management controls associated with the receiver authorized delivery function.
