SEC’s New Whistleblower Program Takes Effect Today
New Webpage Launched to Help People Report Violations, Apply for Awards
With its new whistleblower program officially becoming effective today, the Securities and Exchange Commission today launched a new webpage for people to report a violation of the federal securities laws and apply for a financial award.
The Dodd-Frank Wall Street Reform and Consumer Protection Act provided the SEC with the authority to pay financial rewards to whistleblowers who provide new and timely information about any securities law violation. Among other things, to be eligible, the whistleblower’s information must lead to a successful SEC enforcement action with more than $1 million in monetary sanctions.
The SEC’s new webpage at www.sec.gov/whistleblower includes information on eligibility requirements, directions on how to submit a tip or complaint, instructions on how to apply for an award, and answers to frequently asked questions.
“Early and quick law enforcement action is the key to preventing securities fraud and avoiding investor losses, and the whistleblower program gives us the tools to help achieve that goal,” said Robert Khuzami, Director of the SEC’s Division of Enforcement.
Sean McKessy, Chief of the SEC’s Office of the Whistleblower, added, “Securities fraud is not a victimless crime. That’s why it is so important for people to step forward when they witness an ongoing securities fraud or learn about one that has taken place or is about to occur. Our new whistleblower award program makes it easier for people to take that step.”
The SEC’s new whistleblower program strengthens the SEC’s ability to protect investors in several ways:
- Better Tips: Over the past several months, the SEC has seen an increase in the quality of tips that it has been receiving from individuals since Congress created the program.
- Timely Tips: Potential whistleblowers are incentivized to come forward sooner rather than later with “timely” information not yet known to the SEC.
- Maximizes Outside Resources: With fewer than 4,000 employees to regulate more than 35,000 entities, the SEC cannot be everywhere at all times. With a robust whistleblower program, the SEC is more likely to find and deter wrongdoing at firms it may not have otherwise uncovered&
- New Protections Against Retaliation: Employees who come forward are provided with new tools to protect themselves against employers who retaliate.
- Bolsters Internal Compliance: The new rules provide significant incentives for employees to report any wrongdoing to their company’s internal compliance department before coming to the SEC. Therefore, companies that would prefer their employees report internally first are incentivized to a have credible, effective compliance program in place.
The SEC adopted final rules on May 25 to implement the Dodd-Frank whistleblower program. Individuals wishing to be considered for an award under the Whistleblower Program are required to submit an online questionnaire or the newly approved Form-TCR.
Prior to the enactment of the Dodd-Frank Act, the SEC only had authority to reward whistleblowers in insider trading cases. (Press Rel. 2011-167)
David Woodcock Named Director of SEC Fort Worth Regional Office
The Securities and Exchange Commission today announced that David Woodcock has been named Regional Director of the SEC’s Fort Worth Regional Office. He will begin working at the agency in mid-September.
Mr. Woodcock joins the SEC from the law firm of Vinson & Elkins LLP, where he has been a litigation partner in the firm’s Austin office with a practice focusing on securities and commercial litigation, internal corporate investigations, complex accounting and auditing issues, and antitrust matters. Mr. Woodcock also has significant appellate experience. Prior to his legal career, Mr. Woodcock practiced public accounting for several years at Price Waterhouse LLP and Ernst & Young LLP.
David is a tremendous talent who brings impressive legal and managerial skills with him to his new position as the head of our Fort Worth Regional Office,” said Robert Khuzami, Director of the SEC’s Division of Enforcement. “The combination of David’s experience in law and public accounting, along with his sound judgment and outstanding work ethic, make him the ideal candidate to lead the Fort Worth Regional Office into the future.”
Carlo di Florio, Director of the SEC’s Office of Compliance Inspections and Examinations, said, “David is exceptionally qualified for this position. He will be a tremendous asset to the SEC’s oversight of securities firms in the Fort Worth region and nationally.”
Mr. Woodcock said, “I am honored and pleased to have been chosen as the SEC’s Regional Director in Fort Worth. I know from personal experience that the lawyers and examiners in the Fort Worth office are enormously talented, dedicated, and committed. I look forward to working with them to further the SEC’s mission of investor protection and ensuring fair and orderly markets.”
As Regional Director, Mr. Woodcock will oversee the Fort Worth office’s enforcement and examination activities in Texas, Oklahoma, and Arkansas as well as the office’s enforcement activities in Kansas. Mr. Woodcock succeeds Rose Romero as Regional Director. She departed the SEC in March.
Mr. Woodcock earned his bachelor’s degree in accounting from Louisiana State University in 1992, and a JD from the University of Texas School of Law in 2000. He served as a law clerk for the Honorable Howell Cobb of the U.S. District Court for the Eastern District of Texas. (Press Rel. 2011-168)
Enforcement Proceedings
Initial Decision Revoking Registration of Securities Issued By the Sentex Sensing Technology, Inc. Declared Final
The Commission has declared final the decision of an administrative law judge revoking, pursuant to Section 12(j) of the Securities Exchange Act of 1934, the registration of all classes of securities of Sentex Sensing Technology, Inc. (Sentex). The law judge found that Sentex had not filed any periodic reports since it filed a Form 10-QSB for the period ended August 31, 2007. (Rel. 34-65121; File No. 3-14319)
In the Matter of Daniel Cohen
On August 12, 2011, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934, Making Findings, and Imposing Remedial Sanctions (Order) against Daniel Cohen, a resident of California, based on the entry of a permanent injunction against him in the civil action entitled Securities and Exchange Commission v. Delta Onshore Management, LLC, et al., Civil Action No. 08-1278 MLB in the United States District Court for the District of Kansas, Wichita Division.
In the Order, the Commission finds that, on March 22, 2011, an agreed permanent injunction was entered against Cohen, permanently enjoining him from future violations of Sections 5(a) and 5(c) of the Securities Act of 1933 and Section 15(a)(1) of the Securities Exchange Act of 1934. The Commission further finds in the Order that the Commission filed a Complaint against Cohen, alleging that from early February 2008 through approximately August 2008, he participated in an unregistered securities offering in which approximately $2.8 million was raised from investors from the sale of interests in a purported oil-and-gas equipment leasing joint venture. According to the Complaint, Cohen, along with two other defendants, supervised two sales offices which offered and sold interests in the venture on a commission basis.
Based on the above, the Order bars Cohen from association with any broker, dealer, investment adviser, municipal securities dealer, municipal advisor, transfer agent, or nationally recognized statistical rating organization; the Order also bars Cohen from participating in any offering of a penny stock. In consenting to the entry of the Order, Cohen admitted the Order’s finding as to the entry of the injunction against him and its findings that the Commission has jurisdiction over him and over the matters set forth in the Order; Cohen did not, however, admit any of the other findings in the Order. In the Matter of Robert A. Bellia, Jr.
On August 12, 2011, the Commission issued an Order Making Findings and Imposing Remedial Sanctions Pursuant to Section 15(b)(6) of the Securities Exchange Act of 1934 (Order) against Robert A. Bellia, Jr. The Order imposes a permanent collateral bar, a penny stock bar, and disgorgement in the amount of $5,959 and prejudgment interest of $901.40, but waives payment of such amount, and not imposing a civil penalty based upon Bellia’s sworn representations in his Statement of Financial Condition dated November 17, 2010 and other documents submitted to the Commission.
In the Order, the Commission found that from June 2007 until August 2009, Bellia was registered with Aura Financial Services, Inc. (Aura), a Birmingham, Alabama-based corporation who was registered with the Commission as a broker-dealer from February 1997 until February 2010. Bellia owned Aura’s branch office in Islandia, New York, and served as its branch manager until January 2009. From January 2008 through December 2008, Bellia failed reasonably to supervise two former Aura registered representatives by failing to follow up on red flags of potential churning in certain customer accounts. If Bellia had reasonably followed-up on the red flags of high trading in the accounts of the RRs, it is likely that he would have prevented or detected the RRs’ violations of Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. Bellia consented to the issuance of the Order without admitting or denying any of the findings in the Order. (Rel. 34-65124; File No. 3-14069)

A notice has been issued giving interested persons until September 2, 2011, to request a hearing on an application filed by Northern Trust Investments, N.A., et al., for an order to permit: (a) series of certain open-end management investment companies or series thereof to issue shares (Shares) redeemable in large aggregations only (Creation Units); (b) secondary market transactions in Shares to occur at negotiated market prices; (c) certain series to pay redemption proceeds, under certain circumstances, more than seven days after the tender of Shares for redemption; (d) certain affiliated persons of the series to deposit securities into, and receive securities from, the series in connection with the purchase and redemption of Creation Units; and (e) certain registered management investment companies and unit investment trusts outside of the same group of investment companies as the series to acquire Shares.
