ENFORCEMENT PROCEEDINGS

COMMISSION SANCTIONS STEPHEN J. HORNING

The  Commission has sanctioned Stephen J. Horning, formerly a director
and senior officer of Rocky Mountain Securities & Investments, Inc., a
former  registered  broker-dealer  located  in  Denver,  Colorado. The
Commission  determined that Horning failed reasonably to supervise two
former  employees  of  Rocky  Mountain with a view to preventing their
violations of Section 10(b) of the Securities Exchange Act of 1934 and
Exchange  Act Rule 10b-5. The Commission also found that Horning was a
cause  of Rocky Mountain's inaccurate books and records and its filing
of material false reports with regulatory agencies. As a result of the
conduct  at  issue,  a  SIPC  trustee was appointed to liquidate Rocky
Mountain. The Commission found that "Horning's supervisory failure and
his fundamental misunderstanding of the duties of a supervisor present
too  great  a risk to investors to allow him to remain in the industry
as  a  supervisor." The Commission concluded that it was in the public
interest  to bar Horning from association with any broker or dealer in
a  supervisory  capacity  and  to  suspend  him for twelve months from
association  with  any  broker  or  dealer. (Rel. 34-56886; Securities

IN  THE  MATTER  OF  MARSHALL W. PAGON AND HOWARD E. VERLIN AND IN THE
MATTER OF MICHAEL K. SMITH

On December 4, the Commission issued two Orders Instituting Cease-and-
Desist  Proceedings,  Making Findings, and Imposing a Cease-and-Desist
Order Pursuant to Section 8A of the Securities Act of 1933 and Section
21C  of  the  Securities  Exchange  Act of 1934, one naming Repondents
Marshall W. Pagon and Howard E. Verlin and the other naming Michael K.
Smith.  All  three respondents are former senior executives of Pegasus
Communications Corporation and its operating subsidiaries. The Pegasus
entities  operated  a  satellite television business with customers in
certain rural areas of the United States. 

According  to  the  Commission's  Orders,  during the period from 1999
though  2001,  Pegasus,  a satellite television provider, engaged in a
number  of  actions  designed  to  increase  the  number of its active
satellite subscribers. First, Pegasus extended the period of time that
customers who had failed to pay their bills could be considered active
and,  therefore,  part  of  the  subscriber  count.  At Pegasus, these
delinquent  accounts  whose  status was extended were called "re-aged"
accounts.  Second,  in  2001,  Pegasus  re-activated  the  accounts of
certain  customers  who  had voluntarily disconnected their service by
reclassifying  the  accounts  from disconnect to suspend status and by
assigning  one-cent  credits  to the customers' accounts, thus causing
the  billing  system  to  restore  those subscriber accounts to active
status.  At  Pegasus, these accounts that were reactivated by one-cent
credits   were   called   "penny-suspends"   or   "penny-credits." The
Commissions  Orders  found  that,  as  a  result of these actions, the
number  of  subscribers  who  were not generating revenue or receiving
services  from  Pegasus  grew  substantially.  Without  these actions,
Pegasus  would  have had nominal growth in its subscriber base for the
year 2001. 

The  Commission's Orders found that, as a result of this conduct, each
of the Respondents caused Pegasus and PSC to violate Sections 17(a)(2)
and  17(a)(3)  of  the  Securities  Act  of  1933  and Sections 13(a),
13(b)(2)(A) and 13(b)(2)(B) of the Securities Exchange Act of 1934 and
Rules 13a-1, 13a-13 and 12b-20 thereunder.

Without  admitting  or  denying the Commission's findings, Respondents
agreed  to  entry of the Commission Orders requiring them to cease and
desist  from  committing  or  causing  any  violations  and any future
violations  of  the  antifraud,  reporting,  books  and  records,  and
internal     controls  provisions  of  the  federal  securities  laws.
Respondent  Verlin  also  agreed  to  pay  a  total  of  $23,959.88 in
disgorgement  and  prejudgment interest. (In the matter of Marshall W.

FINAL JUDGMENTS BY CONSENT ENTERED AS TO C. PAUL SANDIFUR, JR., THOMAS
TURNER, TRILLIUM CORPORATION AND DAVID SYRE

The  Commission  today  announced  that  it has reached settlements in
pending  litigation  against  two  former  executives  of Metropolitan
Mortgage  & Securities Co., Inc. (Metropolitan), former Chairman Chief
Executive  Officer  C. Paul Sandifur, Jr., and former senior executive
Thomas  G.  Turner,  as well as former Metropolitan business associate
Trillium  Corporation  and  its  Chairman  and Chief Executive Officer
David  B.  Syre,  relating  to an alleged financial reporting fraud at
Metropolitan.  Judgments by consent were entered for each defendant by
the  Honorable John C. Coughenour in the case SEC v. C. Paul Sandifur,
Jr.,  et  al., Case No. CV-05-1631 JCC, in the U.S. District Court for
the Western District of Washington.

Metropolitan  was a long-standing Spokane, Washington finance and real
estate   company  that  collapsed  in  2004.  Metropolitan  filed  for
bankruptcy  in  February  2004,  devastating  nearly  10,000 investors
throughout  the  Pacific Northwest who had invested approximately $450
million in debt securities and preferred stock offered by the company.
As  alleged  in  the  Commission's  amended  complaint, Metropolitan's
management falsified the company's 2002 financial results by reporting
profits  from  circular real estate sales where Metropolitan purported
to sell property to buyers who, in fact, received all or nearly all of
the   money  to  pay  for  the  purchases  from  Metropolitan  or  its
affiliates.

In  the  largest  of  these deals, Metropolitan reported a $10 million
gain  by  completely  financing  the purchase of property by defendant
Trillium     Corporation,  a  private  company  based  in  Bellingham,
Washington.

The  details  of  the settlements for the defendants, who consented to
the  settlements  without admitting or denying the allegations against
them, are as follows:

     C.   Paul   Sandifur,   Jr.,   Metropolitan   Chairman  and Chief
     Executive       Officer   -   Ordered   to   pay   a   total   of
     $150,889.66,   consisting   of   disgorgement   of   $60,000 plus
     prejudgment  interest  of  $15,889.66,  and  a  civil  penalty of
     $75,000;   permanently  enjoined  from  violating  the  antifraud
     provisions  of  the federal securities laws (Section 17(a) of the
     Securities  Act  of 1933 ("Securities Act"), Section 10(b) of the
     Exchange   Act   of   1934   ("Exchange   Act")   and  Rule 10b-5
     thereunder);   permanently   enjoined   from   violating  Section
     13(b)(5)  of  the  Exchange  Act  and  Rules  13a-14,  13b2-1 and
     13b2-2;   permanently   enjoined   from   aiding   and   abetting
     violations  of  the  books  and  records  and  periodic reporting
     provisions  (Sections  13(a),  13(b)(2)(A) and 13(b)(2)(B) of the
     Exchange  Act and Rules 12b-20, 13a-1 and 13a-13 thereunder); and
     barred  from  serving  as  an  officer  or director of any public
     company for a period of five years;

     Thomas  G.  Turner,  Metropolitan  senior executive - Permanently
     enjoined  from  violating the antifraud provisions of the federal
     securities  laws  (Section  17(a)  of the Securities Act, Section
     10(b)   of   the   Exchange   Act   and   Rule 10b-5 thereunder);
     permanently  enjoined  from  violating  Section  13(b)(5)  of the
     Exchange  Act  and  Rules 13b2-1 and 13b2-2; permanently enjoined
     from  aiding  and  abetting  violations  of the books and records
     and    periodic    reporting    provisions    (Sections    13(a),
     13(b)(2)(A) and 13(b)(2)(B) of the Exchange Act and Rules 12b-20,
     13a-1  and  13a-13  thereunder);  and  barred  from serving as an
     officer or director of any public company;

     Trillium  Corporation,  Metropolitan business associate - Ordered
     to  pay  a  penalty  of  $75,000,  and  permanently enjoined from
     violating  the  antifraud  provisions  of  the federal securities
     laws    (Section  10(b)  of  the  Exchange  Act  and  Rule  10b-5
     thereunder)  and  from  aiding  and  abetting  violations  of the
     books  and  records  and  periodic  reporting provisions (Section
     13(a)      of  the  Exchange  Act  and  Rules  12b-20  and  13a-1
     thereunder); and

     David  B.  Syre,  Trillium Chairman and Chief Executive Officer -
     Ordered  to  pay  a  penalty of $50,000, and permanently enjoined
     from violating the antifraud provisions of the federal securities
     laws    (Section  10(b)  of  the  Exchange  Act  and  Rule  10b-5
     thereunder)  and  from  aiding  and  abetting  violations  of the
     books  and  records  and  periodic  reporting provisions (Section
     13(a)      of  the  Exchange  Act  and  Rules  12b-20  and  13a-1
     thereunder).

Previously,  the  Commission  reached  settlements  with  three  other
defendants  in  this litigation: former Metropolitan Controller Robert
Ness;  former  Metropolitan  Vice President Thomas Masters; and former
Metropolitan  business associate Dan Sandy. See Litigation Release No.

The  settlements  announced today conclude the Commission's litigation
in  this  matter  against  all  the  defendants  except Thomas Turner,
against  whom  the Commission will bring a motion for disgorgement and
civil  penalties for his role in the fraud at Metropolitan. [SEC v. C.

SEC  SUES  INDIANAPOLIS  BROKER  AND  INVESTMENT  ADVISER FOR PERSONAL
TRADING IN ADVANCE OF A TENDER OFFER

On  December  3, the Commission filed a complaint in the U.S. District
Court  for  the Southern District of Indiana against David W. Knall, a
registered  representative  and  investment  adviser,  for  trading in
advance  of  Dick's  Sporting Goods Inc.'s June 21, 2004, announcement
that  it  intended  to  acquire  Galyan's  Trading Company, Inc. via a
tender  offer.  The  complaint  alleges  that  Knall,  a  resident  of
Indianapolis, acquired material, nonpublic information relating to the
tender  offer  on June 12, 2004. Four days later, on June 16, 2004, he
purchased  10,000  shares  of  Galyan's  stock  to  cover a previously
established short position in his brokerage account. Prior to trading,
Knall  did  not  try  to  determine  whether there had been any public
announcement about an acquisition or any material increase in Galyan's
stock price, even though he had reason to know that the information he
acquired  came  indirectly from a Dick's representative. The complaint
further  alleges  that Knall avoided $55,281 in losses by covering his
short  position  prior to the June 21 2004, public announcement of the
tender offer. The day after the announcement, Galyan's stock closed at
$16.68,  a  50.3%  increase  from  the previous day's closing price of
$11.10.

Without  admitting  or denying the allegations in the complaint, Knall
consented  to  the  entry  of a Final Judgment, subject to the court's
approval,  in  which he is permanently enjoined from future violations
of  Section  14(e)  and  Rule  14e-3 of the Securities Exchange Act of
1934.   Knall  also  agreed  to  pay  disgorgement  of  $55,281,  plus
prejudgment interest in the amount of $13,303.13, and a one-time civil

SEC SUES MAXIM INTEGRATED PRODUCTS AND FORMER    SENIOR  OFFICERS  IN 
STOCK  OPTION  BACKDATING  SCHEME

The     Commission   today   filed   civil   charges   against   Maxim
Integrated Products,  Inc.,  a  Silicon  Valley semiconductor company,
its former CEO,  John  F.  Gifford,  and  its  former  CFO,  Carl  W. 
Jasper, in connection with a stock option backdating scheme.

The  Commission's  complaints,  filed in federal district court in San
Jose,  allege  that Maxim routinely provided potentially lucrative in-
the-money  options  (i.e.,  options granted at below market prices) to
employees.  Under well-settled accounting principles, granting in-the-
money options obligated the company to report compensation expenses to
shareholders.  The  Commission  alleges  that  Maxim avoided reporting
these  expenses  by  backdating  paperwork  to make it appear that the
options  had been granted on an earlier date. As a result, the company
overstated  its  net income by more than 10% for its fiscal years 2003
through 2005. 

Maxim,  without  admitting  or  denying  the Commission's allegations,
consented  to  a  permanent  injunction  against violations of Section
17(a)  of  the  Securities  Act  of  1933  and  Sections 10(b), 13(a),
13(b)(2)(A),  13(b)(2)(B), and 14(a) of the Securities Exchange Act of
1934  and  Rules  10b-5,  12b-20,  13a-1,  13a-11,  13a-13,  and 14a-9
thereunder.   Gifford,   also   without   admitting   or   denying the
allegations,  agreed  to  a permanent injunction against violations of
Section  17(a)(3)  of the Securities Act, Sections 13(a), 13(b)(2)(A),
13(b)(2)(B),  and  14(a)  of the Exchange Act and Rules 12b-20, 13a-1,
13a-11,  13a-13,  and  14a-9  thereunder.  Gifford  also agreed to pay
disgorgement and prejudgment interest of $652,681 and a $150,000 civil
penalty. 

The  Commission's complaint against Jasper alleges he violated Section
17(a)  of  the  Securities  Act,  Sections  10(b), 13(a), 13(b)(2)(A),
13(b)(2)(B),  13(b)(5), and 14(a) of the Exchange Act and Rules 10b-5,
12b-20,  13a-1,  13a-11,  13a-13,  13a-14,  13b2-1,  13b2-2, and 14a-9
thereunder.  The  Commission  seeks injunctive relief, disgorgement, a
civil  penalty,  and an order barring him from acting as an officer or

INVESTMENT COMPANY ACT RELEASES

UNIFIED SERIES TRUST AND ENVESTNET ASSET MANAGEMENT, INC.

A  notice  has been issued giving interested persons until December 26
to  request  a hearing on an application filed by Unified Series Trust
and Envestnet Asset Management, Inc. for an order exempting applicants
from  Section 15(a) of the Investment Company Act and Rule 18f-2 under
the  Act.  The  order  would  permit  applicants  to  enter  into  and
materially  amend  subadvisory agreements without shareholder approval

The  Commission granted accelerated approval to a proposed rule change
(SR-OCC-2007-13) filed by The Options Clearing Corporation relating to
