MIKE PIWOWAR AND STEWART MAYHEW APPOINTED VISITING ACADEMIC SCHOLARS OFFICE OF ECONOMIC ANALYSIS The Commission's Office of Economic Analysis today announced the appointment of Mike Piwowar and Stewart Mayhew as visiting academic scholars for a one-year term. Currently, Piwowar is a faculty member at Iowa State University, and Mayhew is on faculty at the Terry College of Business at the University of Georgia. Piwowar, 34, joined OEA in July 2002, as a visiting academic scholar. He holds a doctorate in finance from the Pennsylvania State University. Piwowar's primary areas of interest are market microstructure and corporate finance. His research has been presented at national conferences and published in the Journal of Financial Markets. Mayhew, 35, joined OEA in August 2002, as a visiting academic scholar. He holds a doctorate in finance from the Haas School of Business at University of California, Berkeley. Mayhew works in the area of option pricing, volatility estimation, and the microstructure of option and futures markets. He has published articles in the Journal of Finance, the Journal of Financial and Quantitative Analysis, the Journal of Futures Markets, and the Financial Analysts Journal, among others. While at the Commission, the two academic scholars will provide the analytical and technical support necessary to help the Commission understand and evaluate the economic effects of its regulatory policy. As part of their duties, they will conduct independent research and analysis in areas concerning the microstructure of equity, derivative and debt markets. (Press Rel. 2002-122) ENFORCEMENT PROCEEDINGS IN THE MATTER OF H.J. MEYERS & CO., INC., ROBERT SETTEDUCATI, WILLIAM MASUCCI, MICHAEL VANECHANOS AND JAMES VILLA An Administrative Law Judge has issued an initial decision in the matter of H.J. Meyers & Co., Inc, et al. The Order Instituting Proceedings alleged price manipulation of a security in violation of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5 thereunder. It also alleged aiding and abetting and cause violations of Section 15(c)(1) of the Exchange Act and Rules 15c1-2 and 15c1-8 thereunder. The initial decision dismisses all allegations against Robert Setteducati, the sole remaining respondent, finding that the weight of the evidence does not support the allegation of a manipulation. In the alternative, assuming that a manipulation occurred, the initial decision finds that the weight of the evidence fails to show that Setteducati participated as a principal, or aided and abetted or caused the alleged manipulation. (Initial Decision No. 211; File No. 3-10140) COMMISSION DECLARES DECISION AS TO BRETT BOUCHY AND RICHARD WHELAN FINAL The decision of an administrative law judge with respect to Brett L. Bouchy and Richard C. Whelan has become final. Respondents previously were permanently enjoined from violations of antifraud provisions by the United States District Court for the District of Arizona. The law judge found that respondents repeatedly used their positions with registered broker-dealers to defraud their customers by selling them securities that Respondents secretly owned through nominee accounts. The law judge also found that respondents furthered their fraudulent scheme by not telling their customers that they were selling them securities from Respondents' nominee accounts, and that Respondents had purchased the securities at discounted prices. The law judge ordered that respondents are barred from association with any broker or dealer. (Rel. 34-46330; File No. 3-10627) SEC CHARGES CONSULTANT FOR SMALL ENVIRONMENTAL COMPANIES WITH FRAUD IN CONNECTION WITH HIS INTERNET SECURITIES OFFERING On August 9, the Commission instituted public administrative proceedings against Arthur Lee Kunes, a resident of Fort Pierce, Florida who is a consultant for start-up manufacturing companies that intend to use environmentally friendly technologies. Kunes consented to the issuance of an Order directing him to cease-and-desist from committing or causing violations of the registration and antifraud provisions of the Securities Act of 1933, without admitting or denying the findings contained in the Order. The Order finds that, during 2001, Kunes prepared materials that offered securities to be issued by a start-up company located in Charlotte, North Carolina and placed those offering materials on the Internet. The issuer intended to initially build five manufacturing plants to produce sheets of particle board using agricultural fibers. The Order finds that Kunes's offering materials misrepresented three material facts: (1) the existence of a lender who had committed to funding the majority of the company's construction costs; (2) the existence of standing orders from customers for the company's product; and (3) the retention of several nationally recognized firms to assist the issuer, such as an accounting firm, insurance company and a raw material supplier. These statements were false. The Order further finds that, while Kunes's offering materials favorably presented the industry experience of the start-up company's founder, they failed to disclose that the Commission previously obtained an injunction under the antifraud provisions of the federal securities laws against the founder in 1995. (Rel. 33-8120; File No. 3-10860) DISTRICT COURT PROCEEDINGS RESOLVED AS TO ANDREW BODNAR, THOMAS BUCK, AND CBT- OHIO, LTD.; ADMINISTRATIVE PROCEEDINGS RESOLVED AS TO ANDREW BODNAR The Commission announced the resolution of the district court proceedings in SEC v. CBT-Ohio, Ltd., et al., formerly pending in the United States District Court for the Northern District of Ohio. Specifically, on April 16, 2002, the Honorable Dan A. Polster entered default judgment against Andrew P. Bodnar and CBT-Ohio, Ltd. (CBT) in an action alleging violations of the anti-fraud and registration provisions of the federal securities laws. In addition, on May 31, 2002, Judge Polster entered final judgment against the only remaining defendant, Thomas E. Buck, who consented to the judgment without admitting or denying the allegations in the complaint. The Commission further announced that, on June 28, 2002, Chief Administrative Law Judge Brenda P. Murray entered a default order imposing sanctions against Bodnar in related administrative proceedings. The district court action and the administrative proceeding were based on allegations that the defendants engaged in a fraudulent scheme through which they raised millions of dollars from investors in several different states, in violation of Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933 and Sections 10(b) and 15(a) of the Securities Exchange Act of 1934 and Rule 10b-5. The district court judgments permanently enjoin Bodnar, CBT, and Buck from violating the referenced securities laws and require Bodnar to pay a third-tier penalty of $110,000. The administrative order bars Bodnar from association with a broker or dealer. [SEC v. CBT-Ohio, Ltd., et al., C.A. Bodnar - Rel. 34-46142, File No. 3-10770) SARAH HUME ENJOINED IN ACCOUNTING FRAUD CASE The Commission announced today that on August 7 the Honorable Marcia S. Krieger, United States District Judge, entered a final judgment of permanent injunction against Sarah E. Hume of Aurora, Colorado. The final judgment enjoins Hume from engaging in transactions, acts, practices and courses of business which constitute or would constitute violations of Sections 10(b) and 13(b)(5) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 10b-5, 13b2-1, and 13b2-2 , and from aiding and abetting violations of Sections 13(a) and 13(b)(2) of the Exchange Act and Rules 12b-20, 13a-1, and 13a-13. The proposed final judgment provides that the Court is not imposing a civil penalty or requiring payment of disgorgement and pre-judgment interest thereon based on defendant's sworn representations in her statement of financial condition. Hume consented to entry of the permanent injunction. Hume has also agreed to be prohibited from acting as an officer or director of a public company. The Commission's complaint, filed in the U.S. District Court for the District of Colorado on September 27, 2001, alleged that Vari-L Company, Inc and three of its former officers engaged in a massive financial reporting fraud designed to show consistently increasing revenue and earnings, instead of losses, from 1996 through the quarter ended March 31, 2000 by recognizing false revenue, improperly capitalizing and depreciating costs, overstating inventory, and improperly deferring period costs. Action No. 01-MK-1903, D.Colorado] (LR-17671) RECIDIVIST SECURITIES VIOLATOR AND FORMER COMPANY PRESIDENT INDICTED FOR SECURITIES FRAUD IN MISSOURI FOLLOWING CIVIL CHARGES BROUGHT BY SEC On July 26, 2002, a recidivist securities violator and the former president of a company were indicted in Missouri on nine felony counts of securities fraud and other wrongful conduct, the Securities and Exchange Commission announced today. The repeat violator, James E. Hammonds, and Barry V. Reed were charged by the Prosecuting Attorney of Boone County, Missouri, Kevin Crane, and the Missouri Commissioner of Securities with fraudulently offering and selling unregistered securities in Missouri and for employing a sales agent without registration. The SEC cooperated with the investigation by the Securities Division of the office of Missouri Secretary of State, Matt Blunt, of the allegedly unlawful conduct occurring in Missouri that led to the indictment of Hammonds and Reed. The SEC brought civil charges against Hammonds and Reed in November 2001. In the SEC's civil action, Hammonds and Reed, along with two Nevada corporations, Texon Energy Corp. and Lonestar Petroleum Corp., were charged with violating the registration and antifraud provisions of the federal securities laws. Texon purportedly was in the business of acquiring oil and natural gas wells. Between 1998 and November 2001, when the SEC brought civil charges, $1.25 million was raised from about 65 investors nationwide. Investors were sold "preferred shares" in the company and were promised a dividend of 12% per year on their investment. Reed was Texon's president, and the SEC alleged that Hammonds was Texon's vice president. The SEC's complaint charged that Hammonds, 61, formerly of Inglewood, CA and Reed, 57, of Las Vegas, NV, through Texon and Lonestar, operated a Ponzi-like scheme that made dividend payments to existing investors with money raised from new investors. The SEC alleged that Texon solicited investors through a cold-call telemarketing campaign, falsely telling investors that its dividend-paying stock was a good way to increase income and that Texon was a profitable business and a safe investment. The SEC alleged that Texon was secretly operated by Hammonds even though the public was told the company was based in Las Vegas and Reed was its president. The SEC charged that Texon received mail and phone calls in Las Vegas that were simply routed to Hammonds in Inglewood. In 1994, Hammond was enjoined by the SEC for his part in a similar oil and gas fraud in which investors were also falsely promised a 12% return. In 1996, Hammonds was barred by the SEC from the securities industry. Hammonds' involvement in Texon was not disclosed to investors. Through a court-appointed receiver, Texon and Lonestar, without admitting or denying the SEC's allegations, consented to the entry of a judgment, entered on July 8, 2002 by the Federal District Court in Los Angeles, permanently enjoining them from future violations of the antifraud and securities registration provisions of the federal securities laws. The SEC's civil case against Hammonds and Reed is still pending. Reed, Case No. CV-01-09706-LGB (MANx) CD Cal.] (LR-17672) SEC FILES CIVIL LAWSUIT IN $15 MILLION "PUMP AND DUMP" STOCK FRAUD CASE The Commission announced today that on August 8, 2002, it filed a complaint against Environmental Solutions Worldwide, Inc. (ESWW), of Telford, Pennsylvania, formerly of Markham, Ontario, Canada, and related persons, alleging that they perpetrated a massive stock fraud in the Nasdaq Over-The-Counter securities market. The complaint alleges that the defendants issued ESWW stock to various insiders through a sham private offering, and then "pumped" the market with a fraudulent promotional campaign designed to artificially prime the market for ESWW stock. The promotional campaign had the intended effect: the price of ESWW stock soared by about 250%, from $2 to $7 per share. Concurrently, two of the defendants, Teodisio V. Pangia, of Kleinburg, Ontario and New York City, and Satbal Singh a/k/a Spal Singh, of Toronto, Ontario, sold approximately $15 million of ESWW stock into the unsuspecting market. The other defendants in the case are: * Jalon Investments, Ltd., Gata Investments, Ltd., and Altea Investments, Ltd., three Guernsey companies controlled by Pangia. * Zoya Financial Company, Ltd., a promotional firm controlled by Singh. *  Adam Michael Oliver of Otterville, Ontario, ESWW's former sole officer and director. * Michael W. Smith, a Canadian attorney residing in London, Ontario. * Bengt Odner, of the United Kingdom, ESWW's current chairman. *  Michael Bergman, of Jersey City, New Jersey, and his promotional firm, Access 1 Financial, Inc., which hyped ESWW stock. * Eugene Foo, of Toronto, Ontario, who helped facilitate the sham private offering. Specifically, the Commission's complaint alleges that from October 1998 through June 2000, Pangia, Smith, and Singh orchestrated a pump-and-dump scheme using fraudulent press releases, millions of spam e-mails, and a paid analyst report to prime the market for ESWW stock. The promotional documents falsely claimed that that ESWW had developed a revolutionary catalytic converter that, unlike any other catalytic converter, dramatically reduced toxic emissions, including nitrous oxide, a greenhouse gas believed to be a cause of global warming. These claims were false and contrary to ESWW's own test results. The promotional documents, including supposedly independent analyst reports, which Pangia paid Mark Bergman to publish, also contained unrealistic and unsupported share price projections for ESWW stock ranging from $15 to $150 per share. The complaint additionally alleges that Oliver served as an officer and director in name only, and that he, in fact, was merely a nominee for Smith, and that Odner repeated the false information about ESWW's test results in statements to the investing public. The complaint also alleges that Pangia, Smith, Singh, and Foo orchestrated a sham private offering in which millions of unregistered ESWW shares were issued to themselves. These shares were dumped into the inflated market from the fraudulent promotional campaign described above. Pangia and Singh realized approximately $15 million from these stock sales. The  Commission's  complaint  alleges that based on the conduct set forth above,  the  defendants  violated the following provisions of the federal securities laws: *  ESWW  violated  Sections  5(a)  and 5(c) of the Securities Act of 1933 ("Securities  Act")  and Sections 10(b), 13(a), 13(b)(2)(a), and 13(b)(5) of  the Securities Exchange Act of 1934 ("Exchange Act") and Rules 10b-5, 12b-20, 13a-1, and 13b2-1 thereunder. *  Pangia  violated  Sections 5(a), 5(c), and 17(a) of the Securities Act and Sections 10(b), 13(d), and 16(a) of the Exchange Act and Rules 10b-5, 13d-1,  and 16a-3 thereunder, and aided and abetted violations of Section 13(a) of Exchange Act and Rules 12b-20 and 13a-1 thereunder. * Jalon Investments, Ltd., Gata Investments, Ltd., and Altea Investments, Ltd.  violated  Sections  5(a), 5(c), and 17(a) of the Securities Act and Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. *  Satbal Singh violated Sections 5(a), 5(c), and 17(a) of the Securities Act and Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. * Zoya Financial Corporation, Ltd. violated Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. *  Michael W. Smith violated Sections 5(a) and 5(c) of the Securities Act and  Sections  10(b)  and  13(b)(5)  of  the  Exchange Act and Rule 10b-5 thereunder,  and  aided  and  abetted  violations  of  Sections 13(a) and 13(b)(2)(A)  of  the  Exchange  Act  and  Rules 12b-20, 13a-1, and 13b2-1 thereunder. *  Adam  Michael Oliver violated Sections 5(a) and 5(c) of the Securities Act  and  Sections 10(b) and 13(b)(5) of the Exchange Act and Rules 10b-5 and  13b2-2 thereunder, and aided and abetted violations of Section 13(a) of the Exchange Act and Rules 12b-20 and 13a-1 thereunder. * Mark Bergman and Access 1 Financial, Inc. violated Section 17(b) of the Securities  Act  and  Section  10(b)  of  the Exchange Act and Rule 10b-5 thereunder. *  Bengt  Odner violated Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. * Eugene Foo violated Sections 5(a) and 5(c) of the Securities Act. The complaint seeks injunctions against all the defendants, officer and director bars against Pangia, Smith, Oliver, and Singh, disgorgement of ill-gotten gains plus pre-judgment interest from Pangia, Jalon, Gata, Altea, Singh, Bergman, and Access 1, and civil penalties against Pangia, Jalon, Gata, Altea, Smith, Oliver, Singh, Zoya, Bergman, Access 1, Odner, and Foo. Simultaneous   with   the   filing   of   the   complaint, the Commission filed settlement documents with the Court as to defendant Foo in which he agreed, on  a  neither  admit nor deny basis, to the entry of an order of permanent    injunction  against  future  violations  of  the  securities registration    provisions  found  in  Sections  5(a)  and  5(c)  of  the Securities  Act.  Foo also agreed to pay a $50,000 civil penalty. [SEC v. Environmental  Solutions  Worldwide,  Inc., et al., Cause No. 02-1575 JDD (D.C.)] (LR-17673A) SEC FILES COMPLAINT ALLEGING FRAUD AGAINST TWO FORMER PRINCIPALS OF eCOMPRAR NETWORK, INC. On July 31, 2002, the Commission filed a complaint alleging securities fraud against Jeffrey D. Chandler (Chandler) and Randall Jordan (Jordan), the former president and executive vice president, respectively, of eComprar Network, Inc. (eComprar), a defunct Florida corporation that was located in West Palm Beach, Florida. The Commission's complaint, filed in federal district court in Miami, alleges that from February 2000 through July 2000, Chandler and Jordan raised $5 million for eComprar in an unregistered offering. eComprar claimed that it was raising the money in a purported attempt to develop a television home shopping network operating in Latin America. The complaint alleges that as part of the offering, Chandler and Jordan made numerous misrepresentations and omissions to investors concerning, among other things, eComprar's operations, expected financial results, use of proceeds, and Chandler's backround and experience. The complaint also alleges that Chandler and Jordan misappropriated investors' proceeds, and spent a significant portion of the $5 million raised on automobiles, home furnishings, jewelry, travel, a boat, other entertainment, and to settle prior legal disputes that were unrelated to eComprar. The Commission's complaint seeks a permanent injunction against Chandler and Jordan enjoining them from further violations of Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933, and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The complaint also seeks civil money penalties, disgorgement, and accountings from the defendants. [SEC v. Jeffrey D. Chandler and Randall Jordan, Case No. 02-14222-CIV-MOORE, S.D. Fla.] (LR-17674) COURT ORDERS ASSET FREEZE AND OTHER RELIEF CONCERNING $1.2 MILLION FRAUDULENT UNREGISTERED OFFERING BY ARDIAN FINANCE GROUP AND OTHERS The Commission announced that on August 6 and 7, 2002, United States District Judge David G. Trager of the U.S. District Court for the Eastern District of New York entered orders preliminary enjoining Ardian Finance Group, its president, Vladislav Tartakovsky, and Michael Green, a salesman who sold Ardian securities to investors, from violating Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933, and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5. The Court also enjoined Green from violating Section 15(a)(1) of the Exchange Act. Additionally, the Court entered an order freezing Ardian's assets. Ardian, Tartakovsky and Green consented to the entry of these orders. The Court also entered orders (i) temporarily restraining Michael Yeninas, another salesman who sold Ardian securities to investors, from violating the registration and antifraud provisions of the securities laws, pending a hearing on the Commission's application for a preliminary injunction, and (ii) requiring relief defendant JBS Investments, Inc. to provide an immediate accounting of all funds it received from Ardian. The orders arise from the Commission's filing of an emergency application on August 6, 2002 to stop Ardian's fraudulent unregistered offering. Tartakovsky orchestrated this fraudulent offering, and he retained Yeninas and Green to solicit investors to purchase Ardian securities. Ardian, Tartakovsky, Yeninas and Green all made material misrepresentations to investors and in Ardian's private offering memoranda to induce them to purchase Ardian securities. (NiSource), a registered holding company, its ten utility subsidiaries, and certain of its nonutility subsidiaries. The supplemental order authorizes Granite State Gas Transmission, Inc., a wholly owned nonutility subsidiary of NiSource, to participate in a system money pool.
