SEC NEWS DIGEST Issue 2002-132 July 10, 2002 ENFORCEMENT PROCEEDINGS ADMINISTRATIVE PROCEEDINGS INSTITUTED AGAINST AND SIMULTANEOUSLY SETTLED WITH RAPHAEL "RAY" LEVY On July 9, the Commission entered an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934 (Exchange Act), Making Findings and Imposing Remedial Sanctions (Order) against Raphael "Ray" Levy (Levy) of Boca Raton, Florida. The Commission simultaneously accepted Levy's Offer of Settlement, in which he agreed to be barred from association with any registered broker or dealer. The Order alleged that on July 1, a final judgment of permanent injunction was entered against Levy in the United States District Court for the Southern District of Florida, SEC v. Frederick C. Brandau., et al., Case No. 00-06618-CIV-HIGHSMITH (S.D. Fla.). The final judgment permanently enjoined Levy from violations of Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933 and Sections 10(b) and 15(a) of the Exchange Act and Rule 10b-5 thereunder. The Commission's complaint alleged that, from 1996 through July 1999, Levy participated in the fraudulent, unregistered distribution of investment contracts while associated as president and sole shareholder of American Benefits Services, Inc., an unregistered broker-dealer. (Rel. 34-46173; File No. 3-10822) SEC SUSPENDS THREE FORMER SENIOR OFFICERS AND MANAGERS OF PHYSICIAN COMPUTER NETWORK, INC. FROM PRACTICE UNDER RULE 102(e) FOR ROLES IN ACCOUNTING FRAUD On July 9, the Commission instituted and simultaneously settled administrative proceedings against three former senior employees of Physician Computer Network, Inc. (PCN): Thomas F. Wraback, of Manalapan, New Jersey, a certified public accountant and PCN's former Senior Vice President and Chief Financial Officer; Gregory D. Norton, of New Providence, New Jersey, a certified public accountant and PCN's former Manager of Accounting and Reporting; and Glen P. Duffy, of Needham, Massachusetts, a certified public accountant and PCN's former Director of Accounting. Without admitting or denying the Commission's findings, Wraback, Norton and Duffy each consented to a Commission order suspending them from appearing or practicing before the Commission as accountants, with a right to apply for reinstatement after five years. The administrative proceedings were based on the entry of final judgments against Wraback, Norton and Duffy by the Honorable Reggie B. Walton of the United States District Court for the District of Columbia on June 24, 2002 in the matter entitled SEC v. John F. Mortell, et al., Civil Action No. 1:02CV01090 (D.D.C. June 5, 2002) (See Lit. Rel. 17542). Wraback, Norton and Duffy each had consented, without admitting or denying the allegations of the Commission's complaint, to the entry of the final judgments, which permanently enjoin them from violating or aiding and abetting violations of the antifraud, periodic reporting, record-keeping, internal controls and lying to the auditors provisions of the federal securities laws, Sections 10(b), 13(a), 13(b)(2) and 13(b)(5) of the Exchange Act and Rules 12b-20, 10b-5, 13a-1, 13a-13, 13b2-1 and 13b2-2 thereunder. In its complaint, filed on June 5, 2002, the Commission alleged that Wraback, Norton and Duffy participated to varying degrees in a scheme to manipulate PCN's reported financial results by materially understating its operating expenses and inflating its revenues and net income in fiscal year 1996 and the first three quarters of fiscal year 1997. Duffy, CPA - Rel. 34-46175, AAE Rel. 1590, File No. 3-10825) SEC BRINGS CHARGES AGAINST BOCA RATON MAN IN CONNECTION WITH PRIME BANK FRAUD SCHEME The Commission announced today that it instituted and simultaneously settled an action against Gerald Cohn of Boca Raton, Florida in connection with a prime bank scheme. Without admitting or denying the Commission's allegations, Cohn consented to the entry of a cease-and- desist order against him. In its order, the Commission found that from at least July 2000 through August 2001, Cohn participated in a prime bank scheme carried out by The Strategies Group, Inc. The securities offered by TSG purported to invest funds in medium term notes secured by guarantees which were generally available to wealthy individuals through a select number of the world's largest financial institutions. In reality, the securities offered by TSG did not exist. The Commission found that Cohn participated in TSG seminars and represented to prospective investors, among other things, that the securities offered by TSG existed and that investors could expect returns of approximately 15-50%. These representations were not true. Cohn took no reasonable steps to verify whether the representations were true, and distributed materials to prospective investors without establishing or investigating the accuracy or veracity of those materials. Further, the Commission found that Cohn knew that TSG erroneously represented to seminar attendees that Cohn had successfully placed a client's funds in the TSG trading program. Despite the falsity of that representation, Cohn did not publicly correct TSG's statements. Based upon this conduct, the Commission ordered Cohn to cease and desist from committing or causing any violation and any future violations of Sections 17(a)(1) and 17(a)(3) of the Securities Act of 1933. (Rel. 33- 8110; File No. 3-10826) JAMES FRANKLIN, JR., FORMER IN-HOUSE ATTORNEY TO PROFESSIONAL SPORTS AGENT "TANK" BLACK, SENTENCED TO 54 MONTHS IN PRISON AND ORDERED TO PAY $12 MILLION IN RESTITUTION FOLLOWING PARALLEL CRIMINAL PROSECUTION The Commission announced that on July 8, 2002, James A. Franklin, Jr., a former South Carolina attorney and in-house counsel to sports agent William H. "Tank" Black, was sentenced to serve 54 months in prison and ordered to pay $12 million in restitution stemming from charges that he conspired with Black to defraud Black's athlete-clients. The Hon. Stephan P. Mickle imposed the sentence after a hearing in United States District Court for the Northern District of Florida (Gainesville Division). Franklin previously pleaded guilty to: (i) one count of conspiring to commit wire fraud and to obstruct the SEC's parallel investigation and (ii) one count of conspiring to commit money laundering. The United States Attorney for the Northern District of Florida prosecuted Franklin for the same conduct that underlies a civil enforcement action brought by the Commission in February 2000 against Franklin, Black and others in United States District Court in the Middle District of Florida. The Commission's lawsuit, which has been stayed pending resolution of the criminal case, alleges that Black, Franklin, Professional Management, Inc. (Black's sports agency business) and Professional Management Consulting, Inc. (Black and Franklin's related consulting business) defrauded nearly two dozen client-athletes of millions of dollars they entrusted to them for investment purposes, including investments in Cash 4 Titles, a purported car title loan business that was, in fact, an offshore Ponzi scheme. Judge Mickle ordered that Franklin serve his 54-month sentence concurrently with an existing 32-month sentence handed down in May 2001 by a federal court in Detroit. In the Detroit case, the U.S. Attorney for the Eastern District of Michigan prosecuted Franklin for his role in helping launder $1.1 million of drug money through the Cash 4 Titles Ponzi scheme. Franklin began serving the Detroit sentence in July 2001. Franklin's 54-month Gainesville sentence reflects a substantial downward departure from federal sentencing guidelines. In making that departure - and in deciding that Franklin should serve the Gainesville sentence concurrently, not consecutively, with the Detroit sentence - Judge Mickle emphasized Franklin's post-indictment cooperation with the United States Attorney and with the Commission. A notice has been issued giving interested persons until August 2, 2002, to request a hearing on an application filed by Banknorth Funds, et al. for an order under Section 17(b) of the Investment Company Act for an exemption from Section 17(a) of the Act. The order would permit a certain series of a registered open-end management investment company to acquire all of the assets and liabilities of certain other series of the same investment company. Because of certain affiliations, applicants may not rely on Rule 17a-8 under the Act. (Rel. IC-25650 - July 8) HOLDING COMPANY ACT RELEASES AMERICAN ELECTRIC POWER COMPANY, INC., ET AL. A notice has been issued giving interested persons until August 2, 2002, to request a hearing on a proposal by American Electric Power Company, Inc.
