Roye, Director, Division of Investment Management What: ICI's Investment Management asnd Mutual Funds Conference Where: Orlando, Florida Contact: Jane Forsythe, (202) 326-5934 FEE RATE ADVISORY #9 FOR FISCAL YEAR 2002 As required by the recently enacted "Investor and Capital Markets Fee Relief Act," the Commission must make a mid-year adjustment to the Section 31 transaction fee rate. Effective April 1, 2002, the revised Section 31 transaction fee rate will be $30.10 per million. The Commission consulted with both the Congressional Budget Office (CBO) and the Office of Management and Budget about the mid-year adjustment, as required by the Act. The adjustment is a direct consequence of the dramatic decline in dollar volume of securities transactions thus far in fiscal year 2002 compared to CBO's January 2001 projection of dollar volume, on which the fee rate in the Act was based. The adjusted fee rate will not provide any additional funding for the Commission. Self-regulatory organizations collect Section 31 fees pursuant to their rules. Additional information on the transition to the new Section 31 fee rate will be available shortly on the Internet web sites of The New York Stock Exchange and NASD Regulation at http://www.nyse.com and http://www.nasdr.com. The Commission will announce the fiscal year 2003 rates for fees paid under Section 6(b) of the Securities Act of 1933 and Sections 13(e), 14(g), and 31 of the Securities Exchange Act of 1934 no later than April 30, 2002. If current trends continue as projected, the Commission expects to be able to announce a significantly reduced fee rate for Section 31 transactions for fiscal year 2003. This rate will become effective on Oct. 1, 2002, or 30 days after the date on which the Commission receives its fiscal 2003 regular appropriation, whichever date comes later. (Rel. 34-45489; Press Rel. 2002-30) ENFORCEMENT PROCEEDINGS SEVEN FOREIGN NATIONALS AGREE TO PAY $1,267,240 TO SETTLE INSIDER TRADING ACTION INVOLVING PURCHASES OF FSA STOCK The Commission announced that seven of the eight remaining defendants in this international insider trading case have consented to the entry of final judgments ordering them to disgorge trading profits of $1,267,240 plus prejudgment interest and permanently enjoining them from violating antifraud provisions of the Securities Exchange Act of 1934, specifically Section 10(b) and Rule 10b-5 thereunder. The defendants consented to the entry of the judgments without admitting or denying the allegations. The Amended Complaint alleges that in March 2000, the defendants purchased common stock of Financial Security Assurance Holdings, Ltd. while in possession of material, nonpublic information concerning a contemplated acquisition of FSA by Dexia Group, that they knew, or had reason to know, had been communicated to them in breach of fiduciary or similar duties of trust and confidence. The defendants whose settlements are announced today are: Avy Amouyal, Andre Amouyal, Pinhas Amouyal, Samuel Chemouny, Bernard Bracha, Frank Naccache and Arnaud Mimran. A notice has been issued giving interested persons until March 26 to request a hearing on an application filed by American Century Companies, Inc., J.P. Morgan Chase & Co., et al. for an order that would grant relief from Sections 10(f), 12(d)(3), and 17(a), and for an order pursuant to Section 17(d) of the Act and Rule 17d-1 thereunder. The order would permit certain registered investment companies (Funds) to engage in securities transactions involving a broker-dealer or bank that is an affiliated person of an affiliated person of the Funds.
