ENFORCEMENT PROCEEDINGS FINAL JUDGMENT ENTERED AND ADMINISTRATIVE PROCEEDING INSTITUTED AND SETTLED AGAINST EUGENE DEVENEY The Commission announced that on February 8, a Final Judgment was entered against defendant Eugene B. Deveney (Deveney) permanently enjoining him from violating Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Act of 1934 and Rule 10b-5 thereunder, and Sections 204, 206(1), 206(2), and 206(4) of the Investment Advisers Act and Rules 204-2, 206(4)-1, and 206(4)-4 thereunder. Disgorgement was waived, and civil penalties were not assessed, due to the defendant's inability to pay. Deveney consented to the entry of the Final Judgment without admitting or denying the allegations in the Commission's complaint. The Commission also announced that on February 22, Deveney simultaneously consented to the entry of an administrative Order barring him from association with any investment adviser, without admitting or denying the Commission's findings. The Commission's complaint in the civil action alleged that, among other things, that from November 1991 through October 1995, Deveney was associated with Tandem Management Inc. (Tandem), a registered investment adviser. The Complaint further alleged that Deveney and others had misappropriated soft dollars and other client funds, provided materially false information to investors concerning performance and assets under management, failed to disclose Tandem's precarious financial condition, and violated books and records requirements. IA-2015; File No. 3-10709) SEC ORDERS COMPANY PRESIDENT TO CEASE FALSE ANTI-TERRORISM CLAIMS; PRESIDENT OF PROTON LABORATORIES SETTLES CHARGES BASED ON FALSE PRESS RELEASE CLAIMING GOVERNMENT AGENCY TESTING OF PROTON'S PRODUCT TO COMBAT ANTHRAX In the latest in a series of several recent actions against issuers and sellers of securities who seek to profit by taking advantage of public fears about bio-terrorism, the Securities and Exchange Commission instituted cease-and-desist proceedings against Edward Alexander, president of Proton Laboratories, for issuing a press release falsely claiming government interest in Proton's product purportedly for combating anthrax. In the press release, Alexander claimed that Proton's product was being tested by, and for, United States government agencies for its effectiveness in combating anthrax. Alexander consented to issuance of the Commission's order without admitting or denying the Commission's findings. The Commission's order found as follows: * The respondent, Alexander, is the president and sole shareholder of Proton, which is located in Alameda, California. Proton's product is a device that treats tap water with electrolysis, creating "Functional Electrolytic Water." * Knowledge Networks is a public company headquartered in Dana Point, California. Shares of Knowledge Networks common stock are quoted on the Over-the-Counter Bulletin Board. As of November 7, 2001, Proton was set to be acquired by Knowledge Networks. * On November 7, 2001, Alexander issued a press release entitled "Proton Laboratories and its Strategic Business Partner Working With U.S. Government Agencies to Combat Anthrax." The release stated, among other things, that the Center for Disease Control was conducting laboratory tests to determine the effect of Functional Electrolytic Water in containing and eliminating anthrax. * The press release also mentioned Knowledge Networks' intent to acquire Proton, and it included Knowledge Networks' ticker symbol in its headline. The inclusion of this ticker symbol led news services and internet sites to categorize Proton's press release as news about Knowledge Networks. * In reality, no government agency was working with Proton to test the effectiveness of Proton's product in combating anthrax. Neither Proton nor anyone acting on its behalf had ever contacted the Center for Disease Control or any other government agency about testing Proton's product for use against anthrax. Furthermore, Proton's product had never been tested for use against anthrax by anyone, including any government agency. * Alexander committed or caused violations of Section 10(b) of the Securities Exchange Act and Rule 10b-5 thereunder because he publicly issued the press release and knew, or was reckless in not knowing, that the statements in the release about government agency interest in Proton's product were false. (Rel. 34- 45473; File No. 3-10710) CEASE AND DESIST ORDER ENTERED AGAINST DAVID GOSSE The Commission issued a cease and desist order against David B. Gosse (Gosse). The Commission found that Gosse violated the antifraud provisions of the federal securities laws by reviewing prior to dissemination, or giving publicity to, certain false press releases. In the Order, the Commission found that from March 6 through July 21, 2000, Status Wines of Tuscany, Inc. f/k/a Portalzone.com, Inc. (Portalzone), a publicly held Nevada corporation, issued five false press releases, which were drafted by a promoter. The Commission further found that Gosse, who held himself out as Portalzone's president and oversaw its day-to-day operations, contemporaneously posted links to the releases on Portalzone's Internet website, and caused the website to display the dates and headlines of the releases. Moreover, the Commission found that Gosse reviewed two of the press releases prior to their issuance. According to the Commission, the press releases contained false and misleading statements concerning, among other things, the existence, capabilities, and testing of an Internet search engine purportedly owned by Portalzone. Finally, the Commission found that, at a minimum, Gosse acted recklessly with regard to making these statements. Gosse was ordered to cease and desist from committing or causing any violation and any future violations of Section 10(b) of the Securities Exchange Act and Rule 10b-5 thereunder. Gosse consented to the entry of the Order without admitting or denying its findings.
