Dear SEC, I am a retired investor from Illinois and I am in favor of approving the Form 19b-4 that NYSE Arca filed with you to convert Grayscale Bitcoin Trust (OTCQX: GBTC) – into a Bitcoin Spot ETF. Recently, GBTC has been trading consistently at a discount to its underlying assets. A conversion to a spot ETF would correct this, and would be a better product than the futures based ETFs available, which do not reflect the value of bitcoin over time. Sincerely, D.K. Gifford
