Dear Secretary Countryman,

I write to you regarding the Security and Exchange Commission’s (SEC) proposed rule SR-NYSE-2023-09, which would allow for Natural Asset Companies (NAC’s) to be listed on the New York Stock Exchange. Below is the reason I am opposed to this proposed rule:

The United States Constitution provides that “Congress shall have power to dispose and make all needful rules and regulations respecting the territory or other property belonging to the United States (Property Clause, Art. IV, Sec. 3, Cl. 2 ).” Sale of public lands, including interests therein, is the authority delegated to Congress. Congress has not delegated a public land, or air, or water disposal authority to the SEC. 


The SEC is void of constitutional authority for any form of disposal of public land, including any interest therein.
