To Whom It May Concern, I write to give my support for SR-NYSE-2021-45. As a retail investor, I believe the opportunity to invest in subscription warrants on the Exchange will materially improve my access to transactions otherwise reserved for more-monied individuals and institutions. This model will also allow retail investors a better chance to vet and examine a potential transaction before allocating significant capital to it. This feature will help protect retail investors, who will have less skin in the game at the time a deal is announced than under a typical SPAC transaction. While the SPAC vehicle has given retail investors access to many lucrative and productive transactions, actively-traded subscription warrants will better protect investors and further facilitate capital information and efficient investor participation.
