Dear SEC,
I'm an investor who would like to voice my support for the proposed rule change. I believe many of the provisions in this rule change and its amendments are a net benefit for investors, and the acquisition company sponsors. Namely, it affords investors the opportunity to invest in companies without unnecessarily tying up capital and relieves time-crunch on the dealmaker.
Although subscription warrants are not risk-free, their risk profile is much better than that of existing acquisition company shares and warrants.
Many of the commissions' concerns about how to value the warrants were adequately addressed via Prof Hui Chen's and Mr. Ackman's comments, along with the submitted amendment.
Again, I'd like to voice my support for the proposed rule change and hope the commission approves it promptly.
