March 15, 2021 Dear Secretary Countryman, I understand the SEC is currently reviewing a proposal which would require corporations listed on NASDAQ to appoint board members based upon their identity rather than upon their expertise. This is misbegotten policy. It borders on coercion. It sets a dangerous precedent. And, it is just plain WRONG. Please do not agree to such a regulation. Sincerely, Mary F. Roche and Gerard J. Roche,
