I am writing to express my support for Rule No. 34-96494, which proposes amendments to the rules governing disclosure requirements for executive compensation.

The proposed amendments would improve the clarity and effectiveness of the disclosure requirements for executive compensation by focusing on material information that is relevant to shareholders, while also reducing unnecessary compliance costs for companies. The amendments would also align the disclosure requirements with current market practices and provide greater flexibility for companies in how they present the information.

In particular, I support the proposal to revise the Summary Compensation Table to provide more transparent and understandable information about executive compensation. The proposal to eliminate certain requirements that are duplicative or less relevant would also reduce the burden on companies while still providing shareholders with the information they need to make informed decisions.

Furthermore, the proposal to allow companies to exclude from the Summary Compensation Table the value of certain equity awards that are subject to vesting requirements would provide a more accurate picture of the compensation actually received by executives.

Overall, I believe that the proposed amendments to the rules governing disclosure requirements for executive compensation would improve the transparency and effectiveness of the disclosure requirements while also reducing compliance costs for companies. Therefore, I strongly support Rule No. 34-96494 and urge the SEC to adopt these proposed amendments.
