Rule Comments,
Individual shareholders need to be able to make proposals. If they cannot, they are not receiving full value for the investment they have made, given that shareholders are indeed partial owners of the corporation in which they have invested.
This is akin to the credo heard during the Revolutionary War era, "No taxation without representation", given that proposals are the method that shareholders use to represent their views to the corporation at large.
